Addendum #2 Neighborhood Stabilization Program Address: 2183 41st Street SW, Naples, Florida 34116 SECOND ADDENDUM THIS SECOND ADDENDUM is entered into by and between BAC Home Loans Servicing LP, F/K/ A Countrywide Home Loans Servicing LP, a Texas Limited Partnership, as servicing agent and attorney in fact for The Bank of New York Mellon F/K/ A The Bank of New York, as Trustee for the Certificate Holders CWABS, Inc., Asset-Backed Certificates, Series 2006-22 Seller, and COLLIER COUNTY, a Political Subdivision of the State of Florida, Purchaser. Purchaser and Seller entered into that certain Purchase and Sale Agreement effective as of January 11, 2010, and executed by Purchaser on February 9, 2010 (the "Agreement"), and Addendum thereto executed by Purchaser on February 9, 2010 (the "Addendum"). Purchaser and Seller wish to amend the Agreement with the following terms and conditions: 1. Paragraph 3(b) of the Agreement and Paragraph 2 of the Addendum are revised to provide that, notwithstanding any other provisions of the Agreement and Addendum, the Closing shall take place on or before March 19, 2010. Except as expressly provided herein, the Agreement and Addendum between the Purchaser and the Seller remain in full force and effect according to the terms and conditions contained therein, and said terms and conditions are applicable hereto except as expressly provided otherwise herein.
