Counterproposal Addendum

ADDENDUM TO SALE AND PURCHASE AGREEMENT AND COUNTERPROPOSAL
THIS ADDENDUM is entered into by and between DEUTSCHE BANK NATIONAL TRUST
COMPANY, AS TRUSTEE FOR IXIS 2006-HE 1, Seller, and COLLIER COUNTY, a Political
Subdivision of the State of Florida, Purchaser. Purchaser and Seller entered into that certain "As
Is" Contract for Sale and Purchase, and Counterproposal to Purchase and Sale Agreement
attached thereto, dated of even date herewith (hereinafter collectively referred to as the
"Agreement''), and Purchaser and Seller wish to amend the Agreement with the following
additional terms and conditions:
1. Handwritten notations and/or strike-outs on lines 1, 2, 6, 7, 8, 15, 23, 32, 55,
58, 67, 76, 80, 98, 137, 139, 140, 141, 186 and the Addendum Regarding Defective
Drywall of the "As Is" Contract For Sale and Purchase are acceptable to the parties and
do not require initials in the margin.
2. Handwritten notations and/or strike-outs appearing on the Counterproposal
to Purchase and Sale Agreement in the areas specified herein below are acceptable to
the parties and do not require initials in the margin or otherwise:
- Page 1 of 10 - first Paragraph, "Price" section, "Seller Concessions" section, and
"Closing" section
- Page 4 of 10 - Paragraph 10, first line in Subparagraph A and first line in Sub-
Paragraph B
- Page 5 of 10 - Paragraph 12, lines 4 and 5
- Page 5 of 10 - Paragraph 15, last line
- Page 6 of 10 - Paragraph 16, 2nd Subparagraph, last 5 lines
- Page 6 of 10 - Paragraph 18, Subparagraph A, entire Subparagraph deleted
- Page 7 of 10 - Paragraph 18, Subparagraph B, entire Subparagraph deleted
- Page 8 of 10 - Paragraph 26, 2nd line
- Page 8 of 10 - Notation to "See Separate Signature Page"
- Page 9 of 10 - Section G, next to last line
- Page 10 of 10 - Notation to "See Separate Signature Page"
3. Paragraph K of the "As Is" Contract for Purchase and Sale is amended to
provide that Buyer shall pay, to Cypress Lakes Title Services, Inc. at closing, a settlement
or closing fee in the amount of $250.00 and post closing services in the amount of
$37.50.
Except as expressly provided herein, the Agreement between the Purchaser and the
Seller remains in full force and effect according to the terms and conditions contained therein,
and said terms and conditions are applicable hereto except as expressly provided otherwise
herein.
IN WITNESS WHEREOF, the Purchaser and Seller have hereto executed this Addendum
the day and year first above written.
