SUBORDINATION. CONSENT AND JOINDER OF MORTGAGE
THIS SUBORDINATION, CONSENT AND JOINDER OF MORTGAGE is given this /1-!JJ day of
December, 2008 by FIRST NATIONAL BANK OF ST. LOUIS, whose post office address is 7707 Forsyth
Boulevard, St. Louis, Missouri 63105 (hereinafter referred to as "Mortgagee"), in favor of COLLIER
COUNTY, A POLITICAL SUBDIVISION OF THE STATE OF FLORIDA, its successors and assigns,
whose post office address is 3301 East Tamiami Trail, Naples, Florida 34112 (hereinafter referred to as
"Collier County"). Mortgagee is used as singular or plural, as the context requires.
WIT N E SSE T H:
WHEREAS, Mortgagee is the owner and holder of that certain Mortgage by and between The
Islands Hotel, LLC, a Florida limited liability company, Port of the Islands Investments, LLC, a Florida
limited liability company, Port of the Islands Properties, LLC, a Florida limited liability company, The
Islands Marina, LLC, a Florida limited liability company, and The Islands Club, LLC, a Florida limited
liability company, and First National Bank of St. Louis, dated December 14, 2005 and recorded on
December 16, 2005 at Official Records Book 3948, Page 4009, et seq.; and Assignment of Rents dated
December 14, 2005 and recorded on December 16, 2005 at Official Records Book 3948, Page 4024, et
seq.; and UCC Financing Statement recorded on December 16, 2005 in Official Records Book 3948,
Page 4037, et seq., all in the Public Records of Collier County, Florida (hereinafter collectively referred to
as "Mortgage"), encumbering the premises legally described therein (hereinafter referred to as the
"Encumbered Property");
WHEREAS, Collier County has requested and received from the fee simple owner of the
Encumbered Property a perpetual, non-exclusive easement for purposes of access and ingress over, on
and across a portion of the Encumbered Property, which portion of the Encumbered Property is legally
described in Exhibit "A" attached hereto and incorporated herein by virtue of this reference (which
premises are hereinafter referred to as the "Easement Property"); and
WHEREAS, Collier County has requested that Mortgagee consent to, join in and subordinate its
mortgage to the interest that Collier County has in the Easement Property, to which request Mortgagee
has agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the Mortgagee does hereby
consent to, join in and subordinate the lien of its Mortgage to the grant of that certain easement described
herein over, on and across the Easement Property and any interest of Collier County in any access
facilities located therein or affixed thereto. Except as subordinated to the easement described herein
over, on and across the Easement Property, or any access facilities located therein or affixed thereto, said
Mortgage shall remain in full force and effect.
