DONATION AGREEMENT
rJ THIS DONATION AGREEMENT (hereinafter referred to as "Agreement") is made and entered into this

F'i'8rida limited partnership, whose post office address is 5858 Central Avenue, St. Petersburg, Florida 33707,
(hereinafter referred to as "Owner"), and the BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY,
FLORIDA, AS THE GOVERNING BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING
BOARD OF THE COLLIER COUNTY WATER-SEWER DISTRICT, whose post office address is 3301 Tamiami Trail
East, Naples, Florida 34112 (hereinafter referred to as "District").
WITNESSETH:
WHEREAS, District desires to acquire a perpetual easement on, across, over and under certain lands of
Owner, described in Exhibit "A" attached hereto (hereinafter referred to as "Easement"), for purposes of
constructing, operating, accessing and maintaining utility infrastructure and improvements necessary for the
development of a raw water supply well; and
WHEREAS, Owner has committed to donating the Easement for said purposes in conjunction with Brooks
Village, a Planned Unit Development (PUD); and
WHEREAS, in lieu of dedicating a platted County Utility Easement, Owner has requested the option of
granting the Easement by separate instrument; and
WHEREAS, Owner recognizes the benefit to Owner and desires to convey the Easement described in Exhibit
"A" to the District for the stated purposes, on the terms and conditions set forth herein, said terms including that no
compensation shall be due and payable for the Easement requested by District on, across, over and under the
Owner's lands
NOW, THEREFORE, in consideration of these premises, the sum of Ten Dollars ($10.00), and other good and
valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, it is agreed by and
between the parties as follows:
1. Owner shall convey the Easement to the District via a Utility Easement. Said conveyance shall be at no
cost to the District, except as otherwise provided below.
2. Subsequent to the conveyance of the Easement set forth above, District shall be responsible for the
maintenance and operation of the well site including the well facility and infrastructure located within the Easement.
3. District agrees to use the Easement, and access thereto, in a reasonable manner and to obtain any and all
applicable federal, state and local permits and approvals including, without limitation, Collier County landscape
requirements required in connection with District's use of the Easement, and at all times, to comply with all
requirements of all federal, state and local laws, ordinances, rules and regulations applicable or pertaining to the use
of the Easement by the District, including keeping the Easement area in a neat and clean condition pursuant to this
Agreement.
4. District agrees to restore, at sole cost to District, all areas disturbed during or as a result of any activities
by District as authorized by this Agreement, to substantially the same condition as such areas existed prior to such
activities, with the exception of the well facility and infrastructure and access thereto located within the easement.

5. In the event that District at any time discontinues use of the Easement for the stated purposes, District
shall be required to promptly, at its sole cost and expense, remove the well facility and infrastructure and, with
respect to any portion of the well facility located completely underground, properly abandon same, in accordance
with all laws and approvals, and District shall restore the Easement area, leaving same in good condition and in such
condition as is ready to be landscaped.
6. Owner will cooperate with District to obtain, from the holders of any mortgages encumbering the lands
underlying the Easement, the execution of such instruments which will subordinate such mortgages which adversely
affect, interfere with, or impede the intended use and enjoyment of the Easement.
7. Owner represents to its knowledge: that the lands underlying the Easement, and Owner's uses of said
lands, have been and presently are in compliance with all applicable Federal, State and Local environmental laws;
that no hazardous substances have been generated, stored, treated or transferred on the lands underlying the
Easement in violation of applicable environmental laws except as specifically disclosed to District; that the Owner
has no knowledge of any hazardous substance spill or environmental law violation on any land contiguous to or in
the vicinity of the Easement to be conveyed to District; that the Owner has not received notice and otherwise has no
knowledge of a) any hazardous substance spill on the lands underlying the Easement, b) any existing or threatened
environmental lien against the lands underlying the Easement, or c) any lawsuit, proceeding or investigation
regarding the generation, storage, treatment, spill or transfer of hazardous substances on the lands underlying the
Easement.
8. Conveyance of the Easement shall occur within sixty (60) days from the date the District executes this
Agreement.
9. Owner is aware and understands that this Agreement is subject to the acceptance and approval by the
Board of County Commissioners of Collier County, Florida.
10. District shall pay for all costs of recording the conveyance instruments and any curative instruments in the
Public Records of Collier County, Florida.
11. The use of the Easement by District shall be at the sole risk and expense of District, and Owner is
specifically relieved of any responsibility for damage or loss to District or other persons resulting from District's use of
the Easement for its purposes.
12. The obligations contained herein shall be absolute and primary and shall be complete and binding as to
each party, including successors and assigns, upon this Agreement being executed by the parties and subject to no
conditions precedent or otherwise.
13. Should any provision of this Agreement be determined by a court of competent jurisdiction to be illegal or in
conflict with any applicable law, the validity of the remaining provisions shall not be impaired.
14. This Agreement and the terms and provisions hereof shall be effective as of the date this Agreement is
executed by all parties, shall run with the land and shall inure to the benefit of and be binding upon the parties hereto
and their respective heirs, executors, personal representatives, successors, successor trustees, and/or assignees,
whenever the context so requires or admits.
15. Conveyance of the Easement by Owner is contingent upon no other provisions, conditions, or premises
other than those so stated above; and this written Agreement, including all Exhibits attached hereto, shall constitute
the entire Agreement and understanding of the parties, and there are no other prior or contemporaneous written or
oral agreements, undertakings, promises, warranties, or covenants not contained herein other than the Easement to
be granted to the District by Owner.
16. This Agreement is governed and construed in accordance with the laws of the State of Florida.

THIS SUBORDINATION, CONSENT AND JOINDER OF EASEMENT given this ''8'~ay of
a...v~ , 2008 by WACHOVIA BANK, National Association, a national banking association,
whose post office address is 100 South Ashley Drive, Suite 950, Tampa, Florida 33602 (hereinafter referred to
as "Mortgagee"), in favor of the BOARD OF COUNTY COMMISSIONERS OF COLLIER COUNTY, FLORIDA,
AS THE GOVERNING BODY OF COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING BODY OF
THE COLLIER COUNTY WATER-SEWER DISTRICT, its successors and assigns, whose address is 3301 East
Tamiami Trail, Naples, Florida 34112 (hereinafter referred to as "CCWSD"), Mortgagee is used as singular or
plural, as the context requires.
WIT N E SSE T H:
WHEREAS, Mortgagee is the owner and holder of the following instruments executed by Sembler
Family Partnership #41, L TD" a Florida limited partnership, to Wachovia Bank, National Association, a national
banking association: (I) that certain Mortgage, Security Agreement and Financing Statement dated November
14,2006 and recorded in OR Book 4140, Page 1160 of the Public Records of Collier County, Florida; and (ii)
that certain Absolute Assignment of Lessor's Interest in Leases and Rents, dated November 14, 2006 and
recorded in OR Book 4140, Page 1175 of the Public Records of Collier County, Florida; and (iii) that certain
UCC Financing Statement and recorded in OR Book 4140, Page 1184 of the Public Records of Collier County,
Florida; and (iv) that certain UCC Financing Statement filed in the Florida Secured Transaction Registry, file
number 200604182064, (hereinafter collectively referred to as "Mortgage"), encumbering the premises legally
described therein (hereinafter referred to as the "Encumbered Property"); and
WHEREAS, CCWSD has requested and received from the fee simple owner of the Encumbered Property
a perpetual, non-exclusive easement for utility purposes, and access, over, under, on and across a portion of
the encumbered premises legally described in Exhibit "A" attached hereto and incorporated herein by virtue of
this reference (which premises are hereinafter referred to as the "Easement Property"); and
WHEREAS, CCWSD has requested that Mortgagee consent to, join in and subordinate its Mortgage to
the interest that CCWSD has in the Easement Property, to which request Mortgagee has agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the Mortgagee does hereby consent
to, join in and subordinate the lien of its mortgage to the grant of that certain easement described herein over,
under, on and across the Easement Property and any interest of CCWSD in any utility and maintenance
facilities located therein or affixed thereto. Except as subordinated to the easement described herein over,
under, on and across the Easement Property, or any utility, access and maintenance facilities located therein or
affixed thereto, said Mortgage shall remain in full force and effect.

purposes of constructing, operating and maintaining a raw water supply well together with necessary
related appurtenant infrastructure and access on the following described lands located in Collier County,
Florida, to wit:

Subject to easements, restrictions, and reservations of record,
THIS IS NOT HOMESTEAD PROPERTY.
TO HAVE AND TO HOLD the same unto the Grantee together with the right to enter upon said
land, excavate, and place or remove materials, including, but not limited to, water lines and pipes, well
pumps and raw water wells, and other equipment or improvements appurtenant thereto or thereunder for
the purpose of constructing, operating, and maintaining a raw water supply well and its appurtenant
infrastructure thereon. The easement granted herein shall constitute easements running with the land and
shall burden the lands described above,

THIS CORRECTIVE AMENDMENT TO QUITCLAIM DEED AND TEMPORARY
CONSTRUCTION EASEMENT AND RELATED DOCUMENTS ("Amendment") is made as of the

LTD., a Florida limited partn ShIP, havmg a mallmg address of 5858 Central Avenue, St. Petersburg,
Florida 33707 ("Sembler") and COLLIER COUNTY, a political subdivision of the State of Florida
(Tonnty").
RECITALS:
A. Sembler has previously executed and recorded in the Public Records of Collier County,
Florida (the "Public Records") that certain Quitclaim Deed dated November 17, 2008, and recorded in
O.R. Book 4413, at Page 0905, of the Public Records (the "Q/C Deed").
B. Sembler has previously executed and recorded in the Public Records that certain
Temporary Construction Easement dated November 17,2008, recorded in O.R. Book 4413, Page 0910 of
the Public Records (the "TCE").
C. In connection with the Q/C Deed, Sembler and County previously executed that certain
Donation Agreement dated November 17, 2008 (the "Donation Agreement"), and Wachovia Bank,
National Association ("Wachovia") previously executed and recorded in the Public Records that certain
Partial Release of Mortgage dated November 20,2008, and recorded in O.R. Book 4413, Page 0901 of
the Public Records (the "Partial Release").
D. In connection with the TCE, Sembler and County previously executed that certain
Temporary Construction Easement Agreement dated November 17, 2008 (the "TCE Agreement"), and
Wachovia previously executed and recorded in the Public Records that certain Subordination, Consent
and Joinder of Easement dated November 17,2008, and recorded in O.R. Book 4413, Page 0914 of the
Public Records (the "Subordination, Consent and Joinder"). The QIC Deed, TCE, Donation
Agreement, Partial Release, TCE Agreement and Subordination, Consent and Joinder are referred to
hereinafter collectively as the "Documents".

E. Exhibit A to each of the Documents incorrectly refers to the Plat of Brooks Village as
having been recorded in Plat Book 99, Page 27 of the Public Records, rather than in Plat Book 49, Page
27 of the Public Records.
F. The purpose of this Amendment is to correct the incorrect recording information for the
Plat of Brooks Village included in each of the Documents.
AGREEMENT:
NOW, THEREFORE, each of the Documents is hereby amended as follows:
I. Recitals. The recitals are incorporated herein as if set forth in full.
2. Corrective Amendment. Exhibit A attached to each of the Documents is hereby
amended by replacing each ofthe references to the Plat of Brooks Village as being recorded in "Plat Book
99, Page 27" (or "PB 99, PG27") of the Public Records with "Plat Book 49, Page 27" (or "PB 49, PG2?")
of the Public Records.
3. Renresentations. The persons executing this Amendment and/or the joinder attached
hereto represent and warrant that they have all requisite authority to execute this Amendment and/or such
joinder (as applicable).
4. Ratification. Except as amended or modified by this Amendment, the terms of the
Documents shall remain in full force and effect.
5. Counternarts. This Amendment may be executed in any number of counterparts, each
of which shall be deemed an original and all of which shall be taken to be one and the same instrument,
for the same effect as if all of the parties hereto (including all parties executing joinders) had signed the
same signature page.
