Assignment.,Assignor hereby assigns all rights and obligations under the IQ Water Agreement to Assignee and agrees to indemnify Assignee for any and all liability including damages, court costs and attorney's fees, arising or accruing under the IQ Water Agreement prior to the date hereof. 16C4 • 4. Acceptance. Assignee hereby agrees to accept all rights, duties, benefits, terms, conditions and obligations of Assignor under the IQ Water Agreement, including all existing and future obligations to perform thereunder, and agrees to indemnify Assignor and the District for any and all liability including damages, court costs and attorney's fees, arising or accruing under the IQ Water Agreement on or after the date hereof, 5. Successors and Assigns. This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns, subject to the approval of the District. • 6. Miscellaneous.
