Initials of attorney verifying that the attached document is the version approved by the B is not BCC,all changes directed by the BCC have been made,and the document is ready for the option for Chairman's signature. this line. 16A8 INTERLOCAL AGREEMENT FOR LIFEGUARD MANAGEMENT PROGRAM BETWEEN COLLIER COUNTY AND NORTH COLLIER FIRE CONTROL AND RESCUE DISTRICT This interlocal agreement ("Agreement") is entered into by and between COLLIER COUNTY (the "County") and the NORTH COLLIER FIRE CONTROL AND RESCUE DISTRICT, an independent special district of the State of Florida created under Chapter 2015-191, Laws of Florida (the "District") (collectively, the "Parties" and each a "Party"). WHEREAS, the District is an independent special district that was formed in 2015 by the merger of two existing special independent fire districts — the North Naples Fire Control and Rescue District and the Big Corkscrew Island Fire Control and Rescue District, and is governed by Chapter 2015-191, Laws of Florida, and Chapters 189 and 191, Florida Statutes, and provides emergency fire, rescue, and emergency medical services to an area in Collier County; and WHEREAS, Section 191.008, Florida Statutes, authorizes the District to establish and maintain emergency medical and rescue response services and acquire and maintain rescue, medical, and other emergency equipment; and WHEREAS, Section 4 of the District's Charter found in Chapter 2015-191, Laws of Florida, authorizes the District to establish, equip, operate, and maintain a fire department and rescue squad, and provide emergency medical and rescue response services; and WHEREAS, there are extensive beaches in unincorporated Collier County and two (2) public pools in the District, the Big Corkscrew Island Regional Park and North Collier Regional Park Sun N Fun (collectively, the "Pools" and each a "Pool"), and currently the County manages the Pools with lifeguards that it employees or contracts for such services ("County Staff'); and WHEREAS, in situations of near or actual drownings and other water related medical emergencies, especially when children are involved, the arrival time of emergency medical services may mean the difference between a child surviving with no permanent injuries; and 1 CAO 16A8 WHEREAS, the District desires to provide beach safety and education services at a to be determined beach location in the District, including but not limited to advising beach and water users concerning surf conditions and safety issues and providing/coordinating rescue activities and emergency response, in order to increase the level of service to the District's citizens and visitors ("Ocean Rescue Program"); and WHEREAS, the District and County have determined that it would beneficial to develop a program to service the District with adequate lifeguard services by having the District manage a lifeguard program, as defined below, for the County; and WHEREAS, the District and County have determined that it would be beneficial to have the District employ or contract with individuals that have been certified as lifeguards ("Lifeguards") to be at the Pools (the "Pool Program"), which increases life safety services to the County's citizens and visitors, and to allow for the future Ocean Rescue Program (collectively the Pool Program and the Ocean Rescue Program are the "Lifeguard Program") in accordance with this Agreement with the County paying a specified amount for such services; and WHEREAS, the District will be in charge of staffing, administering and managing the Lifeguard Program and the County will pay the District for such services and provide facilities for the Lifeguard Program as set forth in this Agreement; and WHEREAS,the Parties believe it is mutually advantageous and in the interest of the public health, safety, and welfare of its citizens and visitors to implement a Lifeguard Program and desire to define their respective responsibilities thereunder; and WHEREAS, an additional benefit of the Lifeguard Program is that it will allow specified Lifeguards that are EMTs or paramedics to more rapidly respond to emergencies at the North Collier Regional Park and Big Corkscrew Island Regional Park; and WHEREAS, Chapter 163, Florida Statutes, permits governmental units to enter into interlocal agreements to make the most efficient use of their powers by enabling them to cooperate with one another on a basis of mutual advantage. 2 CA0 16A8 NOW, THEREFORE, in consideration of the mutual covenants, promises and representations herein, the Parties agree as follows: AGREEMENT 1. Recitals. The recitals in the foregoing whereas clauses above are true and correct and are incorporated by reference in this Agreement. 2. Purpose and Scope. This Agreement is entered into between the Parties in accordance with the provisions of Section 163.01, Florida Statutes, to provide the terms under which the County and District will implement the Lifeguard Program. 3. Term of Agreement. The effective date of this Agreement shall commence on the date a fully executed copy of this Agreement is filed pursuant to Section 24 below with the Clerk of the Circuit Court in Collier County, Florida ("Effective Date"). The term of this Agreement shall begin on February 24, 2026 and continue through September 30, 2028 ("Term"), unless earlier terminated as provided below or in accordance with Section 11. The Agreement will automatically renew for two (2) additional one (1) year terms unless a Party provides written notice to the other Party at least ninety (90) days prior to the renewal of the Agreement. 4. District Responsibilities. A. Pool Program. i. The District shall supply Lifeguards for the Pools during the hours and days of operations set in accordance with iv. below. ii. The District will implement the current established standard operating procedures for the safe and efficient operations of the pool lifeguard services at the Pools, which is attached as Exhibit A,through its adoption of Exhibit A.The County agrees that any future revisions to the standard operating procedures for lifeguard services at the Pools will be established in conjunction with the District. If the County proposes changes to the standard operating procedures, the District must notify whether it accepts or rejects such proposed changes in writing within thirty 3 CAO 16A8 (30) days of receipt. If the District does not timely notify the County, the proposed changes will be deemed accepted by the District and will be implemented. The District does not need to implement the changes that it timely rejects in writing. iii. Lifeguards will comply with the District established standard operating procedures associated with the Pools. iv. The County will set the days and hours of operation of the Pools and shall provide notice of any changes to the days and hours of operation for each Pool in writing to the District at least fifteen (15) days prior to any such changes in the days and/or hours of operation of the Pools. Additionally, if the County schedules any activities or events outside of the regularly scheduled hours of operation of the Pools ("Event" or "Events"), the County shall provide fifteen (15) days advance written notice to the District of any Event and shall reimburse the District for any additional costs incurred by the District for providing a Lifeguard(s) for the Event, which shall be paid at the District's special events rate that is in effect at the time of the Event. v. Lifeguards that are EMTs or paramedics that are on duty at a Pool may be available to respond to emergencies within the North Collier Regional Park or the Big Corkscrew Island Regional Park. If dispatched to an emergency within the park,the District shall ensure that County operations remain uninterrupted and that all Pools are continuously supervised without exception. B. Ocean Rescue Program. The District has the right, at its sole discretion, to establish and implement an Ocean Rescue Program. If the District elects to implement the Ocean Rescue Program, the District shall supply Lifeguards for the District selected beach tower locations on days and hours at its sole discretion. Prior to initiating service from a 4 'cpo 1 6A8 4i beach tower, the District will inform the County of the election to provide service and the location of the beach tower(s). ii. The District shall supply beach safety services including, but not limited to, lifeguard services, beach safety education, patrolling and supervising beach and Gulf areas from an assigned lifeguard location, patrol vehicle, or vessel; performing rescue and accident prevention activities at the beach and in the open water environment; monitoring and advising beach and water users of local, state, and federal laws, rules, and ordinances; providing and coordinating emergency medical and water-rescue activities and emergency response. Such services should be provided within sight distance of the selected beach tower. As used herein, "within sight distance" shall mean not more than two hundred (200) meters of linear shoreline with not more than a fifty (50) meter bathing limit. iii. Lifeguards will comply with the District established standard operating procedures for the safe and efficient operations of the beach safety and education service. iv. The District will be responsible for setting the days and hours of operation of its Ocean Rescue Program. C. Lifeguard Program. The following provisions apply to the Pool Program, and if implemented by the District, the Ocean Rescue Program: i. The District will ensure that it staffs each Pool and beach tower, if applicable, in a manner to allow Lifeguards all legally required breaks during the workday. ii. The District shall ensure adequate staffing to meet educational, preventive, and response coverage. iii. The District shall ensure that all Lifeguards are properly certified to provide such services during the term of this Agreement. 5 CAO 16A8 iv. The District will be responsible for paying the hourly wages, benefits, and any training and certifications for the Lifeguards and determining the terms and conditions of employment for the Lifeguards. v. The District will provide the Lifeguards with the appropriate clothing and a whistle as well as all necessary lifeguard saving equipment as solely determined by the District. If a beach tower location is established, the District will install the tower in accordance with Collier County requirements. vi. The District shall provide personnel training and management in addition to maintaining equipment it owns or controls for the Lifeguard Program. vii. All discipline, and investigations leading to discipline, of Lifeguards will be handled by the District. 5. County Responsibilities. A. Pool Program. i. The County shall allow Lifeguards to use any space that immediately prior to this Agreement was authorized to be used by County Staff, including the provision of lockers or a secure area for Lifeguards belongings as well as an adequate office space, as determined by the District at each Pool. ii. The County shall ensure that there is free drinking water at each Pool available at all times for the Lifeguards. iii. The County shall provide a mechanism for Lifeguards to have access to enter the facility in which the Pool is located. The County shall allow the District access to the Pools outside of the Pools' regular hours of operation for training purposes related to the Lifeguard Program. iv. The County shall ensure the Pools are open during the days and hours of operation set in accordance with Section 4.A. 6 CAC. 1 6A8 B. Lifeguard Program. The County shall furnish required information and services and render approvals and decisions as necessary for the orderly progress of the District's services under this Agreement. C. The County will provide the District two (2) offices and access to at least one conference room at the North Collier Regional Park Administration Building at no cost to the District. 6. Funding. A. The County shall compensate the District at a rate of $20.00 per hour per lifeguard. Payments will be made only for services that are furnished, delivered, and officially accepted, upon receipt of a proper and detailed invoice from the District with approval by the County Manager or designee. Total compensation under this Agreement shall not exceed $720,000 per fiscal year. The Parties further agree that should the Ocean Rescue Program be instituted; the County is not liable for payment to the District for such service unless this Agreement is amended in accordance with Section 22. B. In the event the District determines that additional maintenance of the lifeguard stands, including replacement of existing lifeguard stands, at the Pools is necessary for the District's performance of services under this Agreement, the District shall provide a written request of the maintenance, and the County shall perform such maintenance within thirty (30) days. If the County fails to perform the requested maintenance, the District is not obligated to provide a lifeguard for such location. C. The District shall invoice the County, in a form agreed upon by the County and the District, for all required payments due. Payment by the County shall be made in accordance with the Florida Prompt Payment Act. D. The County shall compensate the District for services rendered in arrears. The District shall submit an itemized invoice to the County on a monthly basis for services performed during the preceding month. All financial obligations shall terminate on the final day of service 7 CAO 16A8 or upon termination after written notification pursuant to Section 11 below, and any accounts due hereunder will be paid in full in accordance with the Florida Prompt Payment Act, Section 218.74, Florida Statutes. 7. Emergency Medical Services. District will be the agency having jurisdiction unless the ALS apparatus that arrives on scene is a Collier County EMS ambulance, at which time the County becomes the agency having jurisdiction. The District and County will recognize the respective ranks and abilities of the other Party. 8. Insurance. The District shall purchase and maintain through the Agreement term, worker's compensation, comprehensive general liability (occurrence form), comprehensive automobile liability, and other insurance as is appropriate for the services being performed hereunder by the District, its employees, subcontractors, or agents. The amounts and types of worker's compensation, comprehensive general liability(occurrence form), and comprehensive automobile liability insurance shall conform to the following minimum requirements: i. Worker's Compensation Coverage must apply for all employees and statutory limits must be in compliance with the applicable state and federal laws unless a current Florida Workers Compensation exemption certificate is provided. In addition, the policy must include the following: a. Employer's Liability with a minimum limit per accident in accordance with statutory requirements. b. Notice of Cancellation and/or Restriction. The policy must be endorsed to provide the County with thirty (30) days' written notice of cancellation and/or restriction. ii. Comprehensive General Liability coverage must include: 8 Cod 16A8 fr a. $1,000,000 combined limit per occurrence for bodily injury, personal injury, and property damage. b. Contractual coverage applicable to this specific contract, including any hold harmless and/or indemnification agreement. c. Additional Insured. The County is to be specifically included as an additional insured. d. Notice of Cancellation and/or Restriction. The policy must be endorsed to provide the County with thirty (30) days' written notice of cancellation and/or restriction. iii. Comprehensive Automobile Liability coverage must be afforded on a form no more restricted than the latest edition of the Comprehensive Automobile Liability Policy filed by the Insurance Services Office and must include: a. $300,000 combined single limit per accident for bodily injury and property damage. b. Owned vehicles. c. Hired and Non-Owned vehicles. d. Employee Non-Ownership. e. Additional Insured. The County is to be specifically included as an additional insured. f. Notice of Cancellation and/or Restriction. The policy must be endorsed to provide the County with thirty (30) days' written notice of cancellation and/or restriction. iv. Professional Liability Coverage must include: a. Minimum limits of $1,000,000 per occurrence and in the aggregate for claims of malpractice, negligence, error and omissions. b. Notice of Cancellation and/or Restriction. The Policy must be endorsed to provide The County with thirty (30) days' prior notice of cancellation and/or restriction of coverage by changed exclusion. 9 CAO 16A8 9. Notices. Noncompliance or Default. In the event of noncompliance with any of the terms or conditions of this Agreement, a Party shall provide the noncompliant Party with written notice 10 CA 1 6 A 8 stating the noncompliance. In the event the noncompliant Party fails to remedy any noncompliance within ten (10) days from the date of receipt of the written notice, the noncompliance shall constitute a default where the notifying Party may immediately terminate this Agreement. 11. Termination. Except when a default has occurred, as provided in Section 10, either Party may terminate this Agreement by providing ninety (90) days written notice to the other Party. 12. Compliance with Applicable Law. The Parties will each comply with all applicable federal, state, and local laws, rules, regulations, and guidelines related to their performance under this Agreement. 13. Indemnification. Nothing in this Agreement shall be deemed a waiver of immunity limits of liability or sovereign immunity of either the County or the District, pursuant to Chapter 768, Florida Statutes, and any amendment thereto, or other statute or law. Nothing in this Agreement shall inure to the benefit of any third party for the purpose of allowing any claim, which would otherwise be barred under the Doctrine of Sovereign Immunity or operation of law. To the extent permitted by law, the County agrees to indemnify and hold the District harmless from and against any and all damages, losses or claims, including but not limited to, legal fees and expenses, to the extent that such damages, losses or claims are attributable to actions, omissions or negligence by the County, its supervisors, officers, agents, employees or independent contractors. To the extent permitted by law, the District agrees to indemnify and hold the County harmless from and against any and all damages, losses or claims, including, but not limited to, legal fees and expenses, to the extent that such damages, losses or claims are attributable to actions, omissions or negligence by the District, its supervisors, officers, agents, employees or independent contractors. This section shall survive the termination or expiration of this Agreement. 11 CAO 16A8 14. Non-Appropriation. The District's obligation to provide Lifeguards at the Pools and selected beach tower location(s) under this Agreement is subject to the District Board of Commissioners authorizing the costs in its annual budget. 15. Dispute Resolution; Remedies; Attorney's Fees. Before the commencement of any legal proceedings, in the event that the Parties disagree regarding interpretation of this Agreement, or the fulfillment of obligations required hereunder, the Parties must meet, within thirty (30) days of written request by either Party (the "Initial Meeting"). The District's Fire Chief and the County's County Manager shall be in attendance at the Initial Meeting. Should the dispute not be resolved within thirty(30) days of the Initial Meeting, the Chair of the District's Board of Fire Commissioners and the Chair of the County's Board of County Commissioners shall meet within thirty (30) days in an effort to resolve the dispute (the "Secondary Meeting"). If the dispute is still not resolved within thirty (30) days of the Secondary Meeting, the Parties shall initiate the conflict resolution procedure provided in Chapter 164, Florida Statutes. Should the dispute still not be resolved within thirty (30) days of the dispute resolution procedure provided in Chapter 164, Florida Statutes,the Parties may then pursue any other legal remedies. This Agreement may be enforced in any manner authorized by law and does not preclude any Party from seeking judicial or administrative remedies for violation of the terms and conditions of this Agreement. Each Party shall bear its own costs and attorney fees related to this matter. 16. Governing Law. This Agreement shall be governed by and construed under the laws of the State of Florida. The Parties agree that venue lies in Collier County, Florida. If any term, covenant, or condition of this Agreement or the application thereof to any person or circumstances will, to any extent, be deemed lawfully invalid or unenforceable, the remainder of this Agreement or the application of such term, covenant, or condition to persons or circumstances other than those as to which it is held to be invalid or unenforceable, will not be effected thereby and each term, covenant, and condition of this Agreement will be valid and enforced to the fullest extent permitted by law. 12 CAO 16A8 17. Severability. If any term, covenant, or condition of this Agreement or the application thereof to any person or circumstances will, to any extent, be deemed lawfully invalid or unenforceable, the remainder of this Agreement or the application of such term, covenant, or condition to persons or circumstances other than those as to which it is held to be invalid or unenforceable, will not be affected thereby and each term, covenant, and condition of this Agreement will be valid and enforced to the fullest extent permitted by law. 18. Authorizations. The Parties represent that the individuals who have signed this Agreement have the actual legal power, right, and authority to enter into this Agreement and bind each respective Party. 19. Binding Effect. This Agreement will be binding upon and inure to the benefit of the Parties and their successors and assigns. 20. Assignment. Neither Party shall assign this Agreement without the express prior written consent of the other Party. 21. Waiver and Default. No waiver of any default shall constitute a waiver of any other default or breach, whether of the same or other covenant or condition. No waiver, benefit, privilege, or service voluntarily given or performed by a Party shall give the other Party any contractual right by custom, estoppel, or otherwise. 22. Entire Agreement. This Agreement constitutes the entire agreement between the Parties and, unless otherwise provided herein, may be amended only in writing, signed by both Parties. 23. Counterparts. The Parties may execute this Agreement in counterparts. 24. Filing. Big Corkscrew Aquatic Facility At the beginning of every day the Supervisor on deck will assign the lifeguards a station to begin at to maintain a safe environment for the patrons to the facility. The rotation will be set up depending on the number of guards on staff that day, and how many people we expect on deck that day. Full-Time Lifeguard A full-time lifeguard works 15-20 hours more than the average job-bank lifeguard.This guard has gone through the interview process and has the credentials and knowledge to help maintain the park.They have also shown satisfactory skills and knowledge overall. The full-time lifeguard will also be there to help supervisors with tasks if needed. (guard evaluations, stand checks,temps, counts,etc....) Each section of the park is the name of the amenity Main Pool: Directly in front of the pump house building. The Main Pool includes 8 lap lanes,a diving well with one 1-meter diving board and one 3-meter board. The depth of this pool ranges from the shallow end which is 3ft. 9in. to the deepest end which is 13ft. Slides: Between the baby pool and main pool are the flume style slides.The slides consist of an open (blue)and closed(yellow)slide that drops into a flume.Also includes the top of slides. cp,0 16A8 Family Pool: Family pool is between the main pool and the admin office. This pool has a zero-depth entry pool and the depth does not exceed 3ft. 9in. This area has aquatic features and a big bucket that dumps into the pool near the zero-depth entry. Wading Pool: The Kiddy Pool is located between the slides and the Restroom/Lockers. This area consists of a zero-depth entry and the depth does not exceed 9 in. 1. A roamer is just a name for someone who is not in rotation but is ROAMING the park throughout the day this includes checking on the lifeguards in rotation.
