WITNESSETH
WHEREAS,the Fiscal Year 2022-2025 Local Housing Assistance Plan,as amended,was
adopted by the Board of County Commissioners on April 26,2022, Resolution No. 2022-68A and
amended by technical revision November 10, 2022 and amended by technical revision on July 23,
2024 (Item 16.D.3).
WHEREAS, on October 10, 2023, Agenda Item 16.D.3, the County entered into an
Agreement with Habitat for Humanity of Collier County, Inc. to administer the State Housing
Initiatives Partnership(SHIP)New Construction Assistance program; and
WHEREAS, on April 23, 2024, Agenda Item 16.D.2, the Board of Collier County
Commissioners (Board) approved Amendment No. 1 to increase the award amount in the
Agreement from $2,000,000.00 to$3,500,000.00; and

WHEREAS, on January 14, 2025, Agenda Item 16.D.8, the Board approved Amendment
No. 2 to increase the amount of reimbursement per housing unit and to change set aside
requirements and
WHEREAS,the parties wish to further amend the Agreement to decrease the total funding
amount of the agreement,add Performance Deliverables,update contact information under Section
1.5 Notices, update contact information under Section 2.2 Records and Documentation, update
Purchasing requirements, add citizen requirements, revise unit requirement in Exhibit B, and

1.8 NOTICES
Notices required by this Agreement shall be in writing and delivered via mail (postage
prepaid). commercial courier, personal delivery, or sent by facsimile or other electronic
means. Any notice delivered or sent as aforesaid shall be effective on the date of delivery

2.2 RECORDS AND DOCUMENTATION
The SPONSOR shall maintain sufficient records, in accordance with FHFC program
regulations as provided in Exhibit B, to verify compliance with the requirements of this
Agreement, the SIIIP Program. and all other applicable laws and regulations. This
documentation shall include but is not limited to, the following:
A. All records required by SHIP regulations.
B. SPONSOR shall keep and maintain public records that ordinarily and necessarily
are required by COUNTY in order to perform the service.
C. SPONSOR shall make available to the COUNTY or CHS,at any time upon request.
all reports,plans,surveys, information,documents,maps,books,records,and other
data procedures developed, prepared. assembled, or completed by the SPONSOR
for this Agreement. Materials identified in the previous sentence shall he in
accordance with generally accepted accounting principles (GAAP). procedures.
and practices, which sufficiently and properly reflect all revenues and expenditures
of funds provided directly or indirectly by this Agreement, including matching
funds and Program Income. These records shall be maintained to the extent of such
detail as will properly reflect all net costs, direct and indirect labor, materials.
equipment. supplies and services, and other costs and expenses of whatever nature
for which reimbursement is claimed under provision of this Agreement.
D. Upon completion of all work contemplated under this Agreement, copies of all
documents and records relating to this Agreement shall be surrendered to CBS, if
requested. In any event, SPONSOR shall maintain all documents and records in an
orderly fashion in a readily accessible, permanent. and secured location for three
(3) years after the date of submission of'the annual performance and evaluation
report. as prescribed in Florida Statute Chapter 257.36. However, if any litigation.
claim or audit is started before expiration date of the three (3) year period, the
records will be maintained until all litigation, claim, or audit findings involving
these records are resolved. If the SPONSOR ceases to exist after the closeout of

this Agreement, it will notify the COUNTY in writing, of the address where the
records are to be kept, as outlined in Florida Statute Chapter 257.36. The
SPONSOR shall meet all requirements for retaining public records and transfer, at
no cost to COUNTY, all public records in SPONSOR'S possession upon
termination of the Agreement and destroy any duplicate exempt or confidential
public records that are released from public records disclosure requirements. All
records stored electronically must be provided to the COUNTY in a format that is
compatible with the COUNTY's information technology systems.

3.10 PURCHASING
All purchases for consumables,capital equipment.and services shall be made by purchase
order or written contract and in conformity and in full compliance with the procedures
prescribed by applicable Florida Statutes (e.g., Fla. Stat. Section FL 287.017) and the
Collier County Purchasing Policy, whichever is more stringent. Collier County Ordinance
tt2017 082025-34 allows for contracting with not-for-profits through the approved
exemption.

employees, or be put out to competitive bidding, under a procedure acceptable to the
COUNTY and State of Florida requirements. SPONSOR shall enter into contracts with the

lowest, responsible, and qualified bidder. Contract administration shall be managed by
SPONSOR and monitored by CIIS, which shall have access to all records and documents
related to the Project.
It is expressly understood and agreed that any articles that are the subject of, or required to
cam out this Agreement shall he purchased from the corporation identified under Chapter
946, F.S.. in the same manner and under the same procedures set forth in 9.16.515(2) and
(4). F.S.: and for the purposes of this Agreement the SPONSOR shall he deemed to he
substituted for the COl N I l' insofar as dealings with such corporation are concerned.
Purchases h\ Other Agencies. The Department of Management Services may appro\e this
Agreement as an alternate contract source pursuant to Rule 60A-I.045. F.A.C. if requested
by another agent\. Other State agencies may purchase from the resulting contract.

sell these commodities or services to additional agencies, upon the terms and conditions
contained herein.
Recycled Products. The SPONSOR shall procure any recycled products or materials,which
are subject of or are required to earn out this Agreement,_in accordance with §403.7065,
F.S.
As provided in section 287.133. Florida Statutes, by entering into this Agreement or
performing any work in furtherance hereof, SPONSOR certifies that it, its affiliates,
suppliers, subcontractors, and consultants who will perform hereunder, have not been
placed on the convicted vendor list maintained by the State of Florida Department of
Management Services within the 36 months immediately preceding the date hereof. This
notice is required by section 287.133(3)(a), Florida Statutes.
3.15 PROGRAM BENEFICIARIES
As defined by Florida Statutes Chapter 420, sections 420.9071-420.9079 and the Collier
County Local Housing Assistance Plan(LHAP), 100 percent (100%)of the beneficiaries
receiving SHIP funding through this Agreement must meet the requirement to be at or
below 120 percent (120%)of the Area Median Income(AMI), as established by HUD.
Additionally, the SI HP program requires SPONSOR to meet specific income set-asides,
which are described in Exhibit R. Income eligibility' of tenants will he validated with
supporting documentation during interim monitoring and at closeout.
SAVE Response Requirement
In accordance with Section 214 of the !lousing and ('ommunit\ De\elopment Act and

erilication for all program beneficiaries prior to the provision of SHiP-funded assistance.
The Sponsor must ensure that each assisted household including all household members
meet eligible immigration status requirements and must maintain documentation of SAVE
confirmation in the participant file and Neighborly. No SHIP funds may he expended for
any beneficiary until SAVE eligibility has been verified and properly recorded. The
Sponsor shall retain all verification records in compliance \.ith state record-keepinT
requirements and make such documentation available for monitoring or audit upon request.

(i)Program Set-Asides:
The SPONSOR must meet the following SHIP mandated, program set-aside requirements:
A. A minimum of 30 percent of the funds must assist eery low-income households at or
below 50 percent (50%) area median income. Furthermore, the remaining funds must
assist very low and/or low-income households at or below 80 percent(80%)area median
income.Although the SHIP statute mentions 30 percent(30%)for very low-income and
another 30 percent (30%) for low-income persons. there are many combinations that
fulfill the set-aside requirement. In all cases, at least 30 percent (30%) must be
designated for very low-income households-A minimum of 14 units for households at
or below 50 percent(50%)AMI.
B. A minimum of 20 percent(20%)of funding must be used to serve persons with special
needs as defined in § 420.0004 Florida Statutes. Section 420.9075(5) of the SHIP
Statutes addresses the special needs set-aside. A minimum of-IO 8 units for households
identified as Special Needs per SHIP Statutes.

2.2 RECORDS AND DOCUMENTATION
The SPONSOR shall maintain sufficient records, in accordance with FHFC program
regulations as provided in Exhibit B. to verify compliance with the requirements of this
Agreement, the SHIP Program, and all other applicable laws and regulations. This
documentation shall include but is not limited to, the following:
A. All records required by SHIP regulations.
13. SPONSOR shall keep and maintain public records that ordinarily and necessarily
are required by COUNTY in order to perform the service.
C. SPONSOR shall make available to the COUNTY or CHS,at any time upon request,
all reports,plans,surveys, information,documents,maps,books,records,and other
data procedures developed, prepared. assembled, or completed by the SPONSOR
for this Agreement. Materials identified in the previous sentence shall be in
accordance with generally accepted accounting principles (GAAP). procedures.
and practices, which sufficiently and properly reflect all revenues and expenditures
of funds provided directly or indirectly by this Agreement, including matching
funds and Program Income. These records shall be maintained to the extent of such
detail as will properly reflect all net costs. direct and indirect labor, materials,
equipment. supplies and services, and other costs and expenses of whatever nature
for which reimbursement is claimed under provision of this Agreement.
I). Upon completion of all work contemplated under this Agreement. copies of all
documents and records relating to this Agreement shall be surrendered to CHS, if
requested. In any event, SPONSOR shall maintain all documents and records in an
orderly fashion in a readily accessible, permanent. and secured location for three
(3) years after the date of submission of the annual performance and evaluation
report, as prescribed in Florida Statute Chapter 257.36. However, if any litigation.
claim or audit is started before expiration date of the three (3) year period. the
records will be maintained until all litigation, claim, or audit findings involving
these records are resolved. If the SPONSOR ceases to exist after the closeout of

3.15 PROGRAM BENEFICIARIES
As defined by Florida Statutes Chapter 420, sections 420.9071-420.9079 and the Collier
County Local Housing Assistance Plan (1 1-1AP). 100 percent (100%)of the beneficiaries
receiving SHIP funding through this Agreement must meet the requirement to he at or
below 120 percent (120%)of the Area Median Income (AMi), as established by HUD.
Additionally, the SHIP program requires SPONSOR to meet specific income set-asides,
which are described in Exhibit B. Income eligibility of tenants will be validated with
supporting documentation during interim monitoring and at closeout.

In accordance with Section 214 of the Housing and Community Development Act and

(i)Program Set-Asides:
The SPONSOR must meet the following SHIP mandated. program set-aside requirements:
A. A minimum of 30 percent of the funds must assist very low-income households at or
below 50 percent (50%) area median income. Furthermore, the remaining funds must
assist very low and/or low-income households at or below 80 percent(80%)area median
income.Although the SHIP statute mentions 30 percent(30%)for very low-income and
another 30 percent (30%) for low-income persons. there are many combinations that

(i) Program Set-Asides:
The SPONSOR must meet the following SHIP mandated, program set-aside requirements:
A. A minimum of 30 percent of the funds must assist very low-income households at or
below 50 percent (50%)area median income. Furthermore, the remaining funds must
assist very low and/or low-income households at or below 80 percent(80%)area median
income.Although the SHIP statute mentions 30 percent(30%)for very low-income and
another 30 percent (30%) for low-income persons. there are many combinations that
fulfill the set-aside requirement. In all cases. at least 30 percent (30%) must be
designated for very low-income households-A minimum of 14 units for households at
or below 50 percent(50%)AMI.
B. A minimum of 20 percent(20%)of funding must be used to serve persons with special
needs as defined in § 420.0004 Florida Statutes. Section 420.9075(5) of the SHIP
Statutes addresses the special needs set-aside. A minimum of-1-0 5 units for households
identified as Special Needs per SHIP Statutes.
