Executive Summary
Recommendation to approve and authorize the submittal of the Florida Department of Environmental Protection Division
of State Lands Sovereignty Submerged Land Lease Renewal for a period of ten years, and authorize the Chair to sign the
attached Sovereignty Submerged Land Lease.
OBJECTIVE: To provide for public access to waterways located at the Goodland Boating Park by submitting the
required Florida Department of Environmental Protection's ("FDEP") fully sovereign submerged lands lease renewal
and modification to increase square footage to the Florida Division of State Lands.
CONSIDERATIONS: On July 28, 2009 (Item 16D13), the Board approved a Sovereignty Submerged Lands Lease
Renewal and Modification to reflect a change in ownership, reflect a change in description of use, reflect a term change,
and increase and reflect the correct square footage. The Sovereignty Submerged Lands Lease Renewal Lease and
Expiration expired on May 5, 2025.
On April 16, 2014, a specific-purpose survey by FDEP was conducted to delineate the limits of the lease parcel at the
Goodland Boating Park. The survey determined an increase in submerged lands from 47,753 square feet to 48,740
square feet.
On March 3, 2015 (Agenda Item No. 16.D.12), the Board approved the Submerged Lands Lease Renewal and
Modification to Increase Square Footage, including the additional square feet that continued to allow use of the 18-
slip docking facility, fishing piers, and a public boat ramp.
Approval of this item will authorize the Board Chairman to sign the submerged land lease renewal and modification and
authorize payment of the invoice. The annual lease fee for $14,753.60, and any supplement payments for wet slip
rentals, will be invoiced by FDEP separately.
This item supports the strategic plan; it provides the continued use of quality public amenities and recreational
opportunities at the Goodland Boating Park.
FISCAL IMPACT: The annual lease fee is $14,753.60, and any supplement payments for wet slip rentals are
determined on an annual basis upon the Revenue Report Submission to FDEP. Funding is available within the Parks and
Recreation General Fund (0001), Marina Parks Operating Cost Center (156364).
GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this request.
LEGAL CONSIDERATIONS: This item has been reviewed by the County Attorney, is approved as to form and
legality and requires a majority vote for approval. -JAK
RECOMMENDATION(S): To approve and authorize the submittal of the Florida Department of Environmental

the Board of Trustees. Any use of those lands without a fully executed sovereignty submerged

Florida Statutes, and Chapter 18-21, Florida Administrative Code, can be considered a willful
violation of Chapter 253, Florida Statutes and could subject the riparian owner to
administrative fines of up to $10,000 per day, closure of the facility and eviction from the state-
owned lands.

The State ofFlorida D€partment ofEnvironmental Protection. Division ofState Lands (the "Divisiorr") will notify the Lessee in
writing olthe amount and the due date ofeach subsequent annual lease payment during the remaining terrn ofthis lcase. All
lease fees due hereunder shall be remitted to the Division. as agcnt lor the Lessor.
3. WET SLIP RENI AL CERTIFICATIOn-,TSUPPLEVENTAL PAYMINT: (A) The Lessee shall provide upon request
by lhe Lessor any and all information in a certified lorm needed to calculate the lease fec specilied in paragraph two (2) above,
including the income. as defined in subsection I 8-21 .003(.12), Florida Administrativc Code. derived directly or indirectly from
the use of sovereignty submerged lands on an annLral basis. When six percent (67o) of said annual income exceeds the base fee
or mininrum annual fee established pursuant to Rule l8-2 L0 I l, Florida Administrative Code. lor any lease year during thc ternl
of this lease, the Lessor shall send the Lessee a supplemental invoice for the difference in the amounts for that lease year. (B)
The instrument or agreement used by the Lessee to transfer or assign the right to use a wet slip at the docking facility to a third
party shall include a provision that clearly notifies the wet slip renter/user/holder that if the wet slip renterluser/holder
subsequently transfers his right to use said wet slip to another party, the instrument or agreement uscd to transfer said wet slip
shall contain a provision that requires six percenr (67o) of the annual gross income derived from said instrument or agreement
for the use of said wet slip be paid to the Lesse€ who, upon receipt, shall report and transmit said amount to the Lessor, The
instrument or agreement used by the l,essee to transfer a wet slip shall also include a provision that clearly notifies the wet slip
renler/user./holder that no interest in said wet slip may be further transfeffed unless a substantially similar provision to the one
contained in the preceding sentence is placed in each succecding instrument or agreement used 10 transfer said wet slip to each
new wet slip renler/uscri holder. (C) The Lessee shall submit to the Lessor each instrument or agrccmcnt used by the Lessee to
transler or assign the right to use a wet slip at the docking facility to a third pany annually at the same tim€ the Lessee subnlits
the required Annual Wet Slip Revenue Repo( to the Lessor. Any breach ol this lease condition shall constitute a dcfault under
this lease.
4. LATE FEE ASSESSMENTS: The Lessee shall pay a late payment assessment for lease fees or olher charges due under
this lease which are not paid within 30 days after the due date. This assessment shall be computed at the rate of twelve percent
( l2%) per annum, calculated on a daily basis for every day the payment is late.
5. EXAMINA IION OF LESSEE'S RECORDS: For purposes ofthis lease, thc Lcssor is hereby specificall! authorized
and enlpowered to exanrine, for the term of this lease including any extensions thereto plus three (3) additional years. at all
rcasonable hours. the books. records, contracts. and other documents confirming and penaining to the computation of annual
lease payments as specified in paragraph two (2) above.
6. I'IAINTE\.{NCE OF LESSEE S RTCORDS: The Lcssee shall maintain separale accounling records for: (it thc gross
revenue derived directly from the use oflhe leased premises, (ii) thc gross revcnuc derived indirectly from the use ofthe leased
premises. and (iii) all other gross revenue derived from the Lcssee's operations on lhe riparian upland property The l-essee shall
secure. ntaintain and keep all records for the entire term ofthis lcase plus three (3) additional years, This period shall be extended
for an additional two (2) years upon request for examination ol'all records and accounts for lease verification purposes by the
Lcssor.
7. ACRELMINT TO EXTENT OF USE: This lease is given ro the Lessee to use or occupv the leased premises only for
those activities specified hercin. The Lesscc shall not (i)change or add to the approved use ofthe leased premises as defined
herein (e.g., from comnrercialto multi-family residentiai. from temporary mooring to rental olwet slips. lrom rental ofrvet slips
to contractual agrcement with third pany for docking ofcruise ships, from rental of recreational plcasure crafl to rental or
lernporary mooring of chaneritour hoats, ftom loading/oflloading commercial to rental of wet slips. etc,): (ii) change activities
in any manner that may have an environmental impact that was not considered in the original authorization or regulatory permit:
or (iii) change the type ofuse ofthe riparian uplands or as permitted by the Lessee's interest in rhe riparian upland propeny that
is more panicularly described in Attachnlent E lvithout first obtaining a rcgulatory pcrmit/modified permit. if applicable, rhe
Lessor's writlen authorization in the form ofa modified lease. the payment ofadditional fees. ifapplicable. and, ilapplicable.

8. PROPERTY RICIITS: The Lessse shall rnake no clainr of title or interest to said lands hereinbefore described by reason
ofthe occupancy or use thcrcof. and all title and interest to said land hereinbefore described is vcsted in the Lessor. The l-essec
is prohibited from including. or making any claim that purports to include, said lands described or the [,essee's leaschold interest
in said lands into any form ofprivate ownership, including but not limited to any form ofcondominium or cooperative ownership.
The l,essce is further prohibited from nraking any claim, including any advertisement, that said land, or the use thercol, may be
purchased, sold. or re-sold,
9. INTERES'I' lN RIPARIAN UPLAND PROPERTYT During the teml of this lease. the Lessee shall maintain salislactory
evidence of su fficient upland interest as required by paragraph I E-21 .00,1(3 Xb), Florida Administrativc Code, in the riparian upland
property that is more particularly described in Attachment B and by rcference made a pan hereoftogerher with the riparian rights
appunenant thereto. ll such interest is terminatcd or the Lessor determines that such interest did not exist on the effective date of
this lcase, this lease may be terminated at the option ofthe Lessor. Ifthe [,essor terminates this lease, the Lessee agrees not to asserl
a claim or defense against the Lessor arising out ofthis lease. Prior to salc and/or temrination ofthe Lessee's interest in the riparian
upland property, the Lessce shall inform any potential buyer or transleree of the Lessee's interest in the riparian upland propeny
and the existence of this lease and all its terms and condilions and shall completc and execute any documents required bl the
l-essor to affect an assignment of this lease, if consented Io by the Lessor. Failure to do so will not relieve the Lessee from
responsibility for full conpliance with the lerms and conditions of this lease which include. but are nor limited to, payment of
all lies and/or penalty assessnrents incurrcd prior to such act.
10. ASSIGNMENTOI LEASE: This lease shall not be assigned or otherwise transferred without prior written consentof
the Lessoror its duly authorized agent. Such assignment or other transfer shall be subject to the terms. conditions and provisions
ofthis lease. current management standards and applicable laws. rules and regulations in effect at that time- Any assignment or
other transfer without prior written consent ofthe Lessor shall be null and void and without legal effect.
ll, INDDMNIFICATION/INVESTICATION OF ALL CLAIMS: The Lessee shall investigatc all claims of every nature
arising out of this lease at its expense, and shall indemnifl, defend and save and hold harmless the Lessor and the State of Florida
from all claims. actions. lawsuits and demands arising out ofthis lease.
12. NOTICES/ COMPLIANCE/TERMINATION: l'he Lessee binds itself, ils successors and assigns, to abide by the
provisions and conditions herein set fonh, and said provisions and conditions shall be deerned covenants ofthe l-cssec. its
successors and assigns. ln the evcnt lhe Lessee fails or refuses to comply with the provisions and conditions herein s€t fonh, or

The Lessee shall notify the Lessor by cenified mail ofany change to this address at least ten (10) days before the change is
effective.
13. TAXES AND ASSF.SSMENTS: The Lessee shall assume all responsibility for liabilities that accrue to the subject
property or to the improvements thereon. including any and all drainage or special assessments or taxes of every kind and
description which are now or may be hereafter lawfully assessed and levied against the subject property during thc clfective
period ofthis lease.
14. NUISANCES OR ILLEGAL OPERATIONS: Thc Lcssce shall not permil the leased premises or any part thereofto be
used or occupied for any purpose or business other than herein specified unless such proposed usc and occupanc5, are consented
to bl the l-essor and the lease is modified accordingly. nor shall Lessee knorvingly permit or sufler any nuisances or illegal
opcrations ofanl kind on the leased prernises.

l-i MAINTENANCL OI] I]ACII,ITY/RIGHT TO INSPLC'I'I The Lessee shall maintain the leased premises in good
condition. keeping the structures and equipment located thereon in a good state ofrepair in the interests ofpublic health. safeq,
and welfare. No dock or pier shall be constructed in any manner that would cause harm to wildlile. The leased premises shall be
subject to inspection by the Lessor or its designated agent at any rcasonable time.
16. NON-DISCRINIINAI lON: The Lcsscc shall not disriminate against any individual bqcause ofthat individual's race,
color. religion. sex, national origin, age. handicap. or marital status with respect to any activity occurring within the arca subjcct
to this lease or upon lands adjacent to and used as ar adjunct oflhc leased area.
I 7. EN I'ORCEM ENT OF PROV ISION S: No lailure. or successive failures. on the part o f lhe Lessor to enforce any
provision, nor any waiver or successive waivers or its part oI any provision herein. shall operate as a dischargc thereofor render
the same inoperative or impair the right ol the Lessor to enforce the same upon any renewal thereolor in the event of subsequent
breach or brcaches.
18. PERMISSION CRANTED: Upon expiration or cancellation ofthis lease all permission granted hereunder shall cease
and tenninate.
I9. RENEWAL PROVISIONS: Renewal ofthis lease shall be at the so le option o lthe Lessor. S uch renewal shallbesubject
to the terms. conditions and provisions of managcnrent standards and applicable laws, rules and regulations in effect at that tinre.
In the event that the Lessee is in full compliance with the terms offiis lease, the Lcssor will begin the renewal process. The tenn of
any renewal granted by the Lessor shall commence on the last day ofthe previous lease term. ln the cvcnt the Lessor does not grant
a renewal, the Lessee shall vacate the leased premises and remove all structures and equipment occupying and erected thereon
at its expense. The obligation to remove all structures authorized herein upon termination ofthis lease shall constitute an affirmative
covenant upon the Lessee's interest in the riparian upland property more panicularly described in Attachment E which shall rirn
wilh the title to the Lessee's interest in said riparian upland property and shall be binding upon the Lessee and the Lessec's succcssors
in title or successors in intcrest.
20. RENIOVAL OF STRUCTURESTAD\4INISTRATM FINES: If the Lessee do es not remove said structures and
equipment occupying and erected upon the leased premises after expiration or cancellation of this lease, such structures and
equipment will be deemed lorleited to the Lessor. and the l,essor may authorize renroval and may sell such forfeited structures
and equipment after ten ( l0 ) days written notice by ccrtified rnail addressed to the Lessee at the address specified in Paragraph
l2 or at such address on record as provided to the l-essor by the Lessee. However. such remedy shall be in addition ro all other
remedies available to the Lessor under applicable laws. rules and regulations including the right to conrpcl removal ol all
structures and the right to impose administrative fines.
21. REMOVAL COSTS/I.IEN ON RIPARIAN UPLAND PROPERTY: Subiect to the noticing provisions of Paragraph 20
of this lease, any cosls incurred by the Lessor in removal of any structures and equipment constructed or mainlained on statc
lands shall be paid by Lessee and any unpaid costs and expenses shall constitute a lien upon the l.essee's interest in the riparian
upland property that is more particularly described in Anachmcnt B. This licn on the Lessee's interest in the riparian upland
prope(y shall be enforceable in summary proceedings as provided by larv.
22. RIPARIAN RIGHTS/FINAL ADJUDICATIONT In the event that any pan of any structur€ authorized hereunder is
detennined by a final adjudication issued by a court of competent j u risd iction to encroach on or interfere with adjaccnt riparian
rights, Lcsscc agrees to either obtain written consent for the offending structure from the affected riparian owner or to remove
the interference or encroachment within 60 days from the date ofthe adjudication. Failure to comply rvith this paragraph shall
conslitute a material breach of this lease agreement and shall be grounds for immediate termination of rhis lease agreement at
the option ofthe Lessor.
23. AMENDMENTS/MODIFICATIONSi This lease is the entire and only agreement between the parties. lts provisions
are not severable- Any amendment or modification to this lease must be in writing, must be accepted. acknorvledged and cxecuted
by the Lessee and Lessor. and must comply rvith the rules and statutes in existence at the time ofthe execution ofthe modification
or anrendment. Notwithstanding the provisions of this paragraph, ifrnooring is authorized by this lcase. the Lessee ma) inslall
boatlifts rvithin the leased premises without lormal modification oflhe lease provided that (a) the l,essee obtains an) statc or
iocal regulatory permit that may be required; and (b) the location or size ofthe litl does not increase the mooring capacity ofthe
docking facility.

beverages shall be erected or placcd within the leased premiscs. No restaurant or dining activities are to occur within the lcased
premises. The l,cssee shall ensure that no permancnt, temporary or floating structures. fences, docks, pilings or any structures
whosc use is not water-dependent shall be erected or conductcd over sovereignty submerged lands without prior written conscnt
from the Lessor. No additional structures andrbr actilities including dredging. relocation,/realignment or major repairs or
renovatidns to authorized stuctures, shall be crccted or conducted on or over sovcreitsnty, submerged Iands without prior written
consenl fronr the Lessor. Unless specifically authorized in writing by the Lessor. such activities or structures shall be considcrcd
unauthorized and a violation of Chapter 253, Florida Statutes. and shall subject the Lessee to administrative fincs under Chapter
I E- 14. Florida Administrativc Code. 'fhis condition does not apply to minor structural repairs requircd to maintain the authorized
structures in a good state ofrepair in the interests ofpublic health. safety or welfare: providcd. however. that such activities shall
not cxceed the activities authorized by this lease.
25. USACti AUTHORIZATION: Prior to commencement of construction and/'or activities authorized hcrcin. the Lcssee
shall obtain the U,S, Army Corps of Engincers (LSACE) perrnit if il is required by thc USACE, Any rnodifications to thc
construction and/br activities authorized herein that may be required by the t,SACE shall require consideration by and thc prior
wrinen approval ofthe Lessor prior to the commencement ofconstruclion and,'or any activities on sovereign, submerged lands.
26, COMPLIANCE WITH FLORIDA LAWS:On or in conjunction with the use of the leased premises, the Lessee shall
at all times comply with all Florida Statutes and all administrative rules promulgated thereunder, Any unlarvful activity which
occurs on the leased premises or in conjunction with the usc ofthe leased premises shall be grounds for the termination ofthis
lease by the Lessor.
27. LIVEABOARDS: The term "liveaboard" is defined as a vessel docked at the lacility and inhabited by a person or
persons tbr any five (5) consecutive days or a total of ten ( l0) days within a thiny (30) day period. lf liveaboards are aurhorized
b1- paragraph one ( I ) of this lease, in no event shall such "liveaboard" status exceed six (6) months within any lwelve ( l2) rnonth
period, nor shall any such vessel constitute a legal or primarv rcsidencc.
28. GAMBLING VESSELS: During the term ofthis lcase and any renewals, extensions. modifications or assignments
thereof, Lessee shall prohibit the operation ofor entry onto thc leased prcmises olgambling cruise ships, or vessels that arc uscd
principally for thc purpose of gambling, when these vessels are engaged in "cruises to nowhere." where the ships lcavc and
retum to the state of Florida without an intervening stop !vithin another state or foreign country or waters rvithin the jurisdiction
ofanothcr state or loreign country, and any rvatercraft used lo carry passengers to and from such gambling cruise ships.
29. FINANCIAL CAPABIt,tTY: To assure the Lessor that the Lessee has the financial capability to undcrtake and opcrate
the project authorized by this lcasc. the Lessee cenifles to the Lessor as follows: (i) the Lcssce is not the subject of a pending

the l-essee or the Lcssee's interest in the riparian upland property that would ilnpair the Lessee's financial capability to undenake
and operaie thc project authorized by this lease. Any breach ofthis lease condition shall constiture a default under this lease.
A, A minimum ofninety percent (90%) ofthe wet slips at th€ docking facility shall be made available lbr rent to the general
public on a "first come. first served" basis, as defined in Rule I 8- 2 | .003. Florida Administrative Code, rvith no longer than one-
year rental terms and \,\ith no automatic renetal righls or conditions. To help ensure compliancc rvith and to assist in providing
public awareness of this requirement, the l,essee shall erect permanent signs at the $aterlvard entrance to the docking facilit)
that are clearl)'visible to passing boaters and at the upland entrance to the docking facilitv that are clearly visible to the general
public. The signs shall contain language clearly indicaling that a minimum of ninety percent (900,/0) ofrhe !vct slips at the docking
facility are available for rent to the general public. Any dockagc rate sheel publications and dockage advenising for the docking
facility shall clearl) state that a minimum ofninety perccnt (90%) ofthe wel slips at the docking faciliry are open to rhe gcncral
public on a "lirst come. first sened" basis.

B. Any vessel moored at the docking facility. on either a temporary or pemlanent basis, shall be wholly located within its
designated wet slip as depicted on Attachment A and no portion of a vessel may extend beyond the leased premises. Vessel
length shall be measured as overall length including dl parts and accessories such as outboard motors. bow pulpits. and swim
platforms.
C. During the term ofthis lease and all subsequent renewal terms. Lessee shall maintain permanent manatee educational
signs that provide information on the mannerisms of manatccs and the potential threat to this cndangered species from boat
operation and shall be required to replace thc signs in the event they become fadcd, damagcd. or outdated. l,essec shall cnsure
that the view ofthe signs is not obstructed by vegetation or structurcs. The number, type. and procedurc for installation ofthese
signs shall be in accordance with the handout. 'Manatee Educational Signs," which can bc obtained from the Florida Fish and
Wildlife Consen'ation Commission. lmperiled Species Management Section, 620 S. Meridian Strect - 64., Tallahassee. Florida
