FIRST AMENDMENT TO AGREEMENT NO. 24-032-NS
FOR
ODOR CONTROL PRODUCTS AND SERVICES
THIS FIRST AMENDMENT made and entered into on this dcfnbe - by 2025 (date),
by and between Evoqua Water Technologies LLC (the"Contractor")and Collier County,a political
subdivision of the State of Florida, (the "County")(collectively, the"Parties"):
WHEREAS, on August 27, 2024 (Agenda Item 16.C.9), the County entered into
Agreement No. 24-032-NS, "Odor Control Products and Services" (the "Agreement"), with the
Contractor to provide equipment, products, and services; and
WHEREAS the Parties desire to amend the Agreement to increase the total estimated
maximum amount from up to $2,500,000.00 per Fiscal Year to up to $4,220,000.00 per Fiscal Year
due to the growth of the County causing increased flows that require additional chemicals and an
increased need for maintenance and repairs on aging equipment,including the need to rehabilitate two,
and replace one of the odor control units at the South County Water Reclamation Facility; and revise
Exhibit A-"Scope of Services"and Exhibit B-"Fee Schedule"by removing the Odor Unit Monitoring
section and pricing; remove two items and add one item to the Exhibit B - Fee Schedule, and add
clarification language regarding additional items and possible tariff reimbursements.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained, it is agreed by the Parties as follows:

1. The above recitals are hereby incorporated into this First Amendment as if fully set forth herein.
2. The parties agree that Section 4.THE AGREEMENT SUM of the Agreement shall be amended
as follows:

® The County shall pay the Contractor for the performance of this Agreement an estimated
maximum amount of Two Million Five Hundred Thousand Dollar Four Million Two Hundred
and Twenty Thousand Dollars($2,500,000.00 4,220,000.00),per County fiscal year, based on
units/services furnished per Exhibit B - Fee Schedule, attached hereto and the price
methodology as defined in Section 4.1. Payment will be made upon receipt of a proper invoice
and upon approval by the County's Contract Administrative Agent/Project Manager, and in
compliance with Chapter 218,Fla. Stats.,otherwise known as the"Local Government Prompt
Payment Act".

4.Additional Items
Additional items include the purchase and installation of Envirex and Davco brands Rim-Flo and Tow-
Bro Circular Clarifiers, Chain and Scrapers Systems, Rotating Biological Contractors, Gravisand
Traveling Bridge Filters,Oxidation Ditch Aerators(Orbal).A quote for these items shall be provided.
Any additional items not listed above shall be added with mutual agreement by the Vendor and the
County through an Amendment to the Agreement.

6.Tariff Reimbursement
The County will only reimburse the Contractor for tariffs directly applicable to the goods or materials
provided when such costs are unavoidable. No mark-up is allowed on tariffs. To be eligible for
reimbursement,the Contractor shall provide:
• Identify a not-to-exceed amount on the quote identifying the specific goods or materials subject
to the tariff.
• Copies of official tariff notifications or announcements issued by the relevant government
authorities serving as verification that new tariffs have been implemented and are affecting
costs, including commercial invoice, bill of lading / shipping document, other equivalent
customs documentation.
• If applicable, the Contractor must submit written documentation from suppliers indicating the
new prices and explicitly stating that the increase/decrease is due to tariffs.Acceptable forms of
documentation include letters,emails,or formal notices from suppliers.
• The Contractor is required to submit recent invoices and receipts that clearly show the
increased/decreased costs, The dates and amounts on these documents must reflect the impact
of the tariff-related price increases/decreases.

4. The Parties agree that Exhibit B - "Fee Schedule" of the Agreement shall be replaced in its
entirety with the attached hereto Exhibit B-1 - Fee Schedule.
5. All other terms and conditions of the Agreement, as previously amended, shall remain the
same.
