OBJECTIVE: To obtain approval for Golisano Children’s Museum of Naples to proceed with facility renovations necessary to establish the Naples Early Learning Center. CONSIDERATIONS: In December 2003, the County entered into a Lease (the “Lease”) with The Golisano Children’s Museum of Naples (the “Museum”) to operate a Children’s Museum at the North Collier Regional Park. The Lease provides that the Museum may expand the size of the facility, subject to the County’s prior expressed approval. The Museum wishes to proceed with renovations in support of the Naples Early Learning Center program and is now seeking authorization from the Board to undertake such renovations, consistent with the requirements of the Lease. The Museum was recently awarded capital funding from the State of Florida to initiate The Naples Early Learning Center, which will primarily serve as a childcare center/preschool for PreK3 and PreK4 students. The proposed scope of the work is outlined below: 1. Interior Reprogramming • Reconfiguration of the second floor to create five new daycare classrooms, in addition to one existing classroom, for a total of six early learning spaces. • Addition of supporting spaces, including a reception area, restrooms, and storage. • Conversion of 1,201 sq. ft. of museum space and 3,211 sq. ft. of office space into educational daycare facilities. 2. Exterior Modifications • Installation of a new roof over the existing southeast balcony, utilizing the current aluminum structure to provide weather protection. • Construction of a covered canopy extending from the designated drop-off area to the main entrance to ensure safe and sheltered access for children and families. These renovations will enable the Museum to expand its programming and offer early learning opportunities to students. The County’s Growth Management staff has previously opined that a child care center/preschool within the existing Golisano Children’s Museum is a permitted use for the subject property. This item is consistent with the Collier County Strategic Plan's strategic focus areas of Quality of Place and Community Development, and Infrastructure and Asset Management. FISCAL IMPACT: There is no fiscal impact associated with this item. GROWTH MANAGEMENT IMPACT: There is no impact to the Growth Management Plan with this Executive Summary. (D) If after the fifth year of this Lease, LESSEE has not actually fully completed the proposed Facility at the Demised Premises, this Leas~ shall be null and void and LESSOR, if it so elects, may renegotiate a new LEASE AGREEMENT with LESSEE for the intended purpose of this Agreement, or in the alternative, LESSOR can elect to take possession of the improvements the on the Demised Premises without compensating LESSEE in any way. Rent. LESSEE hereby covenants and agrees to pay as rent for the Demised Premises the sum of One Hundred D?ll~rs ($ 100.00) per annum. The rent for the first ten ( 10) lease years ($1,000) shull be paid to LESSOR w1 th1 n ten ~orkdays of LESSOR'S execution of this Lease. Thereafter, the annual rent shall be paid in full not later then thirty (30) duys following the anniversary date_ of the execution of this Lease by LESSOR, and shall be • paid to LESSOR not late1· then the anniversary date of the commencement date of this Lease for each year thereafter., ARTICLE 4. LESSEES' Other Expenses and Costs. (A) LESSEE shaH pay to the LESSOR one half (J/2) of LESSOR'S total expenses to develop shared "infrastructure" as indicated on Exhibit B, including LESSOR'S costs of engineering, and LESSOR'S costs of construction of ingress/egress, parking facilities, site development, water and wastewater facilities, electric service facilities and hook-ups, surface water management and landscaping. It is anticipated that these costs by LESSOR should not exceed $800,000 and, therefore, LESSEE'S costs for this infrasfructure is not anticipated to exceed $400,000. These costs shall be paid by LESSEE to LESSOR promptly after LESSOR delivers irivoices for sume to LESSEE from time-to-time. • (B) LESSEE shall be responsible for its pro-rntn share of uny on-going maintenance or fun11-e maintenance costs or expenses related to the Shared Parking Area that LESSOR may elect to complete. This m~,y include, but not be limited to repaving, complying with any future code issues or water mum,gement issues. (C) LESSEE shall also be responsible for t.he sole cost and expense of monthly costs related to electricity, air conditioning, water, sewer, pest control, telephone and other communications, trash removal, • anirorial services and landscaping used, rendered or supplied to the Demised Pi-emises throughout the life or this Lease. ARTICLE 5. Commitment. LESSEE agrees that: I. This Facility will be open tc;> the general public but reasonable admittance fees may be required. 2. LESSEE shall provide the Public Services Administrator and the Parks and Recreation Department Director with construction plans for the,proposed Facility. LESSOR shall review the plans and provide .written approval or disapproval within thirty days to LESSEE prior to any construction by LESSEE to ensure that the exterior or the proposed Facility, and that all related imp1:ovements such as landscaping, lighting and parking areas, are compatible, with LESSOR• S improvements and architectural style at and near the Demised Premises_ Upon review of LESSEE'S. plans by LESSOR, LESSOR shall provide LESSEE with written notice of any construction scheduling conflicts that in LESSOR'S opinion may be caused by LESSEE'S construction at the Demised Premises that may hinder maintenance and/or operations at or near the Demised Premises. 3. LESSEE shall totally co,mplete the proposed Facility, whereby in the normal course of events a normal Certificate of Occupancy can be issued to LESSEE by LESSOR not later then the fifth (5th) year from the commencement date of this Lease, or this Lease may be decl.ared by the Board of County Commissioners to ,huve become null and void for such non-compliance by LESSEE." 4. ARTICLE 8. Default by LESSEE. (A) Failure of LESSEE to remedy any non-compliance of this Agreement within sixty (60) days from receipt of LESSOR'S written notice stating the non-compliance shall constitute a default, whereby LESSOR may, at its absolute discretion; terminate this Lease by giving LESSEE thirty (30) days written notice unless the default is fully cured within that six,ty (60) day notice period (or such additional time as is reasonably required to ;correi;;t . such default).
