Encl: Cc: Mr. Wes Haber Wesley.Haber@KutakRock.com 161A1 MINUTES OF MEETING QUARRY COMMUNITY DEVELOPMENT DISTRICT The regular meeting of the Board of Supervisors of Quarry Community Development District was held Monday, March 10, 2025 at 1:00 p.m. at Quarry Beach Club, located at 8975 Kayak Drive,Naples, Florida 34120. Present and constituting a quorum were: Dean Britt Chairperson Mel Stuckey Vice Chairperson Gregg Wrap Assistant Secretary Thel Thomas Whitley, Jr. Assistant Secretary William Patrick Assistant Secretary Also present were: Sandra Demarco District Manager, Inframark Wesley Haber District Counsel (Remotely) Albert Lopez District Engineer Mark Puthoff Manager, Quarry Community Association Will Elliot Copeland Southern Enterprises Various Residents Following is a summary of the discussions and actions taken. FIRST ORDER OF BUSINESS Call to Order and Roll Call The meeting was called to order and the roll was called.A quorum was established. • Mr. Haber stated that notes should be taken to ensure there is a record of who made and seconded motions. • Mr.Elliot did not have anything to review,but he has emails and a complaint notice from Cobalt Cove. He was dismissed from the meeting. SECOND ORDER OF BUSINESS Pledge of Allegiance The Pledge of Allegiance was recited. 161A1 March 10, 2025 Meeting Quarry CDD THIRD ORDER OF BUSINESS Approval of Agenda There being no amendments, On MOTION by Mr. Whitley, seconded by Mr. Patrick, with all in favor,the Agenda for the Meeting was approved, as presented. (5-0) FOURTH ORDER OF BUSINESS Public Comments om Agenda Items — Three (3)Minute Time Limit There being no public comments, the next order of business followed. FIFTH ORDER OF BUSINESS Approval of the Minutes of the February 10,2025 Meeting The Minutes of the February 10, 2025 Meeting were presented for any additions, corrections or deletions. There being none, On MOTION by Mr. Patrick, seconded by Mr. Stuckey, with all in favor, the Minutes of the Meeting were approved, as presented. (5- 0) SIXTH ORDER OF BUSINESS Acceptance of the Financial Report, and Approval of the Check Register and Invoices as of January 2025 • There were miscellaneous questions regarding balances. • The Board discussed the fact that there were no budgetary numbers in place from discussions with Mr. Faircloth. • There will be a larger block of time for discussion at the April meeting. On MOTION by Mr. Stuckey, seconded by Mr. Wrap, with all in favor,the Financial Report as of January 2025 was accepted,and the Check Register and Invoices as of January 2025 were approved. (5- 0) SEVENTH ORDER OF BUSINESS Business Items A. CES Lake & Littoral Maintenance Amendment • The Amendment was reviewed, and comments were requested. There being none, the Amendment will be executed by Mr. Britt once Ms. Demarco arrives. 2 161 Al March 10, 2025 Meeting Quarry CDD Mr.Britt MOVED to approve the CES Lake&Littoral Maintenance Amendment, and authorize the Chairperson to execute amendment, and Mr. Whitley seconded the motion. There being no further discussion, On VOICE vote, with Mr. Britt, Mr. Whitley, Mr. Wrap, and Mr. Patrick, voting aye, and Mr. Stuckey voting nay, the prior motion was approved (4-1) EIGHTH ORDER OF BUSINESS Staff Reports A. District Counsel There being no report, the next item followed. B. District Engineer i. Glase Golf Update a. Phase I Project & Phase II Project Closures • Final billing was discussed. • There are no photos or observations of completed punch list work. • Mr. Lopez will set up a meeting to finalize with Glase. • Discussion ensued on the bid received for the Phase III Project. On MOTION by Mr. Patrick, seconded by Mr. Whitley, with all in favor, Mr. Britt was authorized to give staff direction to proceed forward with a contract with Cross Creek for the Phase III Project work once certain questions are answered by staff. (5-0) The record shall reflect Ms. Demarco joined the meeting. • There were several questions regarding bidding recap. ii. Future Lake Bank Repairs CPH Update There being no report, the next item followed. iii. Variance Updates • 9360 Marblestone Drive was discussed. Measurements will be taken to determine the impact of the new easement on the drainage swale.Mr. Lopez will check on this item after the meeting. • Mr. Lopez was asked to investigate 9355 Marble Stone Drive. • There is a variance for a patio walkway. 3 161A1 March 10, 2025 Meeting Quarry CDD C. District Manager i. Discussion of Fiscal Year 2026 Budget • The Budget will be kept flat, and will be approved to set the Public Hearing at the May meeting. • The Budget should be sent to the Supervisors only. ii. Quarterly Inspection Report The report was presented to the Board. • Trees will need to be removed near the concrete structures to avoid any damage. • There is erosion near certain irrigation lines. • There are concerns that the irrigation line and coastline is in the CDD easement. • Brazilian Pepper Trees were addressed. • Everything around the bridge is the responsibility of the QCA. • Issues with pool drains and other similar items should be shared with the QCA. iii. Follow-Up Items a. Open Action Items List This item was not addressed. NINTH ORDER OF BUSINESS Supervisor Comments • Mr. Stuckey attended the Lakes Committee Meeting and noted the lake is overstocked, and there are issues with the fish. TENTH ORDER OF BUSINESS Audience Comments • A resident would like to see SWFWMD regulate the condition of the water. • A resident inquired about an inspection on a drainage structure. ELEVENTH ORDER OF BUSINESS Adjournment There being no further business, On MOTION by Mr.Britt seconded by Mr.Whitley with all in favor, the meeting was adjourned to the workshop. Site Preparation and Mobilization Access Points: Coordinate with the project engineer and district manager to establish construction entrances. The contractor will ensure minimal disturbance to existing structures, and all access routes will be restored to pre-construction conditions post-project completion. Erosion Control: A floating turbidity barrier will be deployed in accordance with Florida's Erosion and Sediment Control Manual to prevent sediment from impacting adjacent water bodies. Utility Coordination: Ensure all underground utilities are identified and marked before beginning excavation. 2. Excavation and Grading Clearing and Grubbing: Remove vegetation and obstructions within the designated work areas. Extreme care will be taken not to disturb surrounding areas. Grading: Smooth transitions will be created between proposed spot elevations and contours as outlined in the project plans. Excavated areas will be shaped to meet the required slope and design specifications. 3. Riprap and Littoral Zone Restoration Riprap Installation: Riprap will be installed per FDOT standards with stone sizes specified between 6"-8". It will be placed to stabilize the shoreline and prevent erosion. Littoral Plantings:Native vegetation, including cordgrass and spike rush,will be planted in the littoral zone to improve water quality and provide habitat. 4. Drainage Systems Installation of Drainage Systems: Downspouts from nearby residential properties will be connected to drainage pipes to direct runoff appropriately.Yard drains and piping,such as 14"Nyloplast boxes,will be installed in necessary locations as per engineering instructions. Phase I Project& Phase II Project Closures • Mr.Lopez provided an update on the Glase Golf punchlist items,and noted the only outstanding item is the floating drainage pipes. He is hoping this work can be completed soon, as they were waiting until the water levels lowered enough, and they are now lower. ii. Phase III CPH Update The update was provided earlier in the meeting. iii. Follow Up Items a. 9343 Fieldstone Lane Drainage Review • Mr. Lopez noted the drainage was reviewed, and the QCA was notified that various drains the QCA was responsible for were covered and needed proper maintenance. • The QCA reported back that the maintenance had been completed, and the drains were clear. iv. Variance Updates a. 9273 Quarry Drive • Mr. Lopez noted that CPH had no issue with the proposed Variance Agreement as long as the resident provides confirmation in writing they will not alter the swale. • Mr. Lopez noted the photos provided were very blurry and requested the QCA require clearer photos going forward. • Mr. Britt requested that a profile be provided going forward for any walkways. Mr. Puthoff noted he would follow up with the resident. On MOTION by Mr. Britt, seconded by Mr. Whitley, with all in favor,the proposed Variance Agreement for 9273 Quarry Drive was approved, subject to a profile being provided, and the homeowner acknowledging they will not alter the swale. Regular,full-time employees may be approved to receive a District credit card but must obtain prior written approval from the board of supervisors.Once approved,a District credit card request form must be completed with signature of the supervising District Manager(DM).To be eligible for a District credit card,an employee must purchase significant volumes of goods and services for use by the District or incur other regular frequent business expenses of a kind appropriately paid for by the District credit card. The District credit card cannot be used to obtain cash advances,bank checks,traveler's checks, electronic cash transfers,alcohol,or for personal expenses.Misuse of the credit card will result in cancellation of the card and withdrawal of the employee's District credit card privileges. If the card is used for an employee's person expenses,the District reserves the right to recover these funds from the employee cardholder. Each District credit card wilt have a varied limit approved by the board of supervisors. Increases to the established limit may be made on a case-by-case basis and must be approved by the supervising DM. District credit card expenditures must be reconciled and submitted with original receipts to the accounting/accounts payable department by the 3'business day of each month.Cardholders who have not reconciled and submitted their monthly expenditures within this period will be asked to reconcile and submit their monthly expenditures immediately.Continued or repeated non- conformance to this policy will result in cancellation of the card and such other actions as appropriate. The Owner is strongly encouraged to require all persons or entities doing work on their property to obtain the aforementioned insurance coverages but regardless of any insurance coverage Owner acknowledges and agrees that: G (Initial) Pursuant to Section 7.3.3 of the Fourth Amended and Restated Declaration of Covenants, Conditions and Restrictions for the Quarry: Any damage to the Common Area or any structures, equipment, improvements or personal property thereon caused in whole or in part by an Owner or their family members, guests, tenants, licensees, and invitees shall be the responsibility of the Owner who shall reimburse the Community Association for all costs of repair or replacement, at the sole option of the Community Association, together with a reasonable allocation of overhead incurred. The Community Association shall not be required to delay repair or replacement pending receipt by Owner of any insurance proceeds. Required Deposits by Contractor or Owner: • Contractor/Owner shall pay a $1,000 refundable damage deposit for applications covering the installation of a generator, propane tank, patio/driveway additions, walkway addition/expansion, roof, and solar panels. • Contractor/Owner shall pay a $2,000 refundable damage deposit for applications covering installation of a boat dock/lift. 2 161A1 Work Rules and Procedures: • All required county permits shall be obtained and displayed by Owner prior to beginning work. • Owner shall contact utilities to relocate their lines, as necessary. • Association common areas, including roadways, shall not be used for short or long term storage of materials. Excavated soil or rock shall not be placed on a roadway surface or any common areas. All waste, soil or rock, excess materials, fill, etc. shall be removed from the property within 48 hours. Use of any property other than Owner's lot where the work is being performed shall not be permitted. • Owners and contractors shall comply with all applicable codes and regulations and all required permits shall be obtained at Owner's expense. • Owner shall repair and return all areas affected by approved project to their original condition. • All current and future maintenance of the work completed under this application shall be performed at the Owner's expense. • Owner shall have permanent responsibility to maintain and trim all approved landscape modifications. All work under this Application shall be subject to requirements of the Covenants, Conditions and Restrictions (CC&Rs) and Bylaws of the Quarry Community Association, Inc., and applicable Rules and Regulations and the Architectural Design Standards. The Association reserves the right to request additional Information and charge additional fees or deposits, not otherwise specified on this Application. 3 16141 2. Owner agrees to and shall complete alteration/modification work in accordance with this Application. If approved work has not commenced within six months of the original approval date, this application shall be considered to be withdrawn and a new application shall be required if the Owner desires to later proceed with the work. Notably,the CDD is responsible for the stormwater system and conservation areas serving the community, and,accordingly, holds certain rights in, among other lands, all "Drainage Easements," "Lake Maintenance Easements,"and"Conservation Easements." It is the homeowner's responsibility to carefully review all property records and ensure that the homeowner and his or her contractor do not construct improvements(e.g.,fences, landscaping,sprinklers, patios,decks,air conditioners, pools,etc.) within any such easement areas. The Owner shall ensure that the installation and maintenance of the Improvements does not damage any property of CDD or any third party's property,and, in the event of any such damage,the Owner shall immediately repair the damage or compensate the CDD for such repairs,at the CDD's option. e. Owner's exercise of rights hereunder shall not interfere with CDD's rights under the Easement. For example, if the Improvements include a fence,such fence shall be installed within the Easement a few inches higher than ground level,so as not to impede the flow of water,or shall otherwise be constructed so as not to impede the flow of water. Further,the Improvements shall be installed in such a manner as to not interfere with or damage any culvert pipe or utilities that may be located within the Easement. It shall be Owner's responsibility to locate and identify any such stormwater improvements and/or utilities. Further,the Owner shall pay a licensed and insured professional contractor to mark any existing improvements and/or utilities prior to installation of the Improvements. f. Upon completion of the installation,the Improvements will be owned by the Owner. Owner shall be responsible for the maintenance and repair of any such Improvements,and agrees to maintain the Improvements in good condition. g. Additionally,the Owner shall keep the License Area free from any materialmen's or mechanic's liens and claims or notices in respect to such liens and claims,which arise by reason of the Owner's exercise of rights under this Agreement,and the Owner shall immediately discharge any such claim or lien. h. The Owner shall notify the CDD prior to commencing work and upon completing work,so that the CDD may inspect the License Area. Any such inspection shall not be deemed an approval by the CDD of any work,and the CDD shall retain all rights to enforce the terms of this Agreement. 4. Removal and/or Replacement of Improvements. The permission granted herein is given to Owner as an accommodation and is revocable at any time. Owner acknowledges the legal interest of the CDD in the Easement described above and agrees never to deny such interest or to interfere in any way with CDD's use. Owner will exercise the privilege granted herein at Owner's own risk, and agrees that Owner will never claim any damages against CDD for any injuries or damages suffered on account of the exercise of such privilege, regardless of the fault or negligence of the CDD. Owner further acknowledges that,without notice, the CDD may remove all, or any portion or portions,of the Improvements installed upon the License Area at Owner's 161A1 expense, and that the CDD is not obligated to return or re-install the Improvements to their original location and is not responsible for any damage to the Improvements, or their supporting structure as a result of the removal. 5. Indemnification. Owner agrees to indemnify, defend and hold harmless Collier County, the South Florida Water Management District, and the CDD as well as any officers, supervisors, staff, agents and representatives, and successors and assigns, of the foregoing, against all liability for damages and expenses resulting from, arising out of, or in any way connected with, this Agreement or the exercise of the privileges granted hereunder. 6. Covenants Run with the Land. This Agreement, and all rights and obligations contained herein, shall run with the land and shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns, including, but without limitation, all subsequent owners of any portions of the property described herein and all persons claiming under them. Whenever the word "Owner" is used herein, it shall be deemed to mean the current owner of the Property and its successors and assigns. 7. Sovereign Immunity. Nothing in this Agreement shall be deemed as a waiver of immunity or limits of liability of the CDD beyond any statutory limited waiver of immunity or limits of liability which may have been adopted by the Florida Legislature in Section 768.28, Florida Statutes, or other statute, and nothing in this Agreement shall inure to the benefit of any third party for the purpose of allowing any claim which would otherwise be barred under the doctrine of sovereign immunity or by operation of law. 8. Default. A default by either party under this Agreement—including but not limited to Owner's failure to meet its obligations under Section 3 above—shall entitle the other to all remedies available at law or in equity, which may include, but not be limited to, the right of damages and/or specific performance. 9. Attorney's Fees&Costs. The prevailing party in any litigation to enforce the terms of this Agreement shall be entitled to reasonable attorney's fees and costs. 10. Counterparts. This Agreement may be executed in counterparts. Any party hereto may join into this Agreement by executing any one counterpart. All counterparts when taken together shall constitute one agreement. Golf Course Revenue The District receives yearly revenue from golf course. Special Assessments-Tax Collector The District will levy a Non-Ad Valorem assessment on all the assessable property within the District to pay for the operating expenditures during the Fiscal Year. Special Assessments-Discounts Per Section 197.162, Florida Statutes, discounts are allowed for early payment of assessments. The budgeted amount for the fiscal year is calculated at 4%of the anticipated Non-Ad Valorem assessments. EXPENDITURES Administrative P/R-Board of Supervisors Chapter 190 of the Florida Statutes allows for members of the Board of Supervisors to be compensated$200 per meeting at which they are in attendance. The amount for the Fiscal Year is based upon all supervisors attending all the meetings. Six meetings are scheduled. FICA Taxes Payroll taxes on Board of Supervisors compensation. The budgeted amount for the fiscal year is calculated at 7.65% of the total Board of Supervisor's payroll expenditures. Professional Services-Arbitrage Rebate Calculation The District utilizes a company who specializes in calculating the District's Arbitrage Rebate Liability on the Series of Benefit Special Assessment Bonds. The budgeted amount for the fiscal year is based on standard fees charged for this service. Professional Services-Engineering The District's engineer provides general engineering services to the District, i.e., attendance and preparation for monthly board meetings when requested, review of invoices, annual engineer report for compliance purpose and other specifically requested assignments. Annual engineer's report as required by the bond indenture. Professional Services-Legal Services (District) The District's Attorney, Hopping Green & Sams P.A. provides general legal services to the District, i.e., attendance and preparation for monthly Board meetings, review of contracts, review of agreements and resolutions, and other research as directed or requested by the Board of Supervisors and the District Manager. Professional Services-Legal Litigation (Outside Services) The District's Attorney, Grant, Fridkin, Pearson P.A. provides litigation legal services to the District, i.e., attendance and preparation for monthly Board meetings, review of contracts, review of agreements and resolutions, and other research as directed or requested by the Board of Supervisors and the District Manager. The budgeted amount for the fiscal year is based on the contracted fees outlined in Exhibit"A"of the management agreement. Professional Services-Property Appraiser Collier County Non-Ad Valorem Tax roll. 1.5% of current fiscal year total assessments less prior year excess fees and/or adjustments. Professional Services-Trustee The District issued this Series 2020 Special Assessment Bond that is deposited with a Trustee to handle all trustee matters. The annual trustee fee is based on standard fees charged plus any out-of-pocket expenses. Auditing Services The District is required to conduct an annual audit of its financial records by an Independent Certified Public Accounting Firm. The budgeted amount for the fiscal year is based on contracted fees from an existing engagement letter. Website Compliance The District contracted with a company to operate the website ADA compliance to meet Florida statutes. Postage and Freight Actual postage and/or freight used for District mailings including agenda packages, vendor checks and other correspondence. Insurance-General Liability The District's General Liability & Public Officials Liability Insurance policy is with Florida Insurance Alliance. They specialize in providing insurance coverage to governmental agencies. The budgeted amount allows for a projected increase in the premium. A 3%increase is projected. Printing and Binding Copies used in the preparation of agenda packages, required mailings, and other special projects.
