RESOLUTION APPROVING AGREENENT IHTH AVATAR
PROPERTIES, INC. PROVIDING FOR THE TRANSFER
OF APPROXIf~TELY 1100 ACRES OF LAND TO COLLIER
COUNTY AND AUTHORIZING THE CHAIRMAN OF THE BOARD
TO EXECUTE THE AGREENENT ON BEHALF OF COLLIER COUNTY
NON THEREFORE BE IT RESOLVED BY THE BOARD OF COUNTY
COfmISSIONERS OF COLLIER COUNTY, FLORIDA that the Agreement with
Avatar Properties, Inc., f/k/a GAC Properties, Inc. is hereby
approved in substantially the torm attached hereto and
;M~orporated herein by reference; and the Chairman of the Board
of County Commissioners is authorized to execute same on behalf
of the Board of County Commissioners.

to provide facilities for such things as recreation, utility and
cannu."lity service for the existing and future residents and visitors of
., Collier Ccunty, and to pr.ovide a source of revenoo to fund irrproverrents
within the area kno.m as "Golden Gate Estates", as provided herein; and

the Feder,li Trade CommJssion in a Modifying Order issued on

v..'HEREAS, the Ccntpany and the County cbsire bj mutual <...'On~nt to
recognize tliat the cbnation of said 1,061.5 acres bj the O:mpany to the
County ranains an essential need to enable the County to m0et the
pres~nt a.nd future public needs of the GJlden Gate FBtates area; and
WiiEHEAS, the County has ootennined that the purposes and intent of
that ccrtdin Agrecrrent futed o.:to1:::er 4, 1977 have men subst.antially
sa..tisfied bj various actions of the Canpany, inducting, but not limited
to exchanges of purchasers to other areas, refunds to purchasers, and
expenditure and tendering to the County of funds for canal rT\3:intemnce
and water retention facilities;
THEREFORE, in consideration of the aforesaid premises, it is
mutmlly convenanted and agreed ootween the Cbrrpany and the Coonty as
follmos ,
1. The Conpan)' hereby reaffinns that it will cbrate OJ special
warranty &!ed 1,061.5 acres of property in Golden G3.te Estates to the.
County. Gold~n Gate Es~'tes is made up of the property shown in
4Exhibit "A" a~tached hereto and incofI:Orated l:1j refe=cnce here~n.
2. The Canr;>any and the COunty mutually agrep. that the following
described lands will 00 o:::mveyed in accord with the following schedule:
a) On or tefore Decanter 1, 1983, the Ccmpany will convey to
t~ Coun,ty the lands listed in Exhibit "B" enootrpa.ssing approxi-

and the County agree to abide crj arbitration purusant to the American
Arbitration ~s3ociation Rules to resolve all disputes in reference to
what properties shall !:e oclOated to the County by the Cbrrpany.
4. The Canp..=lny hereby agrees, at its expense, to deliver to
County thirty (30) c.b.ys mfore any conveyance a Title Insurance

. and 20ning laws, restrictions, rcser\atio~s, limitations, easements of
record, taxes for the b3.lance of the year following the fite

ot)jr'~:t.:ions, they rm~<;t. b= cblivered in writing to Ccrnpany within forty-
five (45) days fr~ County's receipt of the said Commitment. In the
event that the title shall no.:. 00 found to 00 9000 and insurable,
Company, at Company's option, may cure such defects and shall have
sixty (60) days in which to do 50, which additional time will extend
the conveyance chte herein provided. If afte.!" reasonable diligence on
Canp:.'lny's p3.rt, said title shall not be: rrade 900:::1 and insurable within
the tirre provided, the Corrpany shall have the obligation hereunder to
substitute other iml'cntory land in Golden Gate Estates of a similar

5. The lands ""eded to the Oounty pursuant to this Agresnent
shall b'l used only to provide governmntal facilities for existing and
future reoidents of 00lliet' County, with all capital irrprovanents to be
physically located within the geograph!cU I::oJndary of the area known
as "G:llden Gate Estates" and any proceeds frml the sale of dedicated
lands as provided herein shall be utilized for capital projects, as

Estate::;". 'The govcrlm2ntal facilities which can m constructed upon
said property or wi th the proceeds of the sale of the proPerty include
fire protection facilities, police facilities, public ?chools, libra-
ries and recrci'\tional facilities and G;luiprent necessary for the oper-
ation thereof. Nei ther the property d:mated nor the proceeds fran the
sale of any dedicated property shall 00 used for the purposes of ac-
quisition, construction or maintenance of roads and bridges, or simJlar
projects. If it is determined by a court of colTpetent jurisdiction
that the County has all",,-ed the lands or any part thereof to ~ used
for any purpose other than the aforesaid, the o>mership and title
thereto shall revert to the Ccrrpany. The conveyances provided for
herein shall b= made by the Corrpany to the County regardless of whether
a nrAsent or i.mrediate need exists for such acreage in the year of
conveyance. The p3rti~t:l hereto recognize that the progress of
development in Golden Gate Estates, and hence the need for facilities,
is not defendant upon the conveyance schedule contained herein. The
'"'Canpuny shall have the right to reserve any and all gas, oil and
mineral rights for the lands to I:c oorutcd hereunder, along with the
right of reasDn-J.ble ingress and egress. In the event that the explor-
"ti'" for or exploit-;\tion of anv gas, on or minerals on subject lands
results in furruge thereto or results in a diminishing in value of the
sub~ct property, the Corrpany agrees to indemnify fully the County for
such chmage or diminishing in value.
n. 'The County agrees to establish a special trust fund for any
and all revenues received b:i virtu; of the sale of any property
described herein. A full accounting shall be made of all revenues so
collected so that it can b3 determined that said revenues havr b:::en
utilized only for those purposes provided herein.
7. It is understood and agreed that the County shall have the
right to sell or trade lands acx;Iu1red hereunder. However, the County
shall not sell or trade more than 20% of said lands in anyone year.
The County cbes hereby agree that any land llcquired b.i trade shall be
subject to the sal'll: limitations that it te used for public purposes
within Golden Gate Estates as described in Paragraph 5. Funds aQ:luired
fran the sa.l~ of the lands shall l::e used for governrrental purposes as
de3cribed above and shall 00 used only to acquire other lands, e::]uip-
ment, materials or for the constructing of improvements as hereinbe-
fore described in Paragraph 5. Before any lands nay l:e sold or traded,
th~ COIlI1ty shall have an appraisal corrpleted bj an M.A.I. and the
contl3Tlplated conveyance may be consU!'ITT\ated only if: (a) the sales
~ice is ninety (90\) percent or more of the appraisal fair market
valoo or, (b) the appraisal fair narket value of the property to be
received in trada is ninety (901) percent or more of the appraisal fair

right of first refusal to ao:zuire any property the County oosires to
sell or trade under Paragraph 7 al:ove. The Ccunty shall ootify the
Canpany of all terms and condi tions of any such &Jle or trade and the
Co~ny shall have the right and option for thirty (30) days after
receipt of such ooticc to elect to acquire the property for the BalM
oonsideration and upon the Sart'Q terms and conditions. If the property
is subje~t of a trade, the County shall, t.hroogh the appraisal
referer.cod in Paragraph 7, establish the fair market value of the
property and the Canpany shall have the right to acquire the propo..rty
to 00 traded for said fair rrarket value ama.,mt. The Corrpany shall have
thirty (30) days from the receipt of such notice to respond to the
County by notifying the County of its desire to exercise the right of
first refusal. If the right of first refusal is not exercised qy
Co:rpany within the stated period, the County shall have the right to
sell or lrade the property to such third party, but only at tl1e price
of sale and upon the tenrs and conditions originally ccmnunicated to
the ~ny. r-.b sale or trade shall te valid unless and until the
foregoing requirerrents are corrplied wi th ~ the Ca..mty. The right of
first ref~~al shall run with the land, and failure of the Company to

right to exercise that right in any case thereafter arising. The

9. In vi~w of the pranises and in consideration of the mutual
Obligations and responsibilities hereunder, th~ County here~ releases
-the Company, its parent corporation and their subsidiaries from any and
all obligations and responsibilities, as set forth in the Agreement
ented O~to~r 4, 1977, a copy of which is attached hereto marked
Exhibit "0", and incorporated by reference herein.
10. The Conpany and the County are currenUy mutually sharing in
revenues fran the sale of excawted sr;:oil rM.ter ials in the G:>Wen Gate
Estates area, and it is mutually uneerstocx:1 and agreed that during the
duration of this Agreert"ent, the COUJ'lty will continue to have such
rights as the Company can convey, at no cost therefor, to utilize such
sP='il nuterials that rerT\1in available frO'll tirre to tirre, for fill
purposes on the various land parcels conveyed hereby, if such is deemed
,b.' tho;!: County. to t:c reeded. This Agre~nt will tenninate on I:ecember
41, 1986, except for the prO'lisions of this Paragraph 10.
11. All arrendrents, alterations, nodifications or changes to this
Agreencnt to which the parties hereto mutually ag,ree, shall be in
writing and duly signed tr; authorized representatives of each porty.
