Executive Summary
Recommendation to approve a Retention Agreement for Legal Services with Jackson Lewis P.C. for specialized Cyber
Security and Data Privacy legal services on an as-needed basis.
OBJECTIVE: That the Board approves and authorizes its Chairman to sign a Retention Agreement for specialized legal
services with the law firm of Jackson Lewis P.C. (the “Firm”).
CONSIDERATIONS: Attached for the Board’s approval is a Retention Agreement with Jackson Lewis P.C. The Firm
has a national practice with offices located throughout the United States, including offices in Tampa, Miami, Orlando,
and Jacksonville. The Firm has special expertise and resources in a wide range of sophisticated legal concerns, with
particular expertise and knowledge concerning cyber security, data privacy, and security compliance, while also
providing services in employment, labor and benefits law. The County’s interest in the Firm primarily concerns its
cyber security / privacy knowledge, so that in the event that the County experiences a breach of its cyber security it can
rapidly respond to any potential economic loss or data breach. The Firm is an authorized provider of legal services by
the County’s cyber security insurer. The attached agreement does not address any specific project or assignment but
allows the County to use the Firm on an as-needed basis.
The agreement provides for an initial two-year period with the opportunity to extend the agreement for three (3)
additional one-year renewal terms upon the mutual consent of the parties. The Firm’s rates for cyber security legal
services are at the same hourly rate as the County had in a previous agreement with the law firm Mullen Coughlin, LLC,
which was approved in December 2020. The Firm’s rates for other available services are based on the experience and
expertise of counsel that could be assigned to future tasks and are consistent with current rates of other outside counsel
employed by the County.
The proposed Retention Agreement is in a standard form contract used with other County retained outside counsel.
Approval of the agreement will allow the Risk Management Division to direct the Firm to respond quickly in the event
the County ever encounters a cyber security ransomware attack.
FISCAL IMPACT: There is no fiscal impact incurred by this action. Divisions utilizing the Firm will be responsible
for any future billed services.
GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this action.
LEGAL CONSIDERATIONS: This item is approved as to form and legality, and requires majority vote for Board
