Executive Summary
This item requires that Commission members provide ex-parte disclosure. Should a hearing be held on this item, all
participants are required to be sworn in. Recommendation to approve for recording the plat of Valencia Sky Replat
(Application Number PL20250001791), approval of the Construction and Maintenance Agreement and approval of the
Bond Rider for the existing performance security in the amount of $8,114,041.22, in accordance with Florida Statutes
section 177.073 and LDC Section 10.02.04.B.4.d.
OBJECTIVE: To have the Board of County Commissioners (Board) approve for recording the plat of Valencia Sky
Replat, a subdivision of lands located in Section 9, Township 50 South, Range 26 East, Collier County, Florida, in
accordance with the LDC Section 10.02.04.B.4. This procedure allows for the Board to approve the plat and associated
construction documents for construction purposes and recording purposes concurrently.
CONSIDERATIONS: On November 12, 2024, Agenda Item No. 16.A.7., the Board approved the subdivision plat for
Valencia Sky (PPLA PL20240006539). At that time, the Developer requested an application for the issuance of
residential building permits prior to plat recording, in accordance with Florida Statutes, Section 177.073, and LDC
Section 10.02.04.B.4.d, and provided a Construction Maintenance Agreement with a Performance Bond in the amount
of $8,114,041.22. Valencia Sky was recorded in Plat Book 75, Pages 72-90, of the Public Records of Collier County,
Florida, on December 12, 2024.
The Developer now wishes to make changes to the plat, including modifying the rear yard drainage easement within the
lots and changing the size of lots 10-35. The Development Review Division of the Growth Management Department has
completed the review of the plat of Valencia Sky Replat, and these documents are in compliance with the County Land
Development Code and Chapter 177, Florida Statutes. This project is within the Valencia Sky RPUD, Ord. No. 2023-04,
as amended. All fees have been paid. A bond rider to the existing security in the amount of 10% of the total cost of the
required improvements, and 100% of the cost of any remaining improvements, together with a Construction and
Maintenance Agreement for Subdivision Improvements, that will replace and supersede the previously approved
Construction and Maintenance Agreement dated November 12, 2024, has been provided in conformance with Section
10.02.04 F.2 of the Land Development Code.
There is an Insubstantial Change (ICP) associated with this plat. The required improvements for Valencia Sky ICP, are
included in application PL20250001090, and review fees were paid under this application.
The Development Review Division recommends that the plat of Valencia Sky Replat be approved for recording.
This item is consistent with the Collier County strategic plan objective to operate an efficient and customer-focused
permitting process.
FISCAL IMPACT: The project cost is estimated at $7,376,401.11 to be borne by the developer and was previously
approved with PPLA PL20240006539.
The cost breakdown is as follows:
a) Water & Sewer $3,289,766.50
b) Drainage, Paving, Grading $4,086,634.61
The Security amount, equal to 110% of the project cost, is $8,114,041.22 (previously approved).

The bulk of the review Fees are based on a construction estimate of $7,376,401.11 and were paid under the previously
approved PPL( PL20220006390) in June 2023 and under PPLA (PL20240006539) in July 2024.
The breakdown is as follows:

GROWTH MANAGEMENT IMPACT: The developer must receive a Certificate of Adequate Public Facilities
(COA) prior to the issuance of the construction plan final approval letter and plat recordation, except when the applicant
elects to delay obtaining a COA for non-residential developments that are required to obtain approval of a site
development plan prior to the issuance of a building permit.
LEGAL CONSIDERATIONS: The applicant is requesting approval of the subdivision plat and construction and
maintenance agreement. The Board shall consider the County Manager or designee’s recommendation and shall take
evidence and testimony in regard to the subdivision plat requirements identified in LDC sections 10.02.04 B, 10.02.04
C, and other provisions of the LDC, as well as Chapter 177, Florida Statutes. If the Board denies or places conditions on
the subdivision plat, it shall state reasons for such denial or conditions.
In accordance with the LDC, the applicant is required to submit the subdivision plat to the County Manager or designee
for recording within 18 months of the date of approval of the subdivision plat by the Board. However, following
approval by the Board, but prior to recordation, the County Manager or designee may approve minor insubstantial
changes to the subdivision plat, and the Board may approve any changes that are not minor and insubstantial.
This item has been approved as to form and legality, and requires a majority vote for Board approval. --DDP
RECOMMENDATIONS:
1. Approve the plat of Valencia Sky Replat, Application Number PL20250001791 for recording.
2. Approve the Bond Rider to the existing Performance Bond in the amount of $8,114,041.22 as performance
security for the required improvements; or such lesser amount based on work completed, and as is approved by
the Growth Management Department.
3. Approve the Construction and Maintenance Agreement and direct the County Manager or their designee to
withhold Certificates of Occupancy until the required improvements have received preliminary acceptance.

CONSTRUCTION AND MAINTENANCE AGREEMENT FOR SUBDIVISON IMPROVEMENTS
THIS CONSTRUCTION AND MAINTENANCE AGREEMENT FOR SUBDIVISION IMPROVEMENTSenteredintothiS-day-,2025betweenNaplesAssociatesVl,LLLPhereinafter
referred to as "Developer", and Board of County Commissioners of Collier County, Florida, hereinafter
referred to as the "Board".
RECITALS:
B. Chapter 4 and 10 of the Collier County Land Development Code required the Developer to post
appropriate guarantees forthe construction ofthe improvements required by said subdivision regulations,
said guarantees to be incorporated in a bonded agreement for the construction of the required
improvements.
NOW, THEREFORE, in consideration of the foregoing premises and mutual covenants hereinafter set forth,
Developer and the Board do hereby covenant and agree as follows:
1. Developer will cause to be constructed: All required improvements within 36 months from the date of
approval of said subdivision plat, said improvements hereinafter referred to as the required
improvements.
2. Developer herewith tenders its subdivision performance security (attached hereto as Exhibit "A" and
by reference made a part hereof) in the amount of $ 8,114,041.22 which amount represents '10% of the
total contract cost to complete the construction plus 100% of the estimated cost of to complete the
required improvements at the date of this Agreement.
3. ln the event of default by the Developer or failure of the Developer to complete such improvements within
the time required by the Land Development Code, Collier County, may call upon the subdivision
performance security to insure satisfactory completion of the required improvements.
4. The required improvements shall not be considered complete until a statement of substantial completion
by Developer's engineer along with the final project records have been furnished to be reviewed and
approved by the County Manager or his designee for compliance with the Collier County Land
Development Code.
5. The County Manager or designee shall, within sixty (60) days of receipt of the statement of substantial
completion, either. a) notify the Developer in writing of his preliminary approval of the improvements; or
b) notify the Developer in writing of his refusal to approve improvements, therewith specifying those
conditions which the Developer must fulfill in order to obtain the County Manager's approval of the
improvements. However, in no event shall the County Manager or designee refuse preliminary approval
of the improvements if they are in fact constructed and submitted for approval in accordance with the
requirements of this Agreement.
6. The Developer shall maintain all required improvements for a minimum period of one year after preliminary
approval by the County Manageror his designee. Afterthe one-year maintenance period by the Developer
has terminated, the Developer shall petition the County Manager or designee to inspect the requiied
improvements. The County Manager or designee shall inspect the improvements and, if found to be still
in compliance with the Land Development Code as reflected by final approval by the Board, the Board
shall release the remaining 10% of the subdivision performance security, The Developer's responsibilityfor maintenance of the required improvements shall continue unless or until the Board acceptsmaintenance responsibility for and by the County.

A. Developer has, simultaneously with the delivery of this Agreement, applied forthe approval by the Board
of certain plat of a subdivision to be known as: Valencia Sky RePlat

7. Six (6) months after the execution of this Agreement and once within every six (6) months thereafter the
Developer may request the County Manager or designee to reduce the dollar amount of the subdivision
performance security on the basis of work complete. Each request for a reduction in the dollar amount
of the subdivision performance security shall be accompanied by a statement of substantial completion
by the Developer's engineer together with the project records necessary for review by the County
Manager or designee. The County Manager or designee may grant the request for a reduction in the
amount of the subdivision performance security for the improvements completed as of the date of the
request.
8. ln the event the Developer shall fail or neglect to fulfill its obligations under this Agreement, upon
certification of such failure, the County Manager or designee may call upon the subdivision performance
security to secure satisfactory completion, repair and maintenance of the required improvements. The
Board shall have the right to construct and maintain, or cause to be constructed or maintained, pursuant
to public advertisement and receipt and acceptance of bids, the improvements required herein. The
Developer, as principal underthe subdivision performance security, shall be liable to pay and to indemnify
the Board, upon completion of such construction, the final total cost to the Board thereof, including, but
not limited to, engineering, legal and contingent costs, together with any damages, either direct or
consequential, which the Board may sustain on account of the failure of the Developer to fulfill all of the
provisions of this Agreement.
9. All of the terms, covenants and conditions herein contained are and shall be binding upon the Developer
and the respective successors and assigns of the Developer.

CONSTRUCTION AND MAINTENANCE AGREEMENT FOR SUBDIVISON IMPROVEMENTS
THIS CONSTRUCTION AND MAINTENANCE AGREEMENT FOR SUBDIVISION IMPROVEMENTS
entered into this 12th day of November 2024 between Naples Associates VI, LLLP hereinafter referred to as
Developer", and Board of County Commissioners of Collier County, Florida, hereinafter referred to as the
Board".
RECITALS:
A. Developer has, simultaneously with the delivery of this Agreement, applied for the approval by the Board
of certain plat of a subdivision to be known as: Valencia Sky
B. Chapter 4 and 10 of the Collier County Land Development Code required the Developer to post
appropriate guarantees for the construction of the improvements required by said subdivision regulations,
said guarantees to be incorporated in a bonded agreement for the construction of the required
improvements.
NOW, THEREFORE, in consideration of the foregoing premises and mutual covenants hereinafter set forth,
Developer and the Board do hereby covenant and agree as follows:
1. Developer will cause to be constructed: All required improvements within 36 months from the date of
approval of said subdivision plat, said improvements hereinafter referred to as the required
improvements.
2. Developer herewith tenders its subdivision performance security (attached hereto as Exhibit "A" and
by reference made a part hereof) in the amount of$ 8,114,041.22 which amount represents 10% of the
total contract cost to complete the construction plus 100% of the estimated cost of to complete the
required improvements at the date of this Agreement.
3. In the event of default by the Developer or failure of the Developer to complete such improvements within
the time required by the Land Development Code, Collier County, may call upon the subdivision
performance security to insure satisfactory completion of the required improvements.
4. The required improvements shall not be considered complete until a statement of substantial completion
by Developer's engineer along with the final project records have been furnished to be reviewed and
approved by the County Manager or his designee for compliance with the Collier County Land
Development Code.
5. The County Manager or designee shall, within sixty (60) days of receipt of the statement of substantial
completion, either: a) notify the Developer in writing of his preliminary approval of the improvements; or
b) notify the Developer in writing of his refusal to approve improvements, therewith specifying those
conditions which the Developer must fulfill in order to obtain the County Manager's approval of the
improvements. However, in no event shall the County Manager or designee refuse preliminary approval
of the improvements if they are in fact constructed and submitted for approval in accordance with the
requirements of this Agreement.
6. The Developer shall maintain all required improvements for a minimum period of one year after preliminary
approval by the County Manager or his designee.After the one-year maintenance period by the Developer
has terminated, the Developer shall petition the County Manager or designee to inspect the required
improvements. The County Manager or designee shall inspect the improvements and, if found to be still
in compliance with the Land Development Code as reflected by final approval by the Board, the Board
shall release the remaining 10% of the subdivision performance security. The Developer's responsibility
for maintenance of the required improvements shall continue unless or until the Board accepts
maintenance responsibility for and by the County.

7. Six (6) months after the execution of this Agreement and once within every six (6) months thereafter the
Developer may request the County Manager or designee to reduce the dollar amount of the subdivision
performance security on the basis of work complete. Each request for a reduction in the dollar amount
of the subdivision performance security shall be accompanied by a statement of substantial completion
by the Developer's engineer together with the project records necessary for review by the County
Manager or designee. The County Manager or designee may grant the request for a reduction in the
amount of the subdivision performance security for the improvements completed as of the date of the
request.
8. In the event the Developer shall fail or neglect to fulfill its obligations under this Agreement, upon
certification of such failure, the County Manager or designee may call upon the subdivision performance
security to secure satisfactory completion, repair and maintenance of the required improvements. The
Board shall have the right to construct and maintain, or cause to be constructed or maintained, pursuant
to public advertisement and receipt and acceptance of bids, the improvements required herein. The
Developer, as principal under the subdivision performance security, shall be liable to pay and to indemnify
the Board, upon completion of such construction, the final total cost to the Board thereof, including, but
not limited to, engineering, legal and contingent costs, together with any damages, either direct or
consequential, which the Board may sustain on account of the failure of the Developer to fulfill all of the
provisions of this Agreement.
9. All of the terms, covenants and conditions herein contained are and shall be binding upon the Developer
and the respective successors and assigns of the Developer.
IN WITNESS WHEREOF, the Board and the Developer have caused this Agreement to be executed by

the Board of County Commissioners of the specific improvements described in the Land
Development Regulations (hereinafter the "Guaranty Period").
NOW THEREFORE, if the Owner shall well, truly and faithfully perform its obligations and
duties in accordance with the Land Development Regulations during the guaranty period
established by the County, and the Owner shall satisfy all claims and demands incurred and shall
fully indemnify and save harmless the County from and against all costs and damages which it may
suffer by reason of owner's failure to do so, and shall reimburse and repay the County all outlay and
expense which the County may incur in making good any default, then this obligation shall be void,
otherwise to remain in full force and effect.
PROVIDED, FURTHER, that the said Surety, for value received hereby, stipulates and
agrees that no change, extension of time, alteration, addition or deletion to the proposed specific
improvements shall in any way affect its obligation on this Bond, and it does hereby waive notice of
any such change, extension of time, alteration, addition or deletion to the proposed specific
improvements.
PROVIDED, FURTHER, that it is expressly agreed that the Bond shall be deemed amended
automatically and immediately, without formal and separate amendments hereto, so as to bind the
Owner and the Surety to the full and faithful performance in accordance with the Land Development

Bond, or other documents shall include any alteration, addition or modification of any character
