Executive Summary
Recommendation to approve and execute an Agreement for the Sale of Culinary Kitchen Equipment with Core Health
Partners Incorporated related to Invitation to Negotiate (ITN) No. 24-8291 and authorize the necessary Budget
Amendment. (Companion to Item 16.G.1.)
OBJECTIVE: To terminate Collier County's management of the Immokalee Culinary Accelerator and execute an
Agreement for the Sale of Culinary Kitchen Equipment with Core Health Partners Incorporated.
CONSIDERATIONS: On June 11, 2024, the Board of County Commissioners (Board) directed staff to release an
Invitation to Negotiate (ITN) to seek a new lessee and sell the equipment at the Immokalee Culinary Accelerator
(Agenda Item No. 11.D).
On July 15, 2024, the Procurement Services Division released ITN # 24-8291 for the Immokalee Culinary Accelerator
Lease and Equipment Purchase. By the August 19, 2024, deadline, the County received three (3) submittals. All three
(3) bidders were found to be responsive and responsible.
A Selection Committee met on September 4, 2024, and reviewed the proposals against the primary evaluation criteria
included in the ITN. After reviewing the proposals and deliberating, the Committee scored them and final ranked the
three (3) firms. The Committee determined that oral presentations were not required. The Committee selected Core
Health Partners Foundation Incorporated as the top-ranked firm.

On October 22, 2024, the Board approved the Selection Committee's ranking and authorized staff to begin negotiations
with the top-ranked firm, Core Health Partners Foundation Incorporated (Agenda Item No. 16.A.13).
Staff negotiated with Core Health Partners Foundation Incorporated to coordinate the termination of the County's
existing lease and the execution of a new lease for the Immokalee Culinary Accelerator facility located at 170 Airpark
Blvd, Units A and B, in Immokalee, Florida. Additionally, staff negotiated the sale of the Immokalee Culinary
Accelerator kitchen equipment. Approval and execution of the lease is a related companion item on this agenda (Agenda
Item No. 16.G.1).
As detailed in their proposal, Core Health Partner's Foundation's plan for the Culinary Accelerator is to continue to offer
the space as a shared kitchen for local food-based businesses. To assist in the transition, the County's Culinary
Programs Manager will provide limited technical assistance to the Lessee and current Accelerator members for two
months, including membership communication, policy review, licensing guidance, and staffing recommendations.
This item is consistent with the Collier County strategic plan objective to encourage diverse economic opportunities by
fostering a business-friendly environment.
FISCAL IMPACT: Core Health Partners Foundation Incorporated will pay the County for the Immokalee Culinary
Accelerator kitchen equipment purchase as per the negotiated agreement. Revenue for the equipment purchase will be
deposited into Fund Center 138760 Economic Development, Fund (0001). The full purchase price of $76,875.00 is due

to the County on or before the commencement of Core Health Partners Foundation's new lease with the Airport
Authority (May 15, 2025). Once payment in full is received, the attached "Bill of Sale" will be executed by the County
Manager or her designee. Some of the equipment being sold was acquired through grants secured by the previous owner,
Economic Incubators, Inc. The County complied with the grant requirements, and the Department of Commerce,
formerly the Department of Economic Opportunity, acknowledged Collier County's ownership of the equipment in at
least one letter. Through this sale, the economic development goals of maintaining the incubator are furthered. Should
any repayment of the equipment be required, proceeds from this sale will cover any outstanding obligation.
GROWTH MANAGEMENT IMPACT: This request is consistent with Objective 3 of the Economic Element of the
Collier County Growth Management Plan, which states: “Collier County will support programs which are designed to
promote and encourage the recruitment of new industry, as well as the expansion and retention of existing industries in
order to diversify the County’s economic base.”
LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a majority vote for

[24-CMD-00192/1930233/1] Page 1 of 7 AGREEMENT FOR THE SALE OF CULINARY KITCHEN EQUIPMENT This Agreement for the Sale of Culinary Kitchen Equipment (hereinafter referred to as “Agreement”) is entered into this 8th day of April 2025 (“Effective Date”), by and between Core Health Partners Foundation Incorporated, a corporation duly organized under the laws of Florida, whose principal and mailing address is 750 S 5th, Suite 100, hereinafter referred to as “Buyer”, and the Board of County Commissioners of Collier County, Florida, with administrative offices located at 3299 Tamiami Trail East Naples, Florida 34112, hereinafter referred to as “Seller,” and collectively stated as the “Parties.” WHEREAS, on October 22, 2024, Seller approved the Selection Committee’s ranking for ITN # 24-8291 for the Immokalee Culinary Accelerator Lease and Equipment Purchase and authorized staff to begin negotiations with the top-ranked firm, Core Health Partners Foundation Incorporated (Agenda Item No. 16.A.13); and WHEREAS, the scope of ITN # 24-8291 included the “[t]ransfer of ownership of the [kitchen] equipment through a bill of sale upon successful assumption of the lease”; and WHEREAS, on April 8, 2025, Agenda Item No. 16.G.1, Buyer and Seller entered into a Lease Agreement for the Immokalee Culinary Accelerator; and WHEREAS, the Seller agrees to sell, and the Buyer agrees to purchase certain culinary kitchen equipment as described below and in Exhibit “A” attached hereto and incorporated herein by reference (the “Equipment”), in fulfillment of the aforementioned obligations and negotiations; and WHEREAS, the Buyer has agreed to pay the total amount of $76,875 to purchase the Equipment described in Exhibit “A”. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is acknowledged, the parties agree as follows: 1. Sale of Equipment The Seller agrees to sell, and the Buyer agrees to purchase, the culinary kitchen equipment as detailed in Exhibit “A” of this Agreement. The Equipment shall be transferred in its current condition as specified in Exhibit “A”. Seller’s interest in the Equipment, shall be conveyed to Buyer at closing by Seller’s duly executed bill of sale substantially in the form attached hereto as Exhibit “B”. The Seller’s County Manager or designee is authorized on behalf of the Seller to effectuate any and all documents as may be required (including bill of sale) to carry out the intent of the Parties and this Agreement. 2. Purchase Price and Payment The total purchase price for the Equipment shall be Seventy-Six Thousand Eight Hundred Seventy-Five Dollars ($76,875). Payment shall be made in full by the Buyer to the Seller on or before May 15, 2025 (“Closing Date”), or as otherwise agreed in writing by both parties. Seller’s CAOPage 833 of 6355

The date and time of closing and all dates and times specified for performance by Seller and Buyer under this Agreement are hereby agreed to be of the essence of this Agreement. 3. Delivery and Transfer of Equipment (a) The Seller shall deliver the Equipment to the Buyer at 170 Airpark Blvd Suite 103 Immokalee, FL 34142 on or before May 15, 2025. (b) The Equipment will be considered delivered when payment in full is received, and all responsibilities related to the Equipment, including any risk of loss or damage, will be transferred to the Buyer upon delivery. 4. No Warranty (a) The Equipment is being sold "AS IS" and without any warranty of any kind, whether express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. (b) The Seller makes no representations or warranties regarding the condition, performance, or suitability of the Equipment. (c) The Buyer specifically acknowledges and agrees that it hereby waives, releases, and discharges any claims it has, might have had, or may have against the Seller with respect to the condition of the Equipment. 5. Exhibit “A”: Description of Equipment A detailed list of the Equipment being sold is provided in Exhibit “A, attached hereto and incorporated herein by reference. This exhibit shall serve as an integral part of this Agreement. 6. Indemnification The Buyer agrees to indemnify, defend, and hold harmless the Seller, its officers, employees, and agents, from any and all claims, damages, losses, and liabilities, including reasonable attorneys' fees, arising out of or in connection with the use or operation of the Equipment after delivery. 7. Entire Agreement This Agreement, including Exhibit “A”, constitutes the entire agreement between the parties regarding the sale of the Equipment and supersedes all prior discussions, negotiations, or agreements, whether written or oral. [24-CMD-00192/1930233/1] Page 3 of 7 8. Governing Law; Venue This Agreement shall be governed by, and construed in accordance with, the laws of the State of Florida. All dispute arising under this this Agreement shall be brought solely in the courts of Collier County, Florida, and the Parties hereby agree to said venue. 9. Amendments Any amendment, modification, or waiver of any provision of this Agreement shall be made in writing and signed by authorized representatives of both parties. 10. Assignment The Parties shall not assign any rights or obligations under this Agreement to a third party without the prior written consent of the other party. 11. Entire Agreement This Agreement constitutes the entire agreement between the Parties regarding the sale and purchase of this equipment and supersedes all prior negotiations and agreements. 12. Severability If any provision of this Agreement is determined to be legally invalid or unenforceable, such provision shall be severed from this Agreement, and the remaining provisions of this Agreement shall remain in full force and effect 13. Dispute Resolution In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the parties shall first attempt to resolve the matter through informal negotiation. If a resolution is not reached, the dispute shall be resolved through mediation or, if necessary, arbitration in accordance with the rules of the American Arbitration Association. EXECUTIVE SUMMARY
Recommendation that the Board of County Commissioners accept an update on the performance of the
Florida Culinary Accelerator at Immokalee.
OBJECTIVE: To update the Board on the performance of the Florida Culinary Accelerator at Immokalee (the
Accelerator”).
CONSIDERATIONS: The goal of the Collier County Culinary Accelerator is to promote economic development
and diversify the local economy through the growth and development of food-related businesses in Collier County
by facilitating the evolution of a concept into an actionable business plan and ultimately into a successful,
employment-generating, and tax revenue producing small businesses.
The Accelerator was designed to allow new business start-ups to capitalize on the abundant agricultural and
transportation resources in the Immokalee area. The Accelerator has stimulated innovation and local economic
resiliency through food service education, job creation, entrepreneurship, and diversifies available food service
product choices. This is accomplished through training programs, shared access to commercial kitchen space, and
an onsite food safety and testing laboratory. The laboratory is staffed through a partnership with the University of
Florida/ IFAS Extension Office. The Accelerator was created through the use of Federal, State, and County
funding.
On May 13, 2014, the Board approved the Collier County Accelerator Project to be run by the non-profit
organization Economic Incubators Inc. (EII), and the Florida Culinary Accelerator at Immokalee opened in
January 2018. On April 23, 2019, the Board directed the County Manager to assume all management and
operational aspects of the accelerator programs. In late FY23, the Growth Management Community Development
Department assumed the oversight of the Collier County Culinary Accelerator.
Tangible benefits to Collier County since assuming management of the Accelerator (April 2019) include 46
businesses created, 23 businesses graduated (50%), and 130 jobs have been created. Thirty -three (33) of the 46
businesses created at the Culinary Accelerator (72%) have exceeded national thresholds of 24 months needed to
certify a business/job created. The longevity of businesses created at the Culinary Accelerator also nearly doubles
the Bureau of Labor Statistics survival rate of businesses started in 2018 of only 43.4%. See the attached list of
members from 2018-current.
The accelerator has also assisted 85 other applicants who have pursued their businesses outside the program.
Assistance includes mentoring and assisting clients with applications to the Florida Department of Business and
Professional Regulation, the Florida Department of Health, and other business and food safety requirements,
including food handlers permit cards and the County’s Business Tax Receipts.
State and Federal grant funding was secured to create and outfit the Immokalee Culinary Accelerator. An initial
grant of $2,500,000 was awarded to assist in startup operations, of which $568,097 was received for the
Accelerator. A $112,536 grant was awarded from the United States Department of Agriculture (USDA) Rural
Business Development (RBDG) on July 26, 2016, for the purchase of commercial kitchen equipment (with
additional matching funds from EII of $111,424). Another $1,200,000 grant from the Florida Department of
Economic Opportunity (DEO) to EII was awarded on July 22, 2016, for the construction and equipment necessary
to build-out an applied food sciences laboratory, commercial kitchen, and packaging facilities.

All grants have fulfilled their obligation periods of performance and have no close -out or ongoing monitoring
requirements from the grantors. Should the Culinary Accelerator Program cease operation prior to provided
depreciable useful life of the assets purchased with federal and state funding (five-years for local, seven-years for
Federal and State), the County would have been required to contact the grantor to obtain disposition instructions
for the assets to understand County’s responsibilities if seeking this path.
A professional appraisal of the Culinary Accelerator’s equipment was completed in March of 2024 by
Commercial Glass & Restaurant Supply, Inc. The Culinary Accelerator’s equipment is currently valued at an
aggregate value of $219,807.00. A copy of the complete equipment appraisal report has been provided as an
attachment to this item.
Community Benefit Summary:
Staff is seeking Board guidance as to the continued future operations and county involvement in the Immokalee
culinary accelerator facility. Options available include: 1) continue current operations, 2) explore possible revenue
generating/net cost-saving opportunities through enhancing operations, 3) seek an alternate operator for the
facility 4) close the facility and liquidate the assets.
FISCAL IMPACT: Funding for The Accelerator is provided through membership fees (FY23 $40,000) and
Seminole Tribe of Florida Compact distributions (FY23 $306,000). While these distributions are currently utilized
to aid accelerator operations, they are not restricted to this program and can be utilized for other County initiatives.
Anticipated future expenses include maintenance obligations, a projected 20.2% increase in rent, and additional
funding requirements to uphold current operations.

The goal of the Collier County

State and Federal grant funding was secured to create and outfit the Immokalee Culinary
Accelerator
An initial grant of $2,500,000 was awarded from the Florida Department of Economic Opportunity (DEO) to assist
in startup operations, of which $568,097 was received for the Accelerator.
A $112,536 grant was awarded from the United States Department of Agriculture (USDA) Rural Business
Development (RBDG) on July 26, 2016, for the purchase of commercial kitchen equipment (with additional
matching funds from EII of $111,424).
Another $1,200,000 grant from the DEO to EII was awarded on July 22, 2016, for the construction and equipment
necessary to build-out an applied food sciences laboratory, commercial kitchen, and packaging facilities.

Executive Summary
*** This item continued from the October 8, 2024, BCC Meeting. *** Recommendation to approve the selection
committee’s ranking related to Invitation to Negotiate (ITN) No. 24-8291, “Immokalee Culinary Accelerator Lease and
Equipment Purchase” and authorize staff to begin negotiations with the top-ranked firm, Core Health Partners
Foundation Incorporated, so that a proposed agreement can be brought back for the Board’s consideration at a future
meeting.
OBJECTIVE: To approve the selection committee’s ranking of ITN No. 24-8291 and authorize staff to negotiate an
agreement for the Immokalee Culinary Accelerator Lease and Equipment Purchase.
CONSIDERATIONS: On June 11, 2024, the Board approved a recommendation to accept an update on the
performance of the Florida Culinary Accelerator at Immokalee and directed staff to release an Invitation to Negotiate
(ITN) (Agenda Item No 11.D).
On July 15, 2024, the Procurement Services Division released Invitation to Negotiate (ITN) No. 24-8291 for the
Immokalee Culinary Accelerator Lease and Equipment Purchase. By the August 19, 2024, deadline, the county received
three (3) submittals. All three (3) bidders were found to be responsive and responsible.
A Selection Committee met on September 4, 2024. The primary evaluation criteria included the Cover
Letter/Management Summary, Certified Woman and/or Minority Business Enterprise, Business Plan, Financial
Capability of the Firm, Experience and Capacity of the Firm, Compliance with Legal and Regulatory Requirements, and
Local Vendor Preference. After review of the proposals and deliberation, the Committee scored the proposals and final
ranked the three (3) firms. The Committee determined oral presentations were not required. The Committee selected
Core Health Partners Foundation Incorporated as the top-ranked firm.

Staff recommends that the Board approve the Selection Committee's ranking and authorize staff to begin negotiations
with the top-ranked firm, Core Health Partners Foundation Incorporated (CHPF).
From Core Health Partners Foundation's proposal…
"Core Health Partners Foundation (CHPF), a 501(c)(3) non-profit organization established in 2021, is dedicated to
receiving, holding, investing, and administering property for community benefit. We are committed to investing in
the accelerator and fostering a collaborative vision for the Immokalee community's growth. Our goal is to expand the
support for culinary entrepreneurs while expanding community support for new programs."
Upon successful negotiation with the top-ranked firm, staff will coordinate the termination of the existing lease and the
execution of a new lease with the awarded firm for the facility located at 170 Airpark Blvd, Units A and B, in
Immokalee, Florida. Pursuant to Article 6 of the existing lease agreement, the lease may be terminated for any reason
with 30 days prior written notice to the other party. Additionally, staff will negotiate the sale of the Immokalee Culinary
Accelerator equipment as part of the agreement.
Should negotiations with the top-ranked firm fail, the Board authorizes staff to negotiate with the second-ranked firm,
Las Palmas Logistics LLC d/b/a Del Mono Fresh LLC, and continue with the necessary steps noted above.

FISCAL IMPACT: Core Health Partners Foundation Incorporated will pay the County for the Immokalee Culinary
Accelerator Lease and Equipment Purchase according to the conditions of the Agreement negotiated.
GROWTH MANAGEMENT IMPACT: This request is consistent with Objective 3 of the Economic Element of the
Collier County Growth Management Plan, which states: “Collier County will support programs which are designed to
promote and encourage the recruitment of new industry, as well as the expansion and retention of existing industries in
order to diversify the County’s economic base.”
LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a majority vote for
Board approval.-DDP
