I:Forms/County Forms/BCC Forms/Original Documents Routing Slip WWS Original 9.03.04;Revised 1.26.05;2.24.05;11/30/12;4/22/16;9/10/21 11 � TRAFFIC SIGNAL AGREEMENT CAMERON COMMONS THIS TRAFFIC SIGNAL AGREEMENT (hereinafter referred to as the "Agreement") is made and entered into this ij(074 of Fe A , 2025 by and between Cameron Commons Unit Two Property Owner's Association, Inc. a Florida Corporation (hereinafter collectively referred to as the "Associations"), and Collier County, Florida, a political subdivision of the State of Florida (hereinafter referred to as the"County"). RECITALS: WHEREAS, the Heritage Bay Planned Unit Development Ordinance 03-40 was amended on February 9,2021,which after the gating of an access road eliminated access from the Cameron Commons commercial areas of the PUD to the signalized intersection at Immokalee Road and Quarry Drive; and WHEREAS, on October 18, 2021, County staff conducted a traffic signal warrant study for the intersection of Bellaire Bay Drive and Immokalee Road and determined that traffic signal warrants were met; and WHEREAS, the Heritage Bay Planned Unit Development Ordinance 03-40 provides that "The developer shall make a fair share contribution toward the capital cost of a traffic signal on Immokalee Road and any access point(s)when,and if deemed warranted by Collier County. The signal shall be owned, operated and maintained by Collier County;" and WHEREAS,the parties agree that the traffic signal at the intersection of Bellaire Bay Drive and Immokalee Road(the"Traffic Signal") will benefit the Association,so that the Association's fair share contribution shall be 100% of the cost of the project; and WHEREAS, the 2045 Collier Metropolitan Nanning Organization's Long Range Transportation Plan identifies the need for a major intersection improvement at Immokalee Road and Collier Boulevard, which may require an overpass; and WHEREAS, since the location of the proposed Traffic Signal will likely conflict with the County's future intersection plans, it is understood and agreed by the parties that the proposed Traffic Signal will likely be removed in the future to accommodate the major intersection improvement at Immokalee Road and Collier Boulevard at the discretion of the County. WITNESSETH: NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and valuable consideration exchanged amongst the parties, and in consideration of the covenants 1tt contained herein,the parties agree as follows: 1. All the above RECITALS are true and correct and are hereby expressly incorporated by reference as if set forth fully below. 2. The Association has initiated the the design and permitting of the intersection improvements at Bellaire Bay Drive and Immokalee Road, which will include the necessary turn lanes and a traffic signal. All design and construction plans must be approved in advance by the County,which approval shall not be reasonably withheld. Once all of the necessary improvements are completed and accepted by the County, the Traffic Signal will be conveyed to the County and will thereafter be owned and maintained by Collier County. Additional improvements from this project may also be required to be conveyed to the County, including potential additional easements or right of way, all at no cost to the County, which will thereafter also be owned and maintained by Collier County. 3. If and when the County determines that the Traffic Signal must be removed, whether as a result of the future contemplated intersection improvement or for any other reason, then the County shall bear all expense for such removal.The Association,on behalf of themselves, their successors and assigns (including any and all future owners and tenants), hereby waive any and all claims for compensation and damages, including but not limited to future business damages and loss of access, from Collier County as a result of the removal of the Traffic Signal. The Association acknowledges and understands that the Traffic Signal may be removed in the future to accommodate the major intersection improvement at Immokalee Road and Collier Boulevard. Legal Matters 4. This Agreement shall not be construed or characterized as a "development agreement"under the Florida Local Government Development Agreement Act. 5. The burdens of this Agreement shall be binding upon, and the benefits of this Agreement shall inure to, all heirs, assigns and successors in interest to the parties to this Agreement. 6. The Association acknowledges that the failure of this Agreement to address any permit, condition, term, or restriction shall not relieve them, their successors or assigns, of the necessity of complying with any law, ordinance rule or regulation governing said permitting requirements, conditions, terms or restrictions. 7. In the event state or federal laws are enacted after the execution of this Agreement, which are applicable to and preclude in whole or in part the parties' compliance with the terms of this Agreement, then in such event this Agreement shall be modified or revoked as is necessary to comply with such laws, in a manner which best reflects the intent of this Agreement. 8. The Association shall execute this Agreement prior to it being submitted for approval by the Board of County Commissioners. This Agreement may be recorded by the County in the Official Records of Collier County, Florida, within fourteen (14) days after the Effective Date. The County shall pay all costs of recording this Agreement. The County shall provide a copy of the recorded document to the Association upon request. 9. In the event of any dispute under this Agreement,the parties shall attempt to resolve such dispute first by means of the County's then-current Alternative Dispute Resolution Procedure, if any. Following the conclusion of such procedure, if any, either party may file an action for injunctive relief in the Circuit Court of Collier County to enforce the terms of this Agreement, and remedy being cumulative with any and all other remedies available to the parties for the enforcement of the Agreement. 10. Except as otherwise provided herein, this Agreement shall only be amended by mutual written consent of the parties hereto or by their successors in interest.
