Agenda 03/11/2025 Item #16C 1 ( Agreement #3 to #13-6064 with Azteca Systems, LLC)3/11/2025 Item # 16.C.1 ID# 2025-510 Executive Summary Recommendation that the Board of County Commissioners, as ex-officio the Governing Board of the Collier County Water-Sewer District , approve a Third Amendment to Agreement No. 13-6064 with Azteca Systems, LLC, to extend the schedule of payments and fees for support services under the Agreement for three additional years, approve an expenditure in the amount of $671,250 over three years for the updated pricing, and authorize the Chairman to sign the attached Amendment. OBJECTIVE: To ensure that the Public Utilities Department (“PUD”) continues to receive uninterrupted service and maintenance support for the Cityworks pre-built work order management software compatible with the Collier County Water Sewer District’s Enterprise Asset Management program in support of the Infrastructure and Asset Management Strategic Focus Area’s objectives to optimize the useful life of all public infrastructure resources through proper planning and preventative maintenance as well as use the Annual Update and Inventory Report ("AUIR") and other planning tools to establish and implements plans that concurrently provide public infrastructure. CONSIDERATIONS: The Collier County Water Sewer District (the "CCWSD") has established GIS-based integrated Enterprise Asset Management ("EAM") where assets are routinely evaluated and conditions in the field updated by Operations Divisions and, when appropriate, assets are listed under the Capital Improvements Plan ("CIP") for Engineering and Project Management to implement the soonest possible. CCWSD EAM drives the priorities for investment in our Critical Infrastructure where replacements, rehabilitation and repairs are planned and implemented prior to a failure (Cat Red-F and Red-E) that would result in Utility Service outages and negative customer service impact. On January 14, 2014 (Agenda Item 11.C), the Board approved PUD’s Cityworks software, licensing and maintenance agreement (the “Agreement”) with Azteca Systems, Inc. (“Azteca”) in the amount of $311,925 as a core component of the EAM solution awarded to Woolpert, Inc. The Cityworks software and the manner in which it works with other asset management programs is proprietary software specifically tailored to Collier County’s needs and the custom EAM integration created by Woolpert, Inc. On May 14, 2019, (Agenda Item, 16.C.3), the Board entered into a Cityworks License and Maintenance Agreement, Amended and Restated License Agreement No. 13-6064 (C156213) with Azteca to purchase additional products and to continue with the software updates, support and maintenance for those new and existing products under the Agreement. On October 19, 2020, the County administratively approved Amendment No. 1 to the Agreement to include the purchase of Web Hooks for AMS assessment tools and additional software, which allows for custom workflow functions. On March 12, 2024 (Agenda Item, 16.C.5), the Board approved the Second Amendment to the Agreement, providing for a 1-year extension of support services and related pricing. The current Schedule of Payments and Fees under the Agreement runs until March 18, 2025, and if not renewed, would result in disruptions with PUD work orders, service requests, and compliance inspections, which could result in fines being imposed by the EPA and DEP if such inspections (lead line, backflow, hydrant, system valve, etc.) are not completed within their scheduled cycles. Further, PUD would not have a work management system to assign, organize, and document work, resulting in anticipated dissatisfaction by the County’s rate payers. The proposed attached Third Amendment, in addition to extending the support period and pricing for three additional years, provides for the continued support of the existing software elements and associated maintenance, increasing the number of named users from 500 to 700 to better reflect the CCWSD’s current approximate 685 users, as well as added software elements required to maintain a modern EAM system integrated with other software platforms also undergoing upgrades (e.g. Esri, SAP, etc.). Staff is recommending approval of the attached proposed Third Amendment to Agreement # 13-6064, which extends the provision of services with updated pricing for three additional years, effective March 19, 2025, and ending on March 18, 2028. FISCAL IMPACT: The total cost for this three-year Software Maintenance Agreement is $671,250, and shall be paid by the following annual schedule: • 2025 $185,000 (30.5% discount from current pricing) • 2026 $220,000 (17.4% discount from current pricing) • 2027 $266,250 The funding for 2025 is available in the Water Sewer Operating Fund (4008). Future years will be budgeted in Fund 4008, subject to Board approval. GROWTH MANAGEMENT IMPACT: This initiative supports the current Growth Management Plan standards to ensure the adequacy and availability of viable public facilities and the ability to remain in compliance with all regulatory programs. Schedule of Payments and Fees under License and Maintenance Agreement to include the annual fee for the renewal period in the amount of$111,228.00. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, it is agreed by the Parties as follows: 1.
