Executive Summary
Recommendation to approve a Third Amendment to Radio Tower Lease Agreement 787-C with Crown Castle GT
Company, LLC, authorizing the County to install a larger propane tank required for the operation of the County's public
safety radio system, and increasing the monthly rent by $320 for the additional space.
OBJECTIVE: To capture additional equipment and a rent increase to a Radio Tower Lease Agreement related to the
public safety radio system for emergency communications on behalf of the Emergency Management Division of the
Public Safety Department.
CONSIDERATIONS: Since 1995, Collier County has utilized space on a communications tower owned by Crown
Castle GT Company LLC (Landlord), located at 1800 Trade Center Way, for the public safety radio system for
emergency communications.
The attached Third Amendment to Radio Tower Lease Agreement 787-C authorizes the County to replace the existing
leased 500-gallon propane tank with a larger, county -owned 1000-gallon tank, at the site. With this additional equipment
the monthly rent has been increased by $320, which results in a new monthly rental payment of $1,295 as of March 1,
2025. This date is based on the owner reserving ground space pending approval of this lease amendment. With Board
approval the County will proceed with installation of equipment.
The additional equipment placed on the Trade Center Way tower will provide additional run time for the fixed -mounted
propane generator at the site, in case of prolonged loss of commercial power at the location, such as after a major
weather event.
This item is consistent with the Collier County strategic plan objective to prepare for the impacts of natural disasters on
our critical infrastructure and natural resources.
FISCAL IMPACT: The monthly rent of $1,295 will be paid from the 800MHz Inter -Governmental Communications
Program account number 1060000000-140480-644600. These costs were factored into the FY25 budget for fund
106000000.
GROWTH MANAGEMENT IMPACT: This item is consistent with the Growth Management Plan.
LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires a majority vote for Board
approval. - SAA
RECOMMENDATIONS: That the Board approves the Third Amendment to Radio Tower Lease Agreement with
Crown Castle GC Company, LLC, and authorizes the Chairperson to execute the Amendment.

THIRD AMENDMENT TO RADIO TOWER LEASE AGREEMENT
This Third Amendment to Radio Tower Lease Agreement ("Amendment") is made and entered
intoasof-,byandbetweenCrownCastleGTCompanyLLC,aDelawarelimited
liability company ("Crown") and Board of County Commissioners, Collier County, Florida, a political
subdivision of the State of Florida ("Customer").
WIIEREAS, Crown (and/or certain of its predecessors-in-interest) and Customer (and/or cerhin
of its predecessors-in-interest) entered into a certain Rad io Tower Lease Agreement dated April I 8, 1995,
as may have been previously amended and/or assigned (hereinafter the "TLA"), whercby Cusomer leases
or licenses from Crown certain space at a telecommunications facility described in the TLA (the "Site");
and
WHEREAS, Crown and Customer desire to amend the TLA pursuant to the terms and subject to
the conditions set forth herein.
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which
are hereby acknowledged, the parties hereto agree to be legally bound to this Amendment as follows:
I . Un less clear from the context in which they are used, all capitalized terms use d herein shall have
the same meanings ascribed to them in the TLA.
2. The monthly fee due under the TLA shall increase by Three Hundred Twenty and 00/100 Dolhrs
($3 2 0.00) wh ich brings the total month ly fee under the TLA to $ I ,295.00 (One Thousand Two Hundred
Ninety-Five and 00/100 Dollars) on the earlier of: i) the date Crown issues a written notice to proceed widr
the modification of Customer's equipment at the Site, or ii) March l, 2025.
3. The parties acknowledge that Customer is making certain modifications to its space and/or
equipment at the Site as described in Attachment A, attached hereto.
4. The equipment descriptions and specifications with respect to Customer'sground-based equipment
set forth in the TLA (including, without Iimitation, any equipment descriptions and specifications witr
respect to Custonrer's g'ound-based equipment set forth in any schedules, exhibits or attachments to lhe
TLA) are hereby amended and deleted in their entirety and replaced and superseded by and with the
equipment descriptions and specifications with respect to Customer's ground-based equipment set forlfi in
Attachment A and Attachment B, attached hereto. The parties acknowledge and agreethat, notwithsanding
anything to the contrary herein, this Amendment does not in any way modifu the equipment descriptions
and specifications with respect to Customer's tower-mounted equipment set forth in the TLA (including
without limitation, any equipment descriptions and specifications with respect to Customer's tower-
mounted equipment set forth in any schedules. exhibits or attachments to the TLA).
5. Exceptions to Non-Disclosure. Notwithstanding anything to the contrary in the TLA, and without
limiting or deleting any exceptions to non -disclosure that may be set forth therein. (a) either party may
d isclose the terms ofthe TLA, as amended, or any portion thereof, to: (i) such party's affiliated entitieg (ii)

agents who have a reasonable need to know such information and who shall agree in writing to be bound
by the terms and conditionsof this non-disclosure provision, or (iv) a govemment entity or agency 1o lhe
extent requ ired by regu lation, subpoenaor govemment orderto reveal, d iscloseor publish such in fo rm ation;
and (b) Crown may disclose the TLA, as amended, or the relevant portions thereof, to (i) the owner ofthe
real property on rvh ich the Site is located (or to Crown's lessor. sublessor or licensor), if Crown does not
own the Site in fee, or (ii) any of Crown's creditors.
6. Except as expressly set forth in this Amendment, the TLA is otherwise unmodified, shall remain in
fullforce and effect and is incorporated and restated herein as if fully set forth at length. Intheeventol
any inconsistencies between the TLA and this Amendment. the terms of this Amendment shall contml.
Each reference in the TLA to itself shall be deemed to also refer to this Amendment.

F'IRST AMENDMENT TO
RADIO TOWER LEASE AGREEMENT
WHEREAS, on April 18, 1995, Collier County and GTE Mobilnet of Tampa
Incorporated, a Delaware corporation entered into a Radio Tower kase Ageement (the
"Agreement") whereby Collier County leased fmm GTE Mobilnet of Tampa
Incorporated, certain space at a telecommunications facility located at 1899 Trade Center
Lot/lZSection ll, Naples, Florida (the 'Demised Premises"): and,
WHEREAS, on January 31, 20O0, the Demised Pr€mises was conveyed by Florida RSA
#1B (Naples) Limited Partnership, a Delaware limited Partnership to LESSOR via a
Special Warranty Deed; and,
WHEREAS, LESSEE desires to amend the Agreement in order to add additional
equipment to LESSF.E'S existing equipment at the Demiscd Prcmises.
NOW, TffiREFORE, for good and valuable considemtion, the receipt and sufficiency of
which is hereby acknowledged, the parties hercto agree to be legally bound to this
Amendment as follows:
l. Paragraph Two (2) entitled Communication Equipment shall be amended and
further supplemented as follows:
Section Four (4) of the Agrecment entitled Rent shall be amended and modified
to include the following:
LESSEE shall pay additional monthly rent in the amount of five hundred twenty-
five ($525.00) for the additional equipment to be installed at rhe Demised
Premises ("Additional Payment"). This Additional Payment shall be added to the
monthly rcnt slated in Section Four (4) of the Agreement. The monthly rent

In coordination with LESSOR, LESSEE shall add one (1) Decibel DB536-G
antenna and one (l) 7/8" feedline at a Center Line Elevation of 250', one (1)
Andrew PI-6-65D microwave dish and one (1) EW63 feedline at a Center Line
Elevation of l4O', and one (l) Andrew PL4-65 microwave dish and one (l) EW63
feedline at a Center Line Elevation of I l0'. LESSEE and LESSOR further agree
that LESSEE shall forfeit its right to have one (l) Andrew PI6-65D at 200'. The
equipment refercnced herein is more particularly described on Crown's
Engineering Data Sheet entitled Exhibit "A" attached hercto and made apan
hereof.

as may have been previously amended and/or assigned (hereinafter the "TLA''). whereby Customer leases
or licenses from Crorvn certain space at a telecommunications facility described in the TLA (the *Site"),

WHEREAS. Crown and Customer desire lo amend the TLA pursuant to the terms and subject to
the conditions set forth herein.
NOW, THEREFORf,. for good and valuable consideratioIL the receipt and sufficiency of which
are hereby acknowledged, the parties hereto agree to be legally bound to this Amendment as follows:
l Unless clear from the context in which they are used. all capitalized terms used herein shall have
the same meanings ascribed to them in the TLA.
2. The monthly fee due under the TLA shall increasc by Four Hundred Fifiy and 00/100 Dollan
($450.00) on October l, 2015, which brings the tohl monthly fee due under the TLA to Nine Hundred
Seventy Five and 00/100 ($97i.00).
3. The parties acknowledge that Customer is making certain modifications to its space and/or
equipment at the Site as described in Attachment A, attached hereto.
4. The descriptions of Customer's space on lhe tower set forth in the TLA (including, lvithout
limitation, any descriplions of Customer's space on the tower set fonh in any schedules. exhibis or
anachments to the TLA) are hereby amended and deleted in their entirety and replaced and supeBeded by
and with the descriptions of Customer's space on the tower set fonh in Anachnrent A and Anachment C.

5. The equipment descriptions and specifications rvith respect to Customer's tower-mounted
equipmenl and Customer's ground-based equipmenl sel forth in the TLA (including. \vithout limitation,
any equipment descriptions and specifications with respect to Customer's tower-mounted equipment and
Customer's ground-based equipment sel forth in any schedules. exhibits or anachments to the TLA) are
hereby amended and deleted in their entirety and replaced and superseded by and with the equipment

6. Except as expressly set forth in this Amendment. the TLA is otherwise unmodified. shall remain
