Agenda 02/25/2025 Item #16C 4 (Agreement No. 25-311NSWV, “IDEXX Laboratory Supplies and Services,” with IDEXX Distribution, Inc., (“IDEXX”) for a period of five years under a sole source waiver)2/25/2025 Item # 16.C.4 ID# 2025-348 Executive Summary Recommendation that the Board of County Commissioners, acting as ex-officio the Governing Board of the Collier County Water -Sewer District, approve Agreement No. 25-311NSWV, "IDEXX Laboratory Supplies and Services," with IDEXX Distribution, Inc., ("IDEXX") for a period of five years under a sole source waiver, authorize the Chairman to sign the attached Agreement, and authorize expenditures in an estimated amount of $250,000 per Fiscal Year, at a total estimated amount of $1,250,000 for the duration of the five-year agreement. OBJECTIVE: To secure necessary laboratory supplies required by the County's compliance laboratories for Water, Wastewater and Pollution Control, as well as critical testing services for Domestic Animal Services ("DAS"), through an approved sole source vendor for parts, supplies, and services. CONSIDERATIONS: Water, Wastewater and Pollution Control compliance laboratories currently test drinking and environmental water quality to identify the presence of microorganisms to determine whether there is any health threat to the public. Domestic Animal Services ("DAS") also uses IDEXX laboratory services for diagnosis testing for ringworm, follow-up testing for diseases, antigen tests for internal parasites, infections, various bloodwork, and analysis. Those services are critical in ensuring all adopted animals are free from any parasites and contamination to the public. On September 10, 2019 (Agenda Item 16.C.1), the Board approved a five-year Waiver with IDEXX for $150,000 per Fiscal Year. On August 13, 2024 (Agenda Item 16.C.10) the Board approved a one-year Waiver with IDEXX for $250,000 with the direction to Staff to seek a formal agreement with IDEXX. Pursuant to the Board's direction, the attached agreement provides for continued supplies and services from IDEXX for a period of five years. The increased annual dollar amount is due to recent changes in State regulations, which resulted in the Pollution Control Laboratory experiencing a significant increase in the number of bacteria samples analyzed that requires a corresponding increase in the consumption of various IDEXX materials. Historically, the Pollution Control Laboratory's spending on IDEXX materials has been consistent but the new regulations create a substantial demand for additional supplies. The increased cost also reflects the broader trend of rising costs for laboratory supplies and chemicals over the past four years, as well as the continued expansion of the County, including the pending FY25 opening of the Northeast Service Area that will require daily microbiological sampling in addition to the normal level of required sampling. DAS also continues to see an increase in animal intake that necessitates an increase in the required IDEXX testing. The IDEXX testing is vital to ensure that animals get tested from the moment they are brought into DAS to ensure appropriate protocols are followed and prevent outbreaks throughout the County's shelter population. The attached negotiated five-year agreement and waiver with IDEXX, if approved during FY25, will replace the one- year waiver approved in August 2024. IDEXX Distribution, Inc., a wholly owned subsidiary of IDEXX Laboratories, Inc., uses a patented method and products for the types of County -required tests and has proven to provide quicker and more accurate test results for bacteria, such as a-coli, fecal coliform, enterococcus, and others as well as testing for various diseases in animals prior to adoption. The County has been using IDEXX products and services for over twenty years and it has proven reliable and accurate in maintaining the health and safety of the community. IDEXX's products are not available through any other United States distribution network. Pursuant to Section Eleven, Procurement Methods, Subparagraph 10, of the Collier County Procurement Ordinance 2017-08, as amended, staff requests that the Board find that it is in the best interest of the County to continue to purchase the requested products and services required to meet the Water, Wastewater, Pollution Control, and DAS operational needs on a sole source basis. Procurement Services Division posted a public notice of the County's intent to designate IDEXX Distribution, Inc. as a sole source to the vendor community through the electronic bidding platform for seven days and did not receive any responses. County staff is recommending that the Board continue to designate IDEXX Distribution, Inc. as a sole source provider of IDEXX Supplies and Services to maintain the current level of service for its laboratory compliance and animal Page 55 of 94 2/25/2025 Item # 16.C.4 ID# 2025-348 adoption safety and approve attached Agreement No. 25-311NSWV for a period of five years at an estimated amount of $250,000 per Fiscal Year, at a total estimated amount of $1,2500,000 for the duration of the five-year Agreement FISCAL IMPACT: Funds in an estimated amount of $250,000 per Fiscal Year have been budgeted in the FY 2025 Collier County Water -Sewer District Operating Fund (4008), the Water Capital Project Fund (4012), Water Pollution Control Fund (1017), and General Fund (0001). As the utility system expands, the quantity of supplies purchased will vary depending on the actual needs and may exceed the estimated expenditures over the life of the contract beyond $1,250,000 pursuant to Board approved operating and capital budgets. The products have proven reliable and accurate to maintain the health and safety of the community. The Labs have analytical certification through the State using IDEXX products. Lab testing equipment, such as sealers, are product specific to IDEXX. Tests are routine throughout the year and used extensively if there is a disaster event. Domestic Animal Services (DAS) uses IDEXX laboratory for services such as diagnosis testing for ringworm, follow-up testing for diseases, antigen tests for internal parasites, infections, various bloodwork, and analysis. These services are critical in ensuring all adopted animals are free from any parasites and contamination to the public. Formal solicitations via invitation to bid for medications and services have been done in the past and have been unsuccessful. DAS has been using IDEXX since 2003 for their laboratory services. County staff have made these purchases in the past by using Agenda Item 16.D.20 approved 6/25/2013 and Item16.D.14 approved 6/12/2018, and Agenda Item 16.C.10 approved 08/13/2024 to waive competitive process for off-site medical services. Due to their multiple registered trademarks, state of the art technology, and unique testing capabilities there is currently no other testing in the market that has the accuracy and detail these services require. If another vendor were used the probability of misdiagnosis and inaccurate testing would increase thereby costing the County extra funds on medications that may not have been necessary. Historical spend as of July 2024 is approximately $923,000 and includes P-card purchases. Many of IDEXX Distribution, Inc. (IDEXX) products are patented and have been proven to provide quicker and more accurate test results. The Federal Environmental Protection Agency lists several patented IDEXX products in their "Table IA-List of Approved Biological Methods for Wastewater and Sewage Sludge" to use for Standard Methods of Testing such as 9222, 9221, 9223, 9230 (86 FR 27226 effective 07/19/2021). The American Society for Testing and Materials (ASTM) bases their Standard Test Method D6503-19 for Enterococci in Water on IDEXX's patented Defined Substrate Technology (DST). The recent cost increases are due to recent changes in state regulations, our the Pollution Control Laboratory has experienced a significant increase in the number of bacteria samples analyzed. This surge in workload has necessitated a corresponding increase in the consumption of various materials supplied by IDEXX. Historically, spending on consumable materials with IDEXX has been consistent. However, the implementation of these new regulations has created a substantial demand for additional supplies. This increase is not solely due to the higher volume of samples but also reflects the broader trend of rising costs for laboratory supplies and chemicals over the past four years. The continued expansion of the County, including the pending FY25 opening of the Northeast Service Area will require daily microbiological sampling that is in addition to the normal level of microbio sampling needed to be performed. In addition, DAS continues to see an increase in animal intake. An increase in animal intake also brings an increase in required testing that IDEXX is the sole provider for. The testing provided through IDEXX are vital in ensuring animals get tested from the moment they are brought into the facility and to ensure appropriate protocols are followed to prevent outbreaks throughout the facility. Staff have negotiated a five-year contract with IDEXX, if approved during FY25, a new five-year Waiver will replace the Waiver approved on 08/13/2024. If unable to continue with these services many of the DAS animals could be misdiagnosed leading to unnecessary deaths and an increase in other services. An increase in misdiagnosis would effect DAS even further by increasing purchases of what could be unnecessary medications. Similar supplies from other manufacturers are not compatible with the existing IDEXX laboratory equipment. ■ Staff cannot justify the expense and risk to the community health and safety to use a different vendor due to IDEXX multiple registered trademarks, state of the art technology, and unique testing capabilities. The County has been using IDEXX since 2003 and continues to have accurate and reliable services and products from IDEXX. However, staff will continue to monitor market and technology trends. Performance and Payment Bonds For projects in excess of $200,000, bonds shall be submitted with the executed contract by Proposers receiving award, and written for 100% of the Contract award amount, the cost borne by the Proposer receiving an award. The Performance and Payment Bonds shall be underwritten by a surety authorized to do business in the State of Florida and otherwise acceptable to Owner; provided, however, the surety shall be rated as “A-“ or better as to general policy holders rating and Class V or higher rating as to financial size category and the amount required shall not exceed 5% of the reported policy holders’ surplus, all as reported in the most current Best Key Rating Guide, published by A.M. Best Company, Inc. of 75 Fulton Street, New York, New York 10038. 9. Vendor shall ensure that all subcontractors comply with the same insurance requirements that he is required to meet. The same Vendor shall provide County with certificates of insurance meeting the required insurance provisions. 10.
