I:Forms/County Forms/BCC Forms/Original Documents Routing Slip WWS Original 9.03.04;Revised 1.26.05;2.24.05;11/30/12;4/22/16;9/10/21 16D2 MEMORANDUM OF AGREEMENT FOR INSTALLATION OF STORMQUANT WEATHER RADAR SYSTEMS BETWEEN THE FLORIDA DIVISION OF EMERGENCY MANAGEMENT AND COLLIER COUNTY EMERGENCY MANAGEMENT This Memorandum of Agreement ("MOA") is entered into by and between the Florida Division of Emergency Management ("FDEM"), 2555 Shumard Oak Boulevard, Tallahassee, FL, and Collier County Emergency Management (''Recipient"). WHEREAS, during the 2023 Florida Legislative Session, Specific Appropriations Project #3112 within Senate Bill 2500 appropriated $2,000,000.00 in nonrecurring funds from the General Revenue Fund for the "Emergency Operations Support — Saas-Based Hyperlocal Weather Radar Coverage" to the FDEM; and WHEREAS, the purpose of this appropriation was to provide FDEM and emergency management partners with funding to obtain weather radar equipment that can capture hyper-local, real-time weather data in strategic locations which will provide critical information to assist in the deployment of resources to impacted areas during times of severe weather; and WHEREAS, FDEM has contracted with StormQuant, Inc., for the lease, installation, and maintenance of weather radar equipment to collect such data in designated locations throughout the state for three (3) years; and WHEREAS, FDEM has coordinated with the counties where the weather radar equipment will be installed; and WHEREAS, StormQuant, Inc., technicians require physical access to the equipment installation sites to install the weather radar equipment, which requires commercial power sources; NOW, THEREFORE, in consideration of the mutual promises and conditions herein contained, the Parties agree to the following terms: 1. Recipient shall allow access to the installation site(s) to StormQuant, Inc., technicians at all times and shall notify FDEM and StormQuant, Inc., of a primary and secondary point of contact for coordination for location access by email prior to installation. Recipient shall notify FDEM and StormQuant, Inc., in writing immediately of any changes in the primary and/or secondary contacts. 2. FDEM shall pay for the lease and maintenance costs of the weather radar equipment for three (3) years following its installation by StormQuant, Inc. 3. Recipient expressly shall be fully responsible for providing a 120V commercial power outlet dedicated to providing power to the weather radar equipment. 1 6 D2 Recipient shall pay all fees and charges associated with installing and maintaining the outlet and shall pay all utility power charges incurred as a result of operation of the equipment. 4. Recipient may opt to provide StormQuant, Inc., ethernet or fiber commercial Internet lines to the weather radar equipment for data transmission at Recipient's sole expense. 5. Recipient shall use the weather radar equipment and associated software license for its intended purpose. 6. Recipient shall be responsible for complying with any permitting requirements required by local or county ordinances governing installation of equipment on towers or buildings. 7. Recipient shall immediately notify FDEM and StormQuant, Inc., of any accidental or purposeful damage to the radar or mounting infrastructure. 8. This MOA is effective beginning on the date that all necessary parties have signed this MOA, and this MOA shall continue in full force and effect for three (3) years from the date of installation of the weather radar equipment. b. If the weather radar equipment ceases operation or is destroyed by an accident not otherwise covered by StormQuant, Inc., the Recipient is not Page 2 of 5 1 6 D2 obligated to replace the radar equipment and the MOA shall be void unless the parties agree otherwise. 10.The Recipient shall allow StormQuant, Inc., to demobilize any equipment owned by StormQuant, Inc., at the end of the three years following installation. This provision shall survive expiration or termination of the MOA. 11.StormQuant, Inc., and the Recipient may mutually agree and enter into a contract to provide a continuation of services of the weather radar equipment following the end of the three years following installation. This provision shall survive expiration or termination of the MOA. 12.Miscellaneous a. This MOA shall be governed by the laws of the State of Florida; venue to settle any disputes arising under it shall be in Leon County, Florida. b. The Parties agree that nothing in this MOA serves to create an employer- employee relationship between FDEM and Recipient. c. This MOA creates neither a partnership nor a joint venture, and neither Party has the authority to bind the other. d. Any modification of this MOA or additional obligation assumed by either Party regarding this MOA shall be binding only if evidenced in writing signed by an authorized representative of each Party. e. Either Party may request changes to this MOA. Any changes, modifications, revisions, or amendments to this MOA that are mutually agreed upon by and between the Parties to this MOA, shall be incorporated by written instrument and effective when executed and signed by all Parties to this MOA. f. This MOA shall not be construed against either Party and shall be deemed to have been drafted by both Parties. g. Nothing contained herein shall constitute a waiver by either Party of its sovereign immunity or the provisions of Section 768.28, F.S. Nothing herein shall be construed as consent by either Party to be sued by third parties. h. This MOA, upon execution, contains the entire agreement of the parties and no prior written or oral agreement, express or implied, shall be admissible to contradict the provisions of this MOA. i, This MOA may be executed in counterparts, each of which shall be deemed an original but all of which shall constitute one and the same MOA.
