Agenda 01/28/2025 Item #16E 6 (Approve an Assumption Agreement assigning all rights, duties, benefits, and obligations to Integrity Environmental Solutions, LLC1/28/2025 Item # 16.E.6 ID# 2025-164 Executive Summary Recommendation to approve an Assumption Agreement assigning all rights, duties, benefits, and obligations to Integrity Environmental Solutions, LLC, concerning Agreement No. 18-7432-SW, “Professional Services Library Solid and Hazardous Waste Management Engineering Category.” OBJECTIVE: To assign all rights, duties, benefits, and obligations concerning Agreement No. 18-7432-SW, “Professional Services Library Solid and Hazardous Waste Management Engineering Category” to Integrity Environmental Solutions, LLC (“Integrity”). CONSIDERATIONS: On March 10, 2020, (Agenda Item No. 16.E.3), the County awarded Agreement No. 18-7432- SW, “Professional Services Library Solid and Hazardous Waste Management Engineering Category,” to Carlson Environmental Consultants, PC (“CEC”). In June, 2024, CEC underwent a Type F Reorganization resulting in CEC becoming a wholly owned subsidiary of Integrity, as presented in the Assignment Letter and Qualified Subsidiary Election form on Exhibit B to the attached Assumption Agreement. Accordingly, Integrity wishes to formally assume all responsibilities, obligations, and duties under the Agreement. Integrity is registered to transact business in Florida and represents and warrants that it is now the successor in interest to the above Agreement entered into with the County. Staff obtained documentation of the reorganization, along with other necessary business documents from Integrity, which have been reviewed and accepted by the County Attorney’s Office. Staff recommends approval of the attached Assumption Agreement assigning all rights, duties, benefits, and obligations under the Agreement, including any amendments thereto, to Integrity. FISCAL IMPACT: There is no fiscal impact associated with this item. GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this item. LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires majority vote for Board approval. —SRT RECOMMENDATIONS: To approve an Assumption Agreement assigning all rights, duties, benefits, and obligations to Integrity Environmental Solutions, LLC concerning Agreement No. 18-7432-SW, and authorize the Chairman to sign the attached Assumption Agreement.
