FOURTH AMENDMENT TO AGREEMENT #19-7500 ©D 8 FOR SENIOR FOOD PROGRAM THIS FOURTH AMENDMENT, made and entered into on this 4r l cC-4 (date), by and between G.A. Food Services of Pinellas County, LLC d/b/a G.A. Food Service (the "Contractor") and Collier County, a political subdivision of the State of Florida, (the "County") (collectively,the "Parties"): WHEREAS, on May 14, 2019 (Agenda Item No. 16.D.6), the County entered into an Agreement with Contractor for home delivered and congregate meal services for the Senior Nutrition Program; and WHEREAS, on July 14, 2020 (Agenda Item No. 16.D.22), the County approved the First Amendment to the Agreement to: 1) include a 10% match requirement of the federal funds received, 2) provide for a 3% price increase to unit prices to meals effective July 1, 2020, and 3) update invoicing requirements; and WHEREAS,on October 15,2020,the Contractor changed its corporate name and status from G.A. Food Services of Pinellas County, Inc., to G.A. Food Services of Pinellas County, LLC, a conversion of a Florida Profit Corporation into a Non-Florida Business Entity (BE) with no change to its federal tax identification number; and WHEREAS,on November 9,2021 (Agenda Item No. 16.D.8),the Parties approved a Second Amendment to the Agreement to provide for an increase to the unit prices to meals identified in Exhibit B, Fee Schedule, by six percent (6%); and WHEREAS, on June 20, 2022, the Parties approved a Third Amendment to the Agreement to allow for an additional increase to the unit prices on Exhibit B, Fee Schedule, by 7.2% effective July 1, 2022. WHEREAS,the Agreement is currently in its final administrative extension, set to expire on November 9, 2024, and the Parties wish to further amend this Agreement to allow for an additional 6- month extension of the Agreement through and including May 9,2025,or until a new contract is awarded for these services, whichever is sooner. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, it is agreed by the parties as follows: 1. The above recitals are hereby incorporated into this Fourth Amendment as if fully set forth herein. 2. In order to maintain required service levels,the Agreement Term provided in Paragraph Number 1 of the Agreement is extended through and including May 9, 2025, or until a new contract is awarded by the County for these services, whichever is sooner.
