Agenda 06/25/2024 Item #16B 2 (First Amendment to Agreement No. 18-7482, “Real Estate Appraisal & Consulting Services)06/25/2024 EXECUTIVE SUMMARY Recommendation to approve a First Amendment to Agreement No. 18-7482, “Real Estate Appraisal & Consulting Services,” with multiple vendors to extend the agreement’s expiration date for an additional six month period through and including April 19, 2025. _______________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________ OBJECTIVE: To procure continued appraisal and consulting services while a new competitive solicitation for these services is completed. CONSIDERATIONS: On April 23, 2019, (Agenda Item 16.A.1), the Board approved Agreement No. 18-7482 (the “Agreement”) with multiple vendors to provide real estate appraisal and consulting services. The initial term of the Agreement was three years with two available one-year renewal terms. After the parties exercised the Agreement’s renewal options, the Procurement Division approved an administrative extension of the Agreement with the following vendors, extending the term through and including October 19, 2024: 1) Anderson & Carr, Inc., 2) Carroll & Carroll Appraisers & Consultants, LLC, 3) KOVA Appraisal & Consulting Services, LLC d/b/a Carlson, Norris & Associates, 4) Maxwell, Hendry & Simmons, LLC, 5) Real Estate Analysts, LLC, and 6) RKL Appraisal and Consulting, PLC. To allow services to continue while a new competitive solicitation proceeds, the above six vendors have agreed to extend the Agreement further for an additional six months through and including April 19, 2025. During this time, the Transportation Management Services Department will continue to work with the Procurement Division on finalizing a new competitive solicitation for appraisal and consulting services. This process is expected to take another four to seven months. Staff recommends approving the attached First Amendment to the Agreements so that these services can continue to be rendered without interruption with vendors who have provided high quality services. This item is consistent with the Collier County strategic plan objective to design and maintain an effective transportation system to reduce traffic congestion and improve the mobility of our residents and visitors. FISCAL IMPACT: Historically, County Departments have spent approximately $181,000 annually on these services. Fees for real estate appraisal services will be paid from various fund sources and cost centers established to support capital improvement projects, Conservation Collier, and other miscellaneous projects. No direct fiscal impact will result from the approval of the firms selected. GROWTH MANAGEMENT IMPACT: The recommendation is consistent with the Long-Range Transportation Plan and Objective 1 of the Transportation Element of the Collier County Growth Management Plan to maintain the major roadway system at an acceptable Level of Service. WHEREAS, on April 23, 2019 (Agenda Item No. 16.A.1), the County entered into Agreement #18-7482 "Real Estate Appraisal and Consulting Services" with MPJ Real Estate Services, Inc., hereinafter referred to as "Agreement" and attached hereto as Exhibit "A"; and WHERAS, KOVA represents and warrants to the County that through an acquisition, KOVA is now the successor in interest to Agreement #18-7482 with the County (see Letter from CEO and Operating Agreement, attached as Exhibit "B"); and NOW THEREFORE, IN CONSIDERATION of the mutual promises in this Assumption Agreement, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged by the parties, it is agreed as follows: 1.KOVA accepts and assumes all rights, duties, benefits, and obligations of the Contractor under the Agreement, as amended, including all existing and future obligations to pay and perform under the Agreement. 2.KOVA will promptly deliver to County evidence of insurance consistent with the Agreement. 3. NO IMPROPER USE. The Contractor will not use, nor suffer or permit any person to use in any manner whatsoever, County facilities for any improper, immoral or offensive purpose, or for any purpose in violation of any federal, state, county or municipal ordinance, rule, order or regulation, or of any governmental rule or regulation now in effect or hereafter enacted or adopted. In the event of such violation by the Contractor or if the County or its authorized representative shall deem any conduct on the part of the Contractor to be objectionable or improper, the County shall have the right to suspend the Agreement of the Contractor. Should the Contractor fail to correct any such violation, conduct, or practice to the satisfaction of the County within twenty-four (24) hours after receiving notice of such violation, conduct, or practice, such suspension to continue until the violation is cured. The Contractor further agrees not to commence operation during the suspension period until the violation has been corrected to the satisfaction of the County. 10. TERMINATION. Should the Contractor be found to have failed to perform his services in a manner satisfactory to the asheCountythis Agreement, the County may terminate saidper9 Agreement for cause; further the County may terminate this Agreement for convenience with a thirty(30)day written notice. The County shall be the sole judge of non-performance. In the event that the County terminates this Agreement, Contractor's recovery against the County shall be limited to that portion of the Agreement Amount earned through the date of termination. One of the most important components of these efforts involves appraisals and appraisal related activities. As such, the County established a pool of qualified appraisers who can provide a diverse level of services.
