EXTENSION TO FINANCING COMMITMENT DEADLINE
DEVELOPER AGREEMENT AND PHASE 1 LEASE
(GOLDEN GATE GOLF COURSE HOUSING PROJECT)
This Extension to Developer Agreement and Phase I Lease is entered into this c2Q day of
May, 2024 (the "Effective Date"), by and between Rural Neighborhoods, Incorporated, a Florida
not-for-profit corporation, Renaissance Hall at Old Course, LLC, (collectively "Developer or
Rural Neighborhoods") and Collier County, a political subdivision of the State of Florida
("County").
RECITALS:
WHEREAS, Rural Neighborhoods has been selected by the Board of Collier County
Commissioners ("Board") through a Developer Agreement, dated November 10, 2020, to
construct rental apartments to meet a crisis in the housing affordability and availability to seniors,
veterans, and essential service personnel such as health care workers, educational staff and first
responders that impacts the economic,commercial,and residential development of the community;
and
WHEREAS, this housing project has come before the Board of County Commissioners
several times with the most recent presentation on March 26, 2024, which included approval of
the Phase I and 2 Ground Leases, easements, and an amended Developer Agreement for Phases 1
and 2; and
WHEREAS, after several extensions, both the Developer Agreement and Phase I Lease
now require the Developer to secure a commitment of project funding by May 30, 2024; and
WHEREAS, the Developer has requested an additional extension of the deadline to June
30, 2024; and
WHEREAS, the Parties wish to extend the deadline as requested by the Developer.
WITNESSETH:
NOW,THEREFORE, the County and Developer agree as follows:
1. The recitals above are true, correct, and incorporated herein.
2. The financing commitment deadline in both the Developer Agreement and Phase 1
Lease is hereby extended to June 30, 2024.
3. Except as modified by this Extension,the Developer Agreement and Phase I Lease
shall remain in full force and effect until such time as further amended.

EXECUTIVE SUMMARY
Recommendation to consider a request by Rural Neighborhoods, Inc. and Renaissance Hall at Old Course,
LLC for an extension of the financing commitment deadline to June 30, 2024, and approve the Extension to
Financing Commitment Deadline in the Developer Agreement and Lease for Phase I of the Golden Gate Golf
Course Housing Project.
OBJECTIVE: To consider a request by the Developer for the Golden Gate Golf Course Housing project to obtain
a financing commitment deadline extension to finalize documents related to the underwriting for the loan needed
for the Golden Gate Golf Course Housing Project.
CONSIDERATIONS: This affordable housing project has come before the Board of County Commissioners
several times. The most recent presentation on March 26, 2024, included approvals for the Phase 1 and 2 ground
leases, easements, and an amended developer agreement.
The Developer Agreement allows the housing to be developed in phases. Phase 1, Renaissance Hall at Old Course,
provides essential services, and Phase 2 is identified as senior housing. The original deadline for securing funding
commitments for Phase 1 was October 25, 2023. On October 24, 2023, the Board extended this deadline to
February 28, 2024. It was extended from February 27, 2024, to March 26, 2024, and again from March 26, 2024, to
May 30, 2024.
The Developer currently awaits only US HUD approval of the first mortgage loan guarantee, which it expects to
obtain by or before the end of June. The Developer has requested an extension of the May 30, 2024, deadline to
June 30, 2024.
To date, the Developer has made significant progress and has achieved several important milestones in moving this
project forward and obtaining financing:
HUD has reviewed all disciplines (awaiting only environmental clearance), and has recommended
loan approval and issuance of a Firm Commitment to the HUD National Loan Committee. HUD
National Loan Committee's approval is the final step to achieve a Firm Commitment.
SFWMD has issued its Environmental Resources Permit (ERP) on April 20, 2024.
FEMA has issued its CLOMR-F on May 20, 2024. This, along with the ERP, are the final
environmental approvals required for construction.
PGIM Real Estate Agency Financing, LLC, the permanent financing mortgagee, has also submitted a letter attached
indicating that they continue to intend to provide permanent financing for the Project.
An Extension to Financing Commitment Deadline is presented for Board consideration. If approved, it would
extend the deadline for Phase I in both the Lease and the Developer Agreement to June 30, 2024.
FISCAL IMPACT: There is no fiscal impact associated with this item.
GROWTH MANAGEMENT IMPACT: Providing affordable land for housing development assists the County
in addressing some of the goals and objectives of the Housing Element in the Growth Management Plan.
LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires a majority vote for

PGIM Real Estate Agency Financing, LLC, as Mortgagee is pleased to reiterate our intent to provide first
mortgage construction to permanent financing for Renaissance Hall at Old Course. The development will
consist of 252 residential rental units, associated common space, and site improvements in unincorporated
Collier County, FL. On February 29, 2024, PGIM's Loan Committee approved a recommended loan
amount of $56,004,600 after our internal credit underwriting, third party reports, and other due diligence.
This loan amount has now been revised upwards to $57,808,500.
PGIM submitted a Firm Application for Multifamily Housing Project request to the U.S. Department of
Housing and Urban Development in accordance with Section 221(d)(4) of the National Housing Act on
February 29, 2024. HUD has indicated in their attached email correspondence that "all disciplines have
reviewed and either provided approval or positive feedback. The only remaining discipline needed is
environmental clearance." It is our professional expectation that such a request for Mortgage Insurance
should be approved upon successful completion of HUD review. It is also our experience that National
Loan Committee should be prompt upon receipt of the full underwriting package.

The Lease and Developer Agreement by and between Collier County, FL and Renaissance Hall
at Old Course and Rural Neighborhoods, respectively, are scheduled to expire Thursday, May
30", 2024, in accordance with each agreement's requirementto have a HUD Firm Commitment
in place by that date.
It is our professional opinion HUD's issuance will be delayed; nonetheless HUD's review has
made substantial progress and issuance is expected shortly in accordance with their
reassurances attached this week. In addition, RHOC and RN have accomplished other
important development steps since the prior BCC discussion.
• HUD reviewed all disciplines (except for the environmental reviewer) prior to May
20th, 2024, and each recommended loan approval and issuance of a Firm
Commitment. HUD recognized our approaching local government deadlines and
noted its intent that upon receipt of the environmental reviewer's recommendation
it would immediately forward recommendation for approval to the HUD National
Loan Committee.
• HUD National Loan Committee's approval isthefinal step priorto Firm Commitment
issuance for loans more than $50M and is conducted electronically between NLC
members.
• South Florida Water Management District issued its Environmental Resources
Permit for RHOC on April 20th, 2024.
• In addition, FEMA issued its CLOMR-F on May 20', 2024. These latter two permits
are the final environmental approvals required for construction in conjunction with
previously approved FDEP and SDP permits.
• Collier County received swale bids on May 17th, 2024, for the overall Golden Gate
Golf Course drainage that assists all tracts. The procurement division is reviewing
these bids; such work would be concurrent with RHOC construction.
DeAngelis Diamond and RN have completed post -pricing plan review, value
engineering and are further reducing clarifications in order to ensure a quick
construction start upon loan closing.
Both Prudential and Rural Neighborhoods have pressured U.S. HUD on a near daily basis since
May 1 Th based on their goal to forward NLC recommendations on May 10t". Unfortunately,
since our February 28t" submission of all required documents, neither Prudential nor RN can
simply force the speed of their review.
I would be grateful forthis extension to enable HUD to complete its recommendation and loan
committee approval.

Hello Rick/Helen: We were hopeful in our projections to get this loan to NLC early, by 5/10, however
due to the environmental issues that were included with this application, the Environmental
Officer's review has been extended. HUD Management has asked for an update from the reviewing
environmental officer and explained that further delay may put this project at risk of losing funding.
We will be better able to advise you of the status once we hear from the environmental officer. We
will be sure to update you once we are updated.
Please note that as the HUD Senior Underwriter, I can say that all other reviews have been
completed, and all other reviewers have noted that this application should be forwarded to NLC for
review and Firm Commitment issuance. Please make the borrower aware of this statement just in
case this firm commitment issuance maybe pushed to the first of June.
However, please also note that HUD will make all attempts to issue this loan by May 30, if at all
possible.

If you object to these conditions, please refer to the attached "Notice of Rights" which addresses the
procedures to be followed if you desire a public hearing or other review of the proposed agency action.
Please contact this office if you have any questions concerning this matter. If we do not hear from you in
accordance with the "Notice of Rights", we will assume that you concur with the District's action.
The District does not publish notices of action. If you wish to limit the time within which a person may
request an administrative hearing regarding this action, you are encouraged to publish, at your own
expense, a notice of agency action in the legal advertisement section of a newspaper of general circulation
in the county or counties where the activity will occur. Legal requirements and instructions for publishing a
notice of agency action, as well as a noticing format that can be used, are available upon request. If you
publish a notice of agency action, please send a copy of the affidavit of publication provided by the
newspaper to the District's West Palm Beach office for retention in this file.
