GOVERNING BODY OF COLLIER COUNTY, its successors and assigns (hereinafter referred to as
"County"). Mortgagee is used as singular or plural,as the context requires.
WITNESSETH:
WHEREAS, Mortgagee is the owner and holder of that certain Mortgage and Security Agreement to
Florida Community Bank, N.A. recorded in Official Records Book 5411, Page 3919, as modified by Official
Records Book 5462, Page 1382, Official Records Book 5585, Page 3489, Official Records Book 5873, Page
1898 and Official Records Book 6212, Page 1677; together with related loan documents, Assignment of
Leases, Rents and Profits recorded in Official Records Book 5411, Page 3936, Financing Statement recorded
in Official Records Book 5411, Page 3945 as amended by Official Records Book 5462, Page 1387 and
Official Records Book 5585, Page 3494, et seq., all of the Public Records of Collier County, Florida
(hereinafter referred to as "Mortgage"), and is the beneficiary of that certain Agreement not to Encumber of
Transfer Property recorded in Official Records Book 6212, Page 1704, et seq., of the Public Records of
Collier County, Florida ("Agreement"), encumbering the premises legally described therein (hereinafter
referred to as the "Encumbered Property");
WHEREAS, County has requested and received from the fee simple owner of the Encumbered Property
a perpetual, non-exclusive Access Easement("Access Easement") over, under, on and across a portion of the
encumbered premises legally described in Exhibit "A" attached hereto and incorporated herein by virtue of
this reference(which premises are hereinafter referred to as the "Easement Property"); and
WHEREAS, County has requested that Mortgagee consent to,join in and subordinate its Mortgage to
the interest that County has in the Easement Property, and consent to the Access Easement in accordance with
the terms and conditions of the Agreement,to which request Mortgagee has agreed.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the Mortgagee does hereby
consent to,join in and subordinate the lien of its Mortgage to the grant of that certain Easement described
herein over, under, on and across the Easement Property and any interest of County in any utility facilities
located therein or affixed thereto, and does hereby consent to the encumbrance of the Access Easement in
accordance with the terms and conditions of the Agreement. Except as subordinated to the Access Easement
described herein over, under, on and across the Easement Property, or any utility facilities located therein or

affixed thereto, and the consent given hereby to the encumbrance of the Access Easement, said Mortgage and
Agreement shall remain in full force and effect.

THIS COUNTY UTILITY EASEMENT (CUE) is granted and conveyed this I11T" day of

Grantee acknowledges and agrees that any Temporary County Utility Easement reserved pursuant
to that certain Resolution No. 2021-47, recorded in Official Records Book 5908, Page 691, of the Public
Records of Collier County,Florida,is acknowledged by the Grantee as having automatically expired, and
Grantee joins in this Deed of Utility Easement for the purpose of acknowledging such automatic expiration.
Grantee further acknowledges and agrees that Grantor retains the right to install a security and/or
access gate within or adjacent to said Utility Easement to allow access limited to the Grantor and Grantee,
to the exclusion of the general public and/or any third parties,and to and maintain private parking facilities

located within the Utility Easement pursuant to that certain Deed of Utility Easement conveyed from

WHEREAS the County has adopted Ordinances and Resolutions (hereinafter "Land Development
Regulations") concerning the Owner's obligations to the County regarding the construction, conveyance
and warranty of potable water, non-potable irrigation water and/or wastewater system(s) or portion(s)
thereof constructed within the unincorporated area of Collier County;
NOW.THEREFORE, if the Owner shall well,truly and faithfully perform its obligations and duties to the
County under said Land Development Regulations and all the undertakings, covenants,terms, conditions,
and agreements of said contract during the original term thereof, and any extensions thereof which may be
granted by the Owner, with or without notice to the Surety and during the guaranty period established by
the County, and thereafter, and if the Owner shall satisfy all claims and demands incurred under such
contract, and shall fully indemnify and save harmless the County from all costs and damages which it may
suffer by reason of failure to do so,and shall reimburse and repay the County all outlay and expense which
