Agenda 04/23/2024 Item #16B 5 (Contract #23-8085 w/Kimley-Horn and Associates, Inc.)16.B.5 04/23/2024 SUMMARY Recommendation to approve Agreement No. 23-8085, "Design Services for 47th Avenue NE - Immokalee Road to Everglades Boulevard" with Kimley-Horn and Associates, Inc., in the amount of $1,513,881.00, and authorize the Chairman to sign the attached Agreement, and approve all necessary Budget Amendments. (Project 60212) OBJECTIVE: To obtain Design Services for the 47th Avenue NE - Immokalee Road to Everglades Boulevard project (the "Project"). CONSIDERATIONS: The Project encompasses approximately a 3.06-mile section of 47th Avenue NE, from the intersection with Immokalee Road extending east to Everglades Boulevard, including a new bridge over the Golden Gate Main Canal, a six-foot sidewalk on one side, widening of the existing two-lane rural roadway width from 18ft to 22ft and adding a 6ft shoulder (4ft paved, 2ft unpaved) in each direction. In addition, the Project will add a new signal at the intersection of 47th Street NE and Everglades Boulevard and new stormwater management ponds. In FY2029, the Project is programmed to receive $4.81M in federal funding for the construction phase through the Local Agency Program administered by the Florida Department of Transportation for the construction phase. On June 27, 2023 (Agenda Item 16.13.7), the Board approved the selection committee's ranking and authorized staff to begin negotiations with the top -ranked firm, Kimley Horn and Associates, Inc., ("Kimley Horn"). Kimley Horn has been in business since 1968 and has provided professional engineering services in southwest Florida for the past 55 years. Kimley Horn has completed planning, design, and post -design services on many roadway construction projects throughout Florida. Kimley Horn's initial offer to the County asked for $1,769,412.68. Consistent with Florida Statutes, § 287.055, the Consultants' Competitive Negotiation Act (the "CCNA"), staff negotiated and reached a proposed agreement with Kimley Horn in the amount of $1,513,881.00. The Board's approval of this item will also be in acknowledgment of the cost reasonableness of the proposed contract amount based upon staff's competitive negotiation required by the CCNA. The infrastructure sales tax was approved by the voters in 2018. Exhibit A in County Ordinance 2018-21 lists all applicable projects that can be funded from this sales tax. Originally, the "Eleven New Bridge Project" was listed within the Transportation Category with an allocation of $60M. With the Board's approval of the Bridge Study recommendation, on September 2, 2021, (Agenda Item 8A1), the Infrastructure Sales Tax Committee validated five Bridges (47' Ave NE, 13' St. NW, Wilson Blvd. S, 10t1' Ave. SE, and 62" d Ave. NE), of the "11 New Bridges - Golden Gate Estates", in the amount of $29,900,000. Approval of this item will not have an impact on operational and maintenance costs; however, the completed project can be expected to have the following operational and maintenance impacts: minimal to no maintenance costs are expected to be incurred within the first 5 to 7 years of service for the new bridge and roadway features and will be absorbed into the regular maintenance schedule thereafter. This item is consistent with the following Collier County strategic plan objectives: plan and build public infrastructure and facilities to effectively, efficiently, and sustainably meet the needs of our community; prepare for the impacts of natural disasters on our critical infrastructure and natural resources; and design and maintain an effective transportation system to reduce traffic congestion and improve the mobility of our residents and visitors. FISCAL IMPACT: A budget amendment is necessary to reallocate funds from reserves within the Infrastructure Sales Tax Fund (3018) to New GGE Bridges Project (60212). The source of funds is infrastructure sales surtax. This project also included the design of multiple horizontal directional drills to cross beneath creeks and other environmentally sensitive areas, and coordination with the City of Bonita Springs to avoid conflicts with other planned improvements State Road No. 45 Water Main Relocation, Collier County, FL - Billy is the Engineer Intern under the Engineer of Record for the relocation of approximately 2,100 feet of water main to avoid conflicts with FDOT stormwater and sidewalk improvements along S.R. 45 (U.S. 41). Ben Hill Griffin/Alico Force Main, Potable Water Main and Reuse Main, Lee County - This project included the hydraulic analysis, design, permitting, bidding and construction phase services for a proposed force main that falls within the Three Oaks Wastewater Treatment Plant (WVVTP) service area. The initial hydraulic analysis included the development of a unique approach to calibration that involved statistical analysis of the collected data. Over 14 million data points were collected and analyzed. The modeling effort led to a proposed force main design along Ben Hill Griffin Parkway and Alico Road totaling approximately 3.4 miles of 16" and 12" force main. The proposed force main will supplement the existing served parcels with extra capacity and extend along Alico Road for future connections. In addition, this project included the design and permitting for a proposed 36" Potable water Main and 12" Reuse Main for approximately 9,400 linear feet. The water and reuse mains were designed in conjunction with the Roadway Widening of Alico Road. The reuse main was determined to not be needed/constructed at this time. Southwest 6 & 7 Utility Extension, Cape Coral, FL - Billy is the E.I. under the Engineer of Record for Areas I and 2 and part of the inspection team for Areas 1, 2, 9 and 10. Site preparations included clearing, grubbing, removal, and replacement of a dump station necessary for the servicing of the aircraft. The existing aluminum canopy was extended to accommodate the three new gates and offer protection for passengers boarding flights. Thomasson Drive Beautification, Collier County - This beautification project consisted of adding a roundabout included asphalt paving, striping, removal, and replacement of mailboxes, removal, and replacement of much of the existing storm sewer system, removal/relocation/replacement of existing landscaping, reconstruction of existing sidewalks, driveways, bike lane and replacement. FDOT and Collier County specifications were used on this project. SR 82 and Corkscrew Road Intersection Improvements, Lee County - The roadway improvements included earthwork, clearing, and grubbing, base courses, flexible paving, storm drains, turf, and grasses and followed FDOT specifications. Six Mile Cypress Parkway and US 41-District One FDOT, Lee County - This project CTQP Asphalt Plant Technician consisted of adding turning lanes, bike lanes, sidewalks, crosswalks and traffic separator. The project includes roadway, drainage and utility improvements in a very tight and congested corridor. Prior to the start of construction Johnson Engineering provided peer reviews of the plans. A primary focus of the reviews was on the proposed stormwater management system. It was discovered that in changing the typical section from a rural roadway with adjacent swales to a curbed facility the design engineer had failed to make drainage accommodations for offsite flow which had historically gone into the existing swales. On projects such as this, i.e., with sidewalks near the ROW and numerous residential driveways, it is often necessary to go outside the ROW to grade the driveways properly. Right of Entry (ROE) can be obtained on Federally funded projects but there is a process, and it helps to start that process as early as possible. With the foundation and limits of the project set, we will move into Tier 2 of the review process. In Tier 2 we are looking for conformity of the component sets and construction phasing. How does the new typical section fit and what does it do to the existing drainage? Do you have sufficient drainage conveyance capacity? Are there utility conflicts and what utility relocations are necessary to address them? The Tier 2 review process will also include the constructability review. During each phased submittal the constructability review will be performed per the criteria set forth in the FDOT Construction Project Administration Manual (CRAM) which contains a detailed constructability `" �•••�°°--'" review checklist and procedures. During this review we will look at the proposed •�,�a»Et�, ...�.,,:�.., construction phasing and how it may affect access to adjacent residences. In this case we are reconstructing what is currently two dead-end two-lane roads.The lane widening and shoulder construction will need to be performed such that two lanes of traffic can be maintained. The final review phase (Tier 3) will consist of the design detail review. In this �- phase specific design criteria, methodology and assumptions will be reviewed for conformity with the governing design documents. Specific review components a, ... during the Tier 3 review will include: roadway geometrics (including horizontal and vertical geometry), structural analysis, review of proposed signals, and accuracy of the plan quantities.This review will serve as the check and balance for critical design aspects of the project. APPROACH - CONSTRUCTION ENGINEERING AND INSPECTION (CEI) CONSTRUCTION SERVICES Keeping a project on schedule and under budget requires a project team that can quickly resolve issues as they arise. Johnson Engineering's staff is unique in that many of our engineers are crossed -trained in both design and CEI. Our staff's design proficiency provides us with an understanding of the designers intent. Simply put, understanding why you are building something provides significant benefit during construction. BUDGET PROJECT FAMILIARITY- POTENTIAL ISSUES AND RESOLUTION To develop an approach tailored to the specific needs of this project, we performed a preliminary review of the project site. During this review we have identified several issues we believe need to be considered for the successful completion of this project.Those items are noted below along with our suggested resolutions. ISSUE: Cap MCK prevalent d1ong this corridor RESOLUTION: In providing CEI services on the Immokalee Road widening project we learned that the rock on this corridor is shallow. And you can see it at water level in the canal. Properly delineating it, to extent feasible, during the design / geotechnical phase is helpful. But also making the contractor aware of it F to bid will help mitigate claims and additional costs during construction. ISSUE: Pile driving through cap rock RESOLUTION:With the abundance of rock as mentioned above, pile driving can be a little unpredictable in this area. Pre -drilling the cap rock (which can be as thick as 15' in some locations) is typically the most effective way to set piles under these conditions. In addition to the cap rock, our experience has taught us that the soil underlying the rock can be inconsistent, making production pile lengths hard to predict. Performing the due diligence upfront with extensive geotechnical investigation as well as having a CEI team familiar with the process and procedures is the best way to mitigate these potential issues. Our senior project administrator,Vee Lofton, is familiar with the intricacies of pile driving in this area and understands the necessary procedures and precautions. ISSUE: SFWMD Coordination RESOLUTION:To accommodate the new bridge, an existing South Florida Water Management Big Cypress Basin maintenance boat ramp will be fully impacted as part of this project. A separate right-of-way permit will be needed through the Big Cypress Basin which will likely require two new maintenance boat ramps on both sides of the proposed bridge due to non -navigable clearance. These restricted use boat ramps are intended for canal maintenance purposes only and may need to be placed at other locations due to limited right-of-way easement constraints on NE 47th Avenue. Our team is familiar with the design, permitting, and construction considers for these ramps and can assist in the review of existing right-of-way easement constraints, alternative ramp site selection, specifications, and constructability reviews of any new required boat ramps. Additionally, we understand that a likely stipulation in the anticipated permit will be to construct the boat ramps prior to starting the new bridge construction. We can assist the design team with establishing enough allowable timeframe in the t ` bid documents for the contractor to include this possible requirement in the construction schedule. ISSUE: Overhead Power Lines / OSHA clearance requirements RESOLUTION: There are existing transmission lines along the north ROW line, distribution lines on the south and numerous OH service connections crossing the roadway along the entire route. Maintaining safety and OSHA clearances while not damaging these facilities will take constant attention during construction. With a crane needed to build the bridge, excavators needed to set drainage structures and dump trucks needed to deliver asphalt we will need close coordination between the Contractor, their subs and FPL. ISSUE: Existing utilities RESOLUTION: There are various buried utilities along the corridor, including several new facilities recently constructed by Collier County. We know because we designed them. We have the as-builts and can assist in determining if and what relocations adjustments may be necessary. Full access will need to be maintained at all times. Periodic temporary one-way closures may be necessary for short operations but in general we want to keep two lanes of traffic open. We will coordinate with the designer when they develop their typical section and pavement design that will best allow the necessary pavement width to remain open during construction.This will likely require the use of a black base. ISSUE: Driveway Access RESOLUTION:There are numerous residential driveways along the entire corridor. Many of these residences also have fences with gates.When a sidewalk is to be constructed across existing driveways, we need to meet the ADA max cross slope of 2%. In several cases this is not possible without reconstructing portions of the adjacent driveway.This requires close direct coordination with the homeowners such that any impacts can be performed "half and half" where there is room, or when the owner is at work or does not otherwise need access. _ ISSUE: LAP/EEO Compliance j RESOLUTION:We understand this project is Federally funded. Grant money is great, but any funding come with strings attached.We are familiar with Federally funded projects and have provided CEI services on man over the years, including many for Collier County. We understand the associated EEO compliance issues i following FHWA 1273, Davis Bacon as well as On Job Training (OJT) if the ultimate contract ISSUE: Construction in residential areas RESOLUTION:Anytime you are buildingwithin a residential area you are goingto create some inconvenience-. Though working within the public ROW there will be impacts to the adjacent residences' mailboxes an( driveways. Provisions must also be made to allow continued trash collection as well as constant access fo emergency vehicles.There is no magic solution to eliminate these inconveniences during construction, but b staying on top of the contractor and making sure they are not neglecting these items we can help minimize these impacts to the residents. ISSUE: Public Involvement RESOLUTION: In addition to the tangible issues that need to be addressed when working within residential there are as many or more intangible issues that arise from impacts to the public. Again, we can't make the construction unnoticeable but there are things we can do to lessen the impacts. We have Cella Molnar & Associates (CMA) on board to assist with Public Involvement.We have worked with CMA for many years, and they are very good at keeping the public apprised of the construction progress so as to minimize surprises.We are also proactive in addressing any citizen complaints as they arise. ISSUE: ROW Encroachment RESOLUTION: There are several areas with fencing on or near the ROW line. Surveyors don't always agre specifically where property lines fall ... and fence contractors don't always put the fence exactly where it is intended....and no property owner wants to hear their fence is being removed. One of our plan review items! will be to check for any encroachments so they can be dealt with up front before it becomes contentious. Minor private encroachments within existing right-of-way easements are not an uncommon occurrence within the Golden Gate Estates community and will likely not be any different with the NE 47th Avenue corridor nhancements.These encroachments may include existing fencing, privacy walls, hedges, various luminaires, etc. rom past experience our team realizes that each encroachment should be evaluated on a case -by -case basis. his assessment is more critical when sidewalk infrastructure is being placed near or at the existing right-of-way asement line. We have found that encroachments within a few inches of this line can oftentimes be worked out iith minor adjustments in the sidewalk alignment and proper notifications being sent to the property owners. rom prior experience, we can assist with the peer review process, working a team to help arrive at the most ppropriate design decisions. Like most tools though, the value is dependent on how you use it. If it is prepared simply because it is required of the contract and then set on the shelf, it is of little use.To realize the true benefit of the schedule, it must be a living document. Construction projects of this magnitude are dynamic in nature.The schedule must be monitored and adjusted with the flow of the project. If not properly maintained, its benefit is severally diminished and can even become a detriment. Our inspection staff is very familiar with CPM scheduling techniques, in particular the review and monitoring aspects necessary to confirm a logical progression of activities for the project's sake as well protecting the County's interests.We have performed CEI on several similar projects in which the timing, and consequently the scheduling, was very important. CONFLICT IDENTIFICATION AND RESOLUTION Enforcing accurate schedule and critical path updates allows us to continually evaluate the contractors next step. We will take the plans and review current field conditions to determine if there are any hurdles that may impede construction. CONSTRUCTION OVERSIGHTAND DAILY REPORTING _ During construction, our staff will work closely with the contractor to promote project progression and efficiency of ongoing work, improve safety, and foster a partnering attitude to achieve common goals beneficial to all parties. Our personnel will maintain complete, timely, and detailed records relating to this project. Daily work reports will be completed electronically detailing contract time, weather, quantity increases, and equipment utilization. In addition to reporting daily work, we will also develop an ongoing picture library documenting each step of construction. All project files will be organized per our internal filing index and reviewed for completeness by our contract support specialist, Kathy Hanagan. Her attention to detail led to her being recognized by FDOT for her outstanding work on state projects. Kathy specializes in maintaining detailed and orderly records. CONSTRUCTION STANDARDS It is typically required on Collier County projects that FDOT Standard Specifications for Road and Bridge Construction be incorporated into the contract documents to govern construction. These standard specifications detail the material and quality of workmanship expected. In addition, they outline the required quality control and verification testing requirements. Our staff is very familiar with these specifications and we read, follow, and enforce them daily. Our CEI services manager,Vee Lofton, has more than 35 years of experience on projects governed by FDOT specifications. He is a former FDOT employee who served as a Consultant CEI project manager. Vee knows the construction requirements as well as anyone. Understanding the requirements is one thing, enforcing them presents a different challenge. It is easy to cite the appropriate specification when the standard of work is subpar, but what will your consultant do when the contractor isn't listening? Our staff understands that simply documenting deficiencies is not enough. We will rigorously enforce conditions of the contract where compliance is lacking and exercise all tools available to achieve compliance with standards and quality of workmanship as required and expected by County staff. MAINTAINING COLLIER COUNTY CONTRACT COMPLIANCE We are very familiar with Collier County's typical processes and procedures for design projects. Performing ongoing compliance monitoring and submitting daily work reports and compliance documents Our knowledge of these requirements is derived from completing similar projects in District 1. Having worked closely with FDOT staff over the years, we have maintained open lines of communication with FDOT's personnel on LAP projects. Our staff is well -versed in providing monthly project updates, detailed change order requests, documented punch lists, and bi-weekly construction progress meeting minutes to FDOT staff. Suffice it to say, we know what the state is looking for. In addition to the ongoing requirements during construction, FDOT has specific requirements at project closeout. We are familiar with the following required closeout documents, as they are typical on all FDOT LAP funded projects: final EEO compliance documentation., as -built record drawings, documenting any deviations from the contract plans, supporting documentation for any changes, and Engineers Certification of Compliance. CONSTRUCTION COORDINATION WITH CONTRACTOR AND UTILITY SERVICE PROVIDERS As with any project containing underground construction, utility coordination is vital to maintaining the project schedule. Our staff will review field locates and identify any apparent utility conflicts. We will continually invite utility owners to progress meetings and follow up on scheduled relocations. PERFORM MATERIAL SAMPLING AND TESTING We understand the CEI consultant will be required to perform sampling and testing of materials to determine their conformance with the contract plans and specifications. Prior to the start of construction, our CEI staff will review the QC requirements with the contractor to review testing frequencies and requirements. Johnson Engineering inspectors hold FDOT Construction Training & Qualification Program (CTQP) qualifications in earthwork, asphalt paving, and concrete testing.We are very familiar with FDOT testing requirements and use of the state developed Earthwork Record System (ERS) is commonplace on all projects in which we provide CEI services. QUANTITY TRACKING AND MAINTAINING PROJECT BUDGET Our team has an excellent track record of completing transportation projects within the budget. Our success is attributed to our experience in both design and construction and our proactive approach to these types of projects. Discrepancies must be resolved before they are constructed to avoid unnecessary expense. With a CEI team who understands the design intent, we are able to review the plans, bid, and specifications to ensure all work is accounted for and check the accuracy of all quantities. Below is a summary of the sub -tasks associated with CEI Project Administration: Project Coordination -The Project Administrator will serve as the primary coordinator between the contractor, engineer of record (EOR), and County staff. They will take a proactive approach in making sure everyone is on the same page, working together and moving forward. Progress Meetings - Meetings will be held on a regular basis, either weekly or bi-weekly at the County's discretion. We have a regular agenda to discuss the necessary topics including project status, submittals, reporting status, RFIs, pending issues, upcoming issues, etc. Meetings are recorded and minutes are kept, being distributed to all interested parties via e-mail. Tracking Logs - Several tracking logs are utilized to monitor and document on -going project issues.The logs include dates and entities responsible for resolution. Pay Application Review - Our Project Administrator, with assistance from the field personnel confirming quantities, will review and recommend approval/denial on the contractors pay request making sure the contractor is being compensated fairly and the County is getting what they are paying for. Problem Resolution - Perhaps the most important and yet intangible function of the CEI team is assisting in problem resolution. Having a CEI staff with significant design experience gives us an edge in this category. When issues arise, our Senior PE, Ryan Bell has the knowledge and experience to aggressively pursue their resolution. Similarly, our Senior Project Administrator responsible for QA/QC,Vee Lofton, will be available to assist in any complex issues that arise. It is our goal to ensure that each issue is resolved quickly and completely. Construction Inspection The regular construction observation and inspection falls on our inspectors. We have a team of inspectors available that are CTQP-certified for this type of work and have considerable "FDOT style" inspection experience, much of it in Collier County.We understand how these facilities are supposed to be built and we know what to look for. Below are some of the sub -tasks associated with the construction inspection phase: General Observation -The inspectorwill monitorthe construction activities to determine whether the items constructed are in general accordance with the contract documents. Noted field issues are documented and incorporated in a tracking log. Daily Inspection Reports - The inspector shall utilize the standard FDOT daily report format to document each day's construction activities including items of work, quantity placed, location, crew and equipment used, and note any special conditions. The Employer agrees that, although it participates in E-Verify, the Employer has a responsibility to complete, retain, and make available for inspection Forms 1-9 that relate to its employees, or from other requirements of applicable regulations or laws, including the obligation to comply with the antidiscrimination requirements of section 274E of the INA with respect to Form 1-9 procedures. a. The Employer agrees to create an E-Verify case for new employees within three Employer business days after each employee has been hired (after both Sections 1 and 2 of Form 1-9 have been completed), and to complete as many steps of the E-Verify process as are necessary according to the E-Verify User Manual. If E-Verify is temporarily unavailable, the three-day time period will be extended until it is again operational in order to accommodate the Employer's attempting, in good faith, to make inquiries during the period of unavailability. 10. The Employer agrees not to use E-Verify for pre -employment screening of job applicants, in support of any unlawful employment practice, or for any other use that this MOU or the E-Verify User Manual does not authorize. 11. The Employer must use E-Verify for all new employees. The Employer will not verify selectively and will not verify employees hired before the effective date of this MOU. Employers who are Federal contractors may qualify for exceptions to this requirement as described in Article 11.13 of this MOU. 12. The Employer agrees to follow appropriate procedures (see Article III below) regarding tentative nonconfirmations. The Employer understands that if it uses E-Verify procedures for any purpose other than as authorized by this MOU, the Employer may be subject to appropriate legal action and termination of its participation in E-Verify according to this MOU. B. RESPONSIBILITIES OF FEDERAL CONTRACTORS 1. If the Employer is a Federal contractor with the FAR E-Verify clause subject to the employment verification terms in Subpart 22.18 of the FAR, it will become familiar with and comply with the most current version of the E-Verify User Manual for Federal Contractors as well as the E-Verify Supplemental Guide for Federal Contractors. 2. In addition to the responsibilities of every employer outlined in this MOU, the Employer understands that if it is a Federal contractor subject to the employment verification terms in Subpart 22.18 of the FAR it must verify the employment eligibility of any "employee assigned to the contract" (as defined in FAR 22.1801). Once an employee has been verified through E-Verify by the Employer, the Employer may not create a second case for the employee through E-Verify. a. An Employer that is not enrolled in E-Verify as a Federal contractor at the time of a contract award must enroll as a Federal contractor in the E-Verify program within 30 calendar days of contract award and, within 90 days of enrollment, begin to verify employment eligibility of new hires using E-Verify. If the employee visits an SSA field office within the eight Federal Government work days from the date of referral to SSA, SSA agrees to update SSA records, if appropriate, within the eight -day period unless SSA determines that more than eight days may be necessary. DHS agrees to safeguard the information the Employer provides, and to limit access to such information to individuals responsible for the verification process, for evaluation of E-Verify, or to such other persons or entities as may be authorized by applicable law. Information will be used only to verify the accuracy of Social Security numbers and employment eligibility, to enforce the INA and Federal criminal laws, and to administer Federal contracting requirements. 8. DHS agrees to provide a means of automated verification that provides (in conjunction with SSA verification procedures) confirmation or tentative nonconfirmation of employees' employment eligibility within three Federal Government work days of the initial inquiry. 9. DHS agrees to provide a means of secondary verification (including updating DHS records) for employees who contest DHS tentative nonconfirmations and photo mismatch tentative nonconfirmations. TERMINATION 1. The Employer may terminate this MOU and its participation in E-Verify at any time upon 30 days prior written notice to the other parties. 2. Notwithstanding Article V, part A of this MOU, DHS may terminate this MOU, and thereby the Employer's participation in E-Verify, with or without notice at any time if deemed necessary because of the requirements of law or policy, or upon a determination by SSA or DHS that there has been a breach of system integrity or security by the Employer, or a failure on the part of the Employer to comply with established E-Verify procedures and/or legal requirements. The Employer understands that if it is a Federal contractor, termination of this MOU by any party for any reason may negatively affect the performance of its contractual responsibilities. Similarly, the Employer understands that if it is in a state where E-Verify is mandatory, termination of this by any party MOU may negatively affect the Employer's business. 3. An Employer that is a Federal contractor may terminate this MOU when the Federal contract that requires its participation in E-Verify is terminated or completed. In such cases, the Federal contractor must provide written notice to DHS. If an Employer that is a Federal contractor fails to provide such notice, then that Employer will remain an E-Verify participant, will remain bound by the terms of this MOU that apply to non -Federal contractor participants, and will be required to use the E-Verify procedures to verify the employment eligibility of all newly hired employees. 4. The Employer agrees that E-Verify is not liable for any losses, financial or otherwise, if the Employer is terminated from E-Verify. ARTICLE VI PARTIES A. Some or all SSA and DHS responsibilities under this MOU may be performed by contractor(s), and SSA and DHS may adjust verification responsibilities between each other as necessary. By separate agreement with DHS, SSA has agreed to perform its responsibilities as described in this MOU. B. Nothing in this MOU is intended, or should be construed, to create any right or benefit, substantive or procedural, enforceable at law by any third party against the United States, its agencies, officers, or employees, or against the Employer, its agents, officers, or employees. C. The Employer may not assign, directly or indirectly, whether by operation of law, change of control or merger, all or any part of its rights or obligations under this MOU without the prior written consent of DHS, which consent shall not be unreasonably withheld or delayed. Any attempt to sublicense, assign, or transfer any of the rights, duties, or obligations herein is void. D. Each party shall be solely responsible for defending any claim or action against it arising out of or related to E-Verify or this MOU, whether civil or criminal, and for any liability wherefrom, including (but not limited to) any dispute between the Employer and any other person or entity regarding the applicability of Section 403(d) of IIRIRA to any action taken or allegedly taken by the Employer.
