EXECUTIVE SUMMARY
Recommendation to approve a Subordination, Non-Disturbance, and Attornment Agreement in reference to
the property located at 1429 Don Street, Unit D, Naples, Florida currently leased by Collier County from 23-
81 LNT, LLC for warehouse storage space used by Facilities Management.
OBJECTIVE: To approve and execute a Subordination, Non-Disturbance, and Attornment Agreement.
CONSIDERATIONS: On October 12, 2021, Collier County entered into a lease agreement for the property
located at 1429 Don Street, Unit D, Naples, Florida (the 'Property"), with the Owner, 23-81 LNT, LLC for
warehouse storage used by Facilities Management. This lease is currently set to expire October 31, 2024.
As background, the Lease Agreement includes an initial three-year term with a three-year renewal term. The
County is allowed to terminate the Agreement, at any time, by providing the landlord with at least sixty-days'
written notice. The Property is 2,200 square feet and is air-conditioned, has two overhead doors, a paint booth, and
a restroom. The rent is $29,380 annually, plus Common Area Maintenance (CAM) fees of $544.28 monthly and
both increase by three percent annually.
At this time, the Owner is refinancing the Property and the lender, JFN Holdings, LLC, is requiring a
Subordination, Non-Disturbance and Attornment Agreement to be signed. The attorney representing the Owner is
Matthew P. Flores, Esq., who contacted Real Property with this request. The Agreement provides that the Lease is
subordinate to the Mortgage on the property and that the Lender will perform and satisfy the obligations of the
Lessor under the Lease should the Lender acquire the property. The Agreement further provides that should the
Lender acquire the Property, the County should pay rent due under the terms of the Lease to the Lender. These
provisions are commercially reasonable and standard amongst lenders and do not impact the County's leasehold
rights.
FISCAL IMPACT: This will not have any impact on the current lease fiscal terms.
GROWTH MANAGEMENT IMPACT: There is no impact to the Growth Management Plan.
LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a majority vote
for Board action. -SAA
RECOMMENDATION: To approve the Subordination, Non-Disturbance, and Attornment Agreement and
authorize the Chairman to execute the Agreement.

WITNESSETII:
WHEREAS, pursuant lo the terms of a Lease Agreement ("I-ease") entered into by and
between Landlord and Lessee dated October 12, 2021. l,essee has leased 1429 Don Street. Unit D.
Naples. Florida (the "Property") from Landlord:
WHEREAS, Lender has agreed to extend commercial financing to l-andlord to refinance
the Property;
WHEREAS, as security for such commercial financing to be extended. Landlord has
agreed to grant a Mortgage and Security Agreement ("Mortgage") including an Assignmcnt of
Rents and Leases in favor ofLender encumbering the Property;
WHEREAS, Lessee has agreed to offer certain assurances and representations to Lender.
and Lessee further agrees to provide for the confirmation ofthe subordination of l-essee's interest
in the Lease and the Property to the lien of l-ender's Mortgage, to the continuation of the l,ease
notuithstanding any forcclosure of the lien created by the Mortgage, and to Lessee's atlomment
to Lender and its successors and/or assigns as a result of any foreclosure, conveyance in lieu
thereof. or otherwise; and
Now' THEREFORE, for and in consideration of the mulual premises and other good and
valuable consideration, the receipt whereof is hereby acknovvledged. Landlord, Lessee and Lender
do hereby agree as follows:

under the terms of the Lease are subordinate to the lien of the Mortgage of Lender and to all
extensions, renewals, nrodifications, consolidations. and replacements thereof, to the full extent ol'all obligations secured or to be secured thereby, including interest thereon and any future advancesthereunder.

collect the rents and other sums due under the Lease, Lessee hereby agrees lo a om to Lender and
to pay all sums due under the terms of lhe Lease to l-ender in lieu of payment to Landlord or any
successor-in-interesl thereto, so long as l,ender provides u'rinen notice to Lessee that Lender has
acquired title to the Property or that I-ender's right to collect such rents and other sums has
matured.
5. This Agreemenl shall be govemed bv and interpreted according 1o the laws ofthe State of
Florida and venue shall be held in the Circuit Court ofCollier Counry, t'lorida. lhat this Agreement
shall be binding upon and shall apply equally lo Lessee and Lender, as well as to the successors
and/or assigns of Lessee and l-ender.
