AGREEMENT
THIS AGREEMENT is made and entered into on this'A\ day of 73--Vn1 , 2023,
by and between the DISTRICT SCHOOL BOARD OF COLLIE COUNTY,
FLORIDA, whose mailing address is 5775 Osceola Trail, Naples, FL 34019,
(hereinafter referred to as "School Board") and COLLIER COUNTY, a political
subdivision of the State of Florida (whose mailing address is 3299 Tamiami Trail East,
Naples,Florida 34112 (hereinafter referred to as"County")
WITNESSETH:
WHEREAS, School Board is the owner of the property known as the GGG High School
("School"),pursuant to the Order of Taking,recorded in O.R. Book 2861 Page 2951, and;he
recorded Warranty Deed, recorded in O.R. Book 2768 Page 2062, of the Public Records of
Collier County,Florida;and
WHEREAS, County has a pump station located within a County Utility Easement located at
the following address: 15100 Veterans Memorial Blvd, Naples, FL 34110. The legal
description of such property is set forth in the attached Exhibit 'A'.
WHEREAS, School Board has requested that the County permit it to install fences
surrounding the pump station and County has agreed, subject to conditions set forth in
this Agreement
NOW, THEREFORE, in consideration of these premises, the sum of Ten Dollars
($10.00), and other good and valuable consideration, the receipt and sufficiency of which
is.hereby mutually acknowledged,it is agreed by and between the parties as follows:
1. All of the above recitals are true and correct and are herby expressly
incorporated herein by reference as if set forth fully below.
2. County agrees that School Board may install fences surrounding the pump station in
accordance with the specifications set forth in Exhibit"B",attached hereto and made
a part hereof, subject to the parties right to terminate this Agreement as provided
herein. School Board further agrees to obtain and be responsible for obtaining any
permits required in connection with the installation of any fencing.
3. School Board agrees that it will maintain, repair and replace such fences in good
condition.
4. School Board agrees to indemnify and hold harmless the County from and against
all claims, damages, losses, and expenses, that might arise from the presence of
the fences and the School Board maintenance thereof.

5. Any notice, request, demand, instruction or other communication to be given to
either party hereunder shall be in writing, sent by email with delivered and read
receipt confirmation, or by registered or certified mail, return receipt requested,
postage prepaid, addressed as follows:

The addressees and numbers may be changed by either party by giving written notice of
such change to the other party in the manner provided herein. For the purpose of
changing such addresses or addressees only, unless until such written notice is received,
the last addressee and respective address stated herein shall be deemed to continue in
effect for all purposes.
6. No waiver of, or failure to claim, any breach of this agreement by either party shall
be construed as a waiver of any rights or remedies with respect to any subsequent
breach of this Agreement.
7. This Agreement and the terms and provisions hereof shall be effective as of the date
this Agreement is executed by both parties and shall inure to the benefit of and be
binding upon the parties hereto and their respective successors and assigns. Either
party may terminate this Agreement with ninety (90) days written notice to the
other party. In the event of termination of the Agreement, the School Board shall
restore the property to the condition it was prior to the effective date of this
Agreement.
8. This Agreement is governed and construed in accordance with the laws of the
State of Florida.
9. This Agreement may be executed in any number of counterparts, each of which
when taken together shall be deemed to be one and the same instrument.
10. In the event any term or provision of this Agreement is determined by appropriate
judicial authority to be illegal or otherwise invalid, such provision shall be given its
nearest legal meaning or be construed as deleted as such authority determines, and
the remainder of this Agreement shall be construed in full force and effect.
