#17-7204 (Florida Land Maint - Amendment #2) SECOND AMENDMENT TO AGREEMENT#17-7204 FOR LELY GOLF ESTATES MSTU LANDSCAPE MAINTENANCE THIS SECOND AMENDMENT, made and entered into on this I I +LI day of 1 2023 by and between Superb Landscape Services,Inc(formally known as: Florida Land Maintenance, Inc. d/b/a Commercial Land Maintenance) (the "Contractor") and Collier County, a political subdivision of the State of Florida, (the "County" or"Owner")(collectively,the"Parties"): WHEREAS, on February 13, 2018 (Agenda Item No. 16.D.19), the County entered into Agreement No. 17-7204, "Lely Golf Estates MSTU Landscape Maintenance" (the "Agreement") with Florida Land Maintenance, Inc. d/b/a Commercial Land Maintenance for on-going maintenance of landscaping and irrigation installed by the Lely Municipal Service Taxing Unit ("MSTU") within its boundaries; and WHEREAS, on January 22, 2019, Florida Land Maintenance, Inc. filed a Name Change amendment with the State of Florida Division of Corporations to reflect an amended name for the corporation to Superb Landscape Services, Inc., with no change to the company's federal tax identification number; and WHEREAS, on February 28, 2019, a First Amendment to the Agreement was approved to revise Section 21. Payments Withheld,to correct a Scriveners error by replacing the work"Contractor" with"County"where applicable; and WHEREAS, the Parties have exhausted all renewals and extensions allowed under the Agreement with a current expiration date of the Agreement set for August 11, 2023; and WHEREAS, the County is currently working on a new solicitation for these services which should be completed within the next four to six months; and WHEREAS,the Parties are agreeable to further extend the Agreement with a new Agreement expiration date set for December 31, 2023, under the same terms, conditions and fees of the Agreement; and NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, it is agreed by the Parties as follows: 1. The above recitals are hereby incorporated into this Second Amendment as if fully set forth herein. 2. Upon Execution of the Second Amendment, the Agreement expiration date shall be December 31, 2023. 3. All other terms and conditions of the Agreement, as previously amended, shall remain the same.
