WHEREAS, pursuant to Resolution 2021-243, Petitioner, Christopher Scott, AICP, of
Peninsula Engineering, on behalf of the property owner, has requested the vacation of the County
and the Public interest in two unimproved 30-foot wide public rights-of-way, described as
"Avenue B" and "First Street," according to the Col-Lee-Co Terrace Subdivision Plat, as
recorded in Plat Book 1, Page 32, of the Public Records of Collier County, Florida, located in
Section 11, Township 50 South, Range 25 East, Collier County, Florida, being more specifically
described in Exhibit "A", attached hereto; and
WHEREAS, at its 2023 regular meeting, the Board of
Commissioners, via Resolution No. 2023- , approved the scheduling of a public hearing
on March 28, 2023, pursuant to Resolution 2021-243; and
WHEREAS, the Board of County Commissioners, on this day, held a public hearing to
consider the petitioner's request and notice of said public hearing was given as required by law;
and
WHEREAS, the granting of the Petitioner's request will not adversely affect the
ownership or right of convenient access of the property owners, nor invade or violate individual
property rights and otherwise qualifies under section 336.09, Florida Statutes.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, that the County interest in one
30-foot wide public right-of-way, and a portion of one 30-foot wide public right-of-way, being a
part of COL-LEE-CO TERRACE, Plat Book 1, Page 32 of the Public Records of Collier County,
Florida, located in Section Il, Township 50 South, Range 25 East, being more specifically
shown in Exhibit "A", is hereby vacated, extinguished, renounced and disclaimed, and this
action is declared to be in the Public interest and for the Public benefit.

Board of County Commissioners (BCC) will consider the enact-
ment of a County Resolution. The meeting will commence at
9:00 A.M.The title of the proposed Resolution is as follows:

A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS
OF COLLIER COUNTY, FLORIDA, TO DISCLAIM, RENOUNCE AND
VACATE THE COUNTY AND THE PUBLIC INTEREST IN TWO UN-
IMPROVED 30-FOOT-WIDE PUBLIC RIGHT-OF-WAYS DESCRIBED
AS AVENUE"B"AND FIRST STREET,ACCORDING TO THE
COL-LEE-CO TERRACE SUBDIVISION PLAT, AS RECORDED IN
PLAT BOOK 1, PAGE 32, OF THE PUBLIC RECORDS OF COLLIER
COUNTY, FLORIDA. THE SUBJECT PROPERTY IS LOCATED ON
THE SOUTH SIDE OF U.S. 41 BETWEEN FREDRICK STREET AND

A copy of the proposed Resolution is on file with the Clerk to
the Board and is available for inspection. All interested parties
are invited to attend and be heard.
All persons wishing to speak on any agenda item must register
with the County manager prior to presentation of the agenda
item to be addressed. Individual speakers will be limited to 3
minutes on any item.The selection of any individual to speak on
behalf of an organization or group is encouraged. If recog-
nized by the Chairman, a spokesperson for a group or organiza-
tion may be allotted 10 minutes to speak on an item written
materials intended to be considered by the Board shall be sub-
mitted to the appropriate County staff a minimum of seven
days prior to the public hearing. All materials used in presenta-
tions before the Board will become a permanent part of the re-
cord.
As part of an ongoing initiative to encourage public involve-
ment, the public will have the opportunity to provide public
comments remotely, as well as in person, during this proceed-
ing. Individuals who would like to participate remotely should
register through the link provided within the specific
event/meeting entry on the Calendar of Events on the County
website at www.colliercountyfl.gov/our-county/visitors/calendar-
of-events after the agenda is posted on the County website.
Registration should be done in advance of the public meeting
or any deadline specified within the public meeting notice. Indi-
viduals who register will receive an email in advance of the pub-
lic hearing detailing how they can participate remotely in this
meeting. Remote participation is provided as a courtesy and is
at the user's risk. The County is not responsible for technical is-
sues. For additional information about the meeting, please call

Any person who decides to appeal any decision of the Board
will need a record of the proceedings pertaining thereto and
therefore, may need to ensure that a verbatim record of the

WHEREAS, pursuant to Resolution 2021-243, petitioner Christopher O. Scott, AICP, of
Peninsula Improvement Corporation d/b/a Peninsula Engineering, on behalf of the property

WHEREAS, at its March 28, 2023 regular meeting, the Board of Commissioners, via
Resolution No. 2023-52, approved the scheduling of a public hearing on April 25, 2023, pursuant
to Resolution 2021-243; and
WHEREAS, the Board of County Commissioners, on this day, held a public hearing to
consider the petitioner's request and notice of said public hearing was given as required by law;
and
WHEREAS, the granting of the Petitioner's request will not adversely affect the
ownership or right of convenient access of the property owners, nor invade or violate individual
property rights and otherwise qualifies under section 336.09, Florida Statutes.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, that the County and the Public
interest in two unimproved 30-foot-wide public right-of-ways, described as Avenue "B" and
First Street, according to the COL-LEE-CO TERRACE subdivision plat, Plat Book 1, Page 32 of

DEVELOPER AGREEMENT
TB East Trail,LLC
TIIIS DEVELOPER AGREEMENT(hereinafter referred to as the "Agreement") is made
and entered into this 25 TM day of pP R IL , 2023 by and among TB East Trail, LLC
(hereinafter referred to as the"Developer")and Collier County, a political subdivision of the State
of Florida (hereinafter referred to as"County").
RECITALS:
WHEREAS,on or about January 24,2022,Developer made application for the vacation of
First Street and Avenue "B", less and except that portion adjacent to Lot 35, of Col-Lee-Co
Terrace, according to the Map of Plat thereof, as recorded in Plat Book 1, Page 32, of the Public
Records of Collier County, Florida, attached hereto as Exhibit "A" and incorporated herein by
reference; and
WHEREAS, the Collier County holds these platted roadways in trust for the benefit of the
public and actively uses these platted roadways for drainage and utilities;
WHEREAS, the Developer is proposing to create a greater public benefit with an adjacent
drainage improvement project as part of the vacation application's approval, attached hereto as
Exhibit "B" and incorporated herein by reference; and
WHEREAS, the public benefit provided for the Developer's proposal provides for greater
public benefit and welfare than the existing governmental use of the platted roadways for drainage
and utilities and its possession in trust for the benefit of the public; and
WHEREAS, the Developer's ;proposal, is in, the public interest and for the'benefit of
convenience of the public and is not for;the benefit of a purely prixate interest;atld
WHEREAS, Ow Developer agrees that the,proposal has an essential nexus to a legitimate

public purpose and.is roughlyproportioi ate to the impacts of the propose4l'vacation application
that the governmental entity seeks to avoid, minimize, or mitigate':
WITNESSETH
NOW,THEREFORE, in consideration of Ten Dollars(10.00)and other good and valuable
consideration exchanged amongst the parties, and in consideration of the covenants contained
herein, the parties agree as follows:
1. All of the above RECITALS are true and correct and are hereby expressly
incorporated herein by reference as if set forth fully below.
2.) The Developer shall pay the County $528,431.35`°to perform the Developer's
proposal within-60-days of the approval of vacation petition PL20220000374, 26880240006
(VAC), as shown in Exhibit"A".

Legal Matters
3. This Agreement shall not be construed or characterized as a development
agreement under the Florida Local Government Development Agreement Act.
4. The burdens of this Agreement shall be binding upon, and the benefits of this
Agreement shall inure to, all assigns successors in interest to the parties to this Agreement. The
term "Developer" shall include all of Developer's assigns and successors in interest, including
homeowner associations and commercial tenants.
5. In the event state or federal laws are enacted after the execution of this Agreement,
which are applicable to and preclude in whole or in part the parties' compliance with the terms of
this Agreement, then in such event this Agreement shall be modified or revoked as is necessary to
comply with such laws, in a manner which best reflects the intent of this Agreement.
6. This Agreement shall be recorded by the County in the Official Records of Collier
County, Florida, within fourteen (14) days after the Effective Date. The Developer shall pay all
costs of recording this Agreement. The County shall provide a copy of the recorded document to
the Developer upon request.
7. In the event of any dispute under this Agreement,the parties shall attempt to resolve
such dispute first by means of the County's then-current Alternative Dispute Resolution Procedure,
if any. Following the conclusion of such procedure, if any, either party may file an action for
injunctive relief in the Circuit Court of Collier County to enforce the terms of this Agreement,and
remedy being cumulative with any and all other remedies available to the parties for the
enforcement of the Agreement.
8. Except as otherwise provided herein, this Agreement shall only be amended by
mutual written consent of the parties hereto or by their successors in interest. All notices and other
communications required or permitted hereunder (including County's option) shall be in writing
and shall be sent by Certified Mail, return receipt requested, or by a nationally recognized
overnight delivery service, and addressed as follows:

9. This Agreement (which include the references set forth in the Recitals) constitutes
the entire agreement between the parties with respect to the activities noted herein and supersedes
and takes the place of any and all previous agreements entered into between the parties hereto
relating to the transactions contemplated herein. All prior representations, undertakings, and
agreements by or between the parties hereto with respect to the subject matter of this Agreement
are merged into, and expressed in, this Agreement, and any and all prior representations,
undertakings, and agreements by and between such parties with respect thereto hereby are
canceled.

10, Nothing contained herein shall be deemed or construed to create between or among
any of the parties any joint venture or partnership nor otherwise grant to one another the right,
authority or power to bind any other party hereto to any agreement whatsoever.
