Agenda 04/25/2023 Item #16A20 (To provide fiscal relief pertaining to the provision of fixed route and paratransit service)04/25/2023 EXECUTIVE SUMMARY Recommendation to approve the attached Amendment No. Four to Agreement No. 18-7382 - Professional Services Agreement for Collier Area Transit Fixed Route, Demand Response, and Transit Operations Management Services with MV Transportation, Inc., allowing for an extension of Amendment No. Three to address staffing shortages through and including the current April 30, 2024, termination date of the Agreement, and authorizing the Chairman to sign the attached amendment. OBJECTIVE: To provide fiscal relief pertaining to the provision of fixed route and paratransit service by the County’s transit Contractor in order to continue transit operations. CONSIDERATIONS: On April 9, 2019 (Agenda Item 11.C), the County entered into Agreement No. 18-7382 (the “Agreement”) with MV Transportation, Inc. (“MV”) to provide Fixed Route, Demand Response, and Transit Operation Management Services ("TOMS") for the Collier Area Transit (“CAT”) system. On June 9, 2020 (Agenda Item 16.D.15) the County approved a First Amendment to the Agreement to provide reimbursement of additional operating duties and expenses incurred in response to the COVID-19 pandemic. On October 13, 2020 (Agenda Item 16.D.7) the County approved a Second Amendment to the Agreement to allow for a temporary trip rate increase for paratransit service in response to the COVID -19 pandemic. On October 26, 2021 (Agenda Item 16.A.14) the County approved a Third Amendment to the Agreement to allow for a temporary rate increase to address staffing shortages. The market conditions that warranted the rate increase associated with Amendment No. 3 have continued to demand the employment market to offer higher wages for personnel in the transportation field. The rate increase approved as part of Amendment Number Three to the Agreement has assisted in hiring operators for both fixed route and paratransit services, and corrected route closures by 64% and multiple missed trips by 74%, providing more reliable service for passengers. Unless extended by the attached proposed Fourth Amendment, the rate increases provided for in Amendment Number Three will expire on April 30, 2023, causing the operator rates to revert back to the original contract rates resulting in a cut in pay for the drivers. An extension of the rates approved by Amendment Three will allow employee wages to keep competitive with the current labor market. Providing an adequate wage scale against current competition will attract higher qualified candidates and continue to improve service quality. Based on a market analysis, the following chart provides examples of the service competing for the same workforces and the wages being offered. Approval of this item will allow MV to keep ahead of staffing challenges and 16.A.20 Packet Pg. 1343 04/25/2023 avoid future impacts on service delivery. The following table provide the board with a comparison of the rate proposal with the original contract rate, with an estimated 12 month fiscal impact. If the contract rates are not increased the original contract rates would apply. As an extension to the Third Amendment the separation of the rates within the amendment will assist with the budgeting and management of the contract. Section 19, subsection 3, Contracts, of Procurement Ordinance No. 2013-69, as amended, states in part, “The Board shall have broad authority, within the limits of the law, to evaluate and approve any recommended contract modifications without requiring further competition.” Due to the urgent need to retain qualified transit drivers, and with no favorable alternative to address this issue, the proposed amendment is being brought for the Board’s consideration to cover the remainder of the MV Contract through and including the current termination date of April 30, 2024 (subject to two mutually agreeable one-year renewal terms). FISCAL IMPACT: Funding for the extension of the proposed rates for the remainder of FY23 inclusive of TOMS, Fixed Route and Paratransit services for the amount of $373,283 is available in the existing FY23 budget within the transit family of operating and grant funds (424, 425, 426, 427, 428, and 429), including the Florida Department of Transportation State Block Grant, Federal Transit Administration Section 5311, Commission of Transportation Disadvantage Trip and Equipment and the anticipated Transit Corridor Development Program. Any expenditure required to be covered by local funding include matching requirements are supported by the annual General Fund (001) transfer. The proposed rates will be used for the FY24 budget process, it is anticipated funding will also be available in FY24. GROWTH MANAGEMENT IMPACT: This item is consistent with Objective 12 of the Transportation Element of the Growth Management Plan. RECITALS: WHEREAS, on April 9, 2019 (Agenda Item I I .C.), the County entered into Agreement No. 18-7382 ("the Agreement") with the Contractor to provide Fixed Route, Demand Response and Transit Operation Management Services for the CAT; and WHEREAS, the Coronavirus ("COVID 19") outbreak has been declared a pandemic by the Center for Disease Control ("CDC"); and WHEREAS, on March 27, 2020, President Trump signed the Coronavirus Aid, Relief, and Economic Security ("CARES") Act into law providing for emergency assistance and health care response for individuals, families and businesses affected by the COVID-19 pandemic and providing for emergency appropriations to support Executive Branch agency operations during the COVID-19 pandemic; and WHEREAS, the Federal Transit Administration (the "FTA") allocated urbanized and rural area formula funding at a 100-percent (100%) federal share, with no local match required, to support capital, operating, and other expenses generally eligible under those programs to prevent, prepare for and respond to COVID-19; and WHEREAS, operating expenses incurred beginning on January 20, 2020 to maintain transit services, as well as paying for administrative leave for transit personnel who are quarantined after an actual or possible exposure to an individual infected with COVID-19 have been determined to be reimbursable expenses by the FTA; and WHEREAS, the FTA provides for the modification of third -party contracts to allow for the reimbursement of operating expenses incurred in response to the COVID-19 pandemic; and WHEREAS, for the purpose of this third -party contract amendment, administrative leave shall be authorized leave for a worker that is quarantined after an actual or potential exposure to an individual infected with COVID-19; and WHEREAS, the FTA has determined that the legislation provides reimbursement for operating expenses incurred in responding to the COVID-19 pandemic (hereinafter "COVID Expenses") and explains that operating expenses are those costs necessary to operate, maintain, 0 16.A.20.b Packet Pg. 1347 Attachment: 1st Amendment to 18-7382 06_09_2020 Item #16D15 (24920 : 4th Amendment to MV Contract) DocuSign Envelope ID: 89C84DBB-3B5D-4BAD-B04C-DB7E68FD2EE7 and manage a public transportation system, including but not limited to costs such as driver salaries, fuel, and items having a useful life of less than one year, including personal protective equipment and cleaning supplies; and WHEREAS, the pandemic has caused specific additional operating expenses for the Contractor; and WHEREAS, the County intends to provide the reimbursement authorized under the CARES Act legislation and the Parties wish to amend the Agreement to address the COVID- 19 related expenses. NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein and for other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the County and Contractor agree that the Agreement shall and herby is amended and modified on the terms provided herein: Terms and Conditions Recitals.
