INTERLOCAL AGREEMENT FOR FIRE AND RESCUE SERVICES
BY AND BETWEEN
COLLIER COUNTY AND GREATER NAPLES FIRE RESCUE DISTRICT

This Interlocal Agreement("Agreement"),made and entered into this L day of Apr;I ,2023
("Effective Date"), by and between the Board of County Commissioners of Collier County,
Florida,a political subdivision of the State of Florida(hereinafter referred to as the"County"),and
the Greater Naples Fire Rescue District, an independent special district created under Chapter
2014-240, Laws of Florida, as subsequently amended, and operated pursuant to Chapters 189 and
191,Florida Statutes(hereinafter referred to as"Greater Naples"). The County and Greater Naples
are referred to herein individually as"Party"and collectively as"Parties."
RECITALS:
WHEREAS, by Ordinance No. 75-6, as subsequently amended, the County created the
Ochopee Municipal Fire Services Taxing District (hereinafter referred to as the "Ochopee
MSTU"), "for the purpose of providing, equipping, operating, and maintaining a rescue and fire
department within the district;to buy, lease, sell,exchange or otherwise acquire,hold and dispose
of equipment and other personal or real property and to provide an adequate water supply for fire
prevention and protection purposes; to employ and discharge employees and authorize them to
enter upon private and public property at reasonable times to inspect, combat and investigate
possible and actual fire hazards and occurrences; to promulgate rules and regulations for the
prevention and control of fire and to otherwise protect persons and property within the district";
and
WHEREAS, in 2016, the Parties entered into an agreement that was amended and
extended in 2019, which was subsequently superseded by Interlocal Agreement for Fire and
Rescue Services by and between Collier County and Greater Naples Fire Rescue District dated
March 24, 2020,which related to(1)the expansion of the boundaries of Greater Naples to include
the Ochopee MSTU,which required appropriate action by the Florida Legislature and approval at
a referendum of the qualified electors within the Ochopee MSTU ("consolidation") and (2) the
management of the Ochopee MSTU until consolidation occurred ("2020 Interlocal Agreement");
and
WHEREAS, in accordance with the 2020 Interlocal Agreement, Greater Naples sought
legislation regarding the consolidation during the 2021 Legislative Session, which was not
successful; and
WHEREAS, the County would like Greater Naples to continue to manage the Ochopee
MSTU including its fire stations and assets contained within and under the control of the current
Ochopee MSTU, which Greater Naples is willing to do, pursuant to and in accordance with the
terms of this Agreement until such time as the Parties mutually agree for consolidation to occur,
which will be addressed in a separate agreement; and

WHEREAS, the Parties recognize that the County may use funds from the Ochopee
MSTU and/or other sources of funding to pay for the services being provided under this
Agreement; and
WHEREAS, Greater Naples provides services to the area associated with the Ochopee
MSTU from Stations 60, 61, and 66; and
WHEREAS, Greater Naples provides services from Station 60, which is owned by the
City of Everglades City("Everglades City"), and there is no lease that provides for the use of such
station; and
WHEREAS, County owns Station 61 and Greater Naples has the authority to provide
services from the station pursuant to the 2020 Interlocal Agreement; and
WHEREAS, County owns Station 66, which does not have any personnel assigned there
as it is used for storage, and Greater Naples has the authority to store apparatus and equipment
associated with the provision of fire services within it; and
WHEREAS, the 2020 Interlocal Agreement addresses the use, maintenance, and
ownership of specified tangible personal property that is used at Station 63, and the Parties agree
that this Agreement will only address the use, maintenance, and ownership of specified tangible
personal property that is used to serve the Ochopee MSTU as Greater Naples has entered into a
separate agreement with the Florida Department of Transportation regarding the use and operation
of Station 63; and
WHEREAS, prior tangible personal property lists are not accurate due to past natural
disasters that impacted the fire stations within the Ochopee MSTU and the failure to include
tangible personal property that would not be considered a capital asset, so the Parties have agreed
that the attached Inventory Report,as defined in Section 10.B, is up-to-date and accurate and shall
be used; and
WHEREAS, the Parties agree that this Agreement supersedes the 2020 Interlocal
Agreement; and
WHEREAS, the Interlocal Cooperation Act of 1969 set forth in Chapter 163, Florida
Statutes, authorizes the joint exercise of any power, privilege, or authority which the public
agencies involved might separately exercise.
NOW, THEREFORE, in accordance with the mutual covenants, promises, and
representations contained herein,the Parties agree as follows:
1. RECITALS.
The Recitals above are true and correct and are incorporated in this Agreement.
2. PURPOSE.
The purpose of this Agreement is to provide the terms under which Greater Naples will provide
services to the area associated with the Ochopee MSTU, the use and maintenance of specified
apparatus and equipment, and the use of specified fire stations.

3. TERM OF AGREEMENT.
The term of the Agreement commenced on October 1, 2022 and continues until September 30,
2032, unless earlier terminated as provided in Section 18. Notwithstanding, upon expiration or
earlier termination,to assist with the transition of services,Greater Naples will continue to provide
services until 8:00 am on the day following the termination date.
4. FUNDING/TERMS OF PAYMENT.
A. Funding. The County agrees to reimburse all documented and supportable expenses
associated with Greater Naples' provision of services under this Agreement beginning October 1,
2022 and annually thereafter. The County is liable for the following expenditures:the annual final
budget submitted in accordance with Section 4.B. (the "Prepaid Annual Costs"), approved
Contingency Funds expenditures as described in Section 4.C., the Management Fee as described
in Section 4.D.,and expenditures as provided for in Sections 9 and 11 (collectively,the"Maximum
Annual Total Cost"). The County is not liable for any District expenditures above the Maximum
Annual Total Cost. For Fiscal Year 2022-2023, the Prepaid Annual Costs, which includes
personnel costs, asset maintenance, utilities, lease fees, insurance, and other specified costs to be
reimbursed by the County in accordance with this Agreement, is$3,503,784 and the not to exceed
Contingency Funds is $350,378.40.
B. Pre-Paid Annual Costs. For Fiscal Year 2022-2023, the final budget is summarized in
Exhibit A. The Parties recognize that beginning April 1, 2023, Greater Naples will be charging
directly for vehicle maintenance labor charges that have not previously been budgeted as
individual charges. As a result, there is not a line item for vehicle maintenance labor charges
included in the Fiscal Year 2022-2023 final budget. For subsequent fiscal years, at least one
hundred twenty(120)calendar days from the end of the fiscal year,Greater Naples will provide to
the County an anticipated annual budget to provide services for the subsequent fiscal year, which
will be specified by fire station. The requirement to track by fire station is appliable beginning
with Fiscal Year 2023-2024. Each budget category subtotal, including building and capital assets
maintenance and replacement, and individual line item costs contained in the exhibit are only
estimates. Shifts between budget categories and budget line items by Greater Naples are
acceptable and does not require an amendment to this Agreement.
C. Ten Percent (10%) Contingency.
1. The Parties recognize that the Pre-Paid Annual Costs may be exceeded due to
unforeseen events such as unexpected expenditures related to repairs of a fire station, apparatus,
or equipment as provided for in Sections 9 and 11. Greater Naples may request approval of
expenditures that do not exceed ten percent (10%) of that fiscal year's Pre-Paid Annual Costs
("Contingency Funds"). These funds may not be used to increase the level of service to the
Ochopee MSTU or to purchase new equipment that was not contemplated as part of the final
budget or Capital Improvement Plan.
2. The Parties must mutually agree to any expenditure of the Contingency Funds over
$5,000 prior to its expenditure. Greater Naples must provide a written request for an expenditure
to the County, and if the County does not provide its consent or denial of such expenditure within

five (5) calendar days of receipt of such request, it is deemed that the County approved the
expenditure request. If the expenditure is needed due to the County's election not to make repairs
that are estimated to be over $5,000 in accordance with Section 11, additional approval from the
County to use the Contingency Funds is not required,and approval is hereby granted. Any request
to use the Contingency Funds must include the total amount of Contingency Funds approved and
expended as of the date of the request.
3. Contingency Funds expenditures that were approved in accordance with subparagraph
2. above for a fiscal year must be paid by the County to the District no later than October 30th of
the subsequent fiscal year. If there is an earlier termination of this Agreement that results in
services being terminated prior to the end of a fiscal year, the Contingency Funds expenditures
that were approved for the partial fiscal year must be paid to Greater Naples within thirty(30)days
of the termination date.
D. Management Fee. In addition to the Pre-Paid Annual Costs, Greater Naples will be paid
an administrative management fee, which is five percent (5%) of the combined Final Reconciled
Expense as described in Section 4.G. and the approved Contingency Funds expenditures as
described in Section 4.C. ("Management Fee"). For Fiscal Year 2022-2023, if 100% of the
Contingency Funds were approved to be used,the maximum Management Fee is$192,708.12(5%
of the $3,854,162.40 Maximum Annual Total Cost). The Management Fee for a fiscal year must
be paid by the County no later than October 30th of the subsequent fiscal year. If there is an earlier
termination of this Agreement that results in services being terminated prior to the end of a fiscal
year, following the reconciliation in accordance with Section 4.G., the County must pay the
Management Fee based on the Final Reconciled Expense and Contingency Funds expenditures for
the partial fiscal year to Greater Naples within thirty (30)days of the termination date.
E. Capital Improvement Plan. For County planning purposes, Greater Naples must develop
and submit a proposed five year Capital Improvement Plan,which will include a plan for buildings
and capital assets as defined in Section 10.A. for the Ochopee MSTU. Capital assets and building
maintenance and improvements over $15,000 identified in the Capital Improvement Plan will be
subject to review and approval by the County. The Capital Improvement Plan must be fire station
specific with the associated capital assets included under each fire station.
F. Invoices.
1. Greater Naples will submit an invoice for one-fourth(1/4)of the Pre-Paid Annual Costs by
October 5, January 5, April 5, and July 5 of each fiscal year, which must be paid by the
County no later than the 30th of such month(i.e.no later than October 30,January 30,April
30, and July 30) of such fiscal year. The quarterly invoice must include the Pre-Paid
Annual Costs paid to date, the balance of the Pre-Paid Annual Costs remaining, and
whether Greater Naples has shifted expenditures between budget categories. Payments
pursuant to this Agreement will be made for actual costs incurred by Greater Naples.
Payment to Greater Naples will be made only after receipt of an invoice.
2. Greater Naples will submit its final invoice to the County within thirty (30) calendar days
after each fiscal year or the earlier termination of this Agreement. The final invoice for

each fiscal year must be submitted electronically in detail sufficient for a proper post-audit
thereof and must be accompanied by an itemized expenditure report acceptable to the
County("Final Invoice"). Invoices must be received and accepted in writing by the County
prior to payments to Greater Naples.
3. If the Clerk of Court requires Greater Naples to include additional information for the
quarterly invoices, Final Invoice, or Management Fee and Contingency Funds
Expenditures Invoice, Greater Naples will submit to the County an invoice in a form
prescribed by the Clerk of Court.
4. If there is a dispute related to any invoice, the Parties must proceed in accordance with
Section 17 to resolve the issue.
5. Greater Naples will submit an invoice for Management Fee and approved Contingency
Funds Expenditures reimbursement "(Management Fee and Contingency Funds
Expenditures Invoice")by October 15 of the subsequent fiscal year.
G. Reconciliation/True-UP. The County is paying the Pre-Paid Annual Costs in equal
quarterly payments each fiscal year. The County is only responsible for reimbursement of costs
incurred by Greater Naples during each fiscal year during the term of this Agreement, which will
result in an annual true-up of costs and payment("Final Reconciled Expense"). Following receipt
of the Final Invoice for a fiscal year, a reconciliation of the final expenses incurred by Greater
Naples, excluding the approved Contingency Funds expenditures, will be reconciled against the
Pre-Paid Annual Costs. If the Pre-Paid Annual Costs were less than what was incurred by Greater
Naples,excluding the approved Contingency Funds expenditures,the County will receive a credit
towards the second quarter's payment to Greater Naples, and if additional funds are still owed
following such crediting,the County will receive a credit towards the third quarter's payment and
so forth until such credit has been fully paid. The County is not responsible for any expenditures
by Greater Naples greater than the Maximum Annual Total Cost for that fiscal year. If there is an
earlier termination of this Agreement that results in services being terminated prior to the end of a
fiscal year, following the reconciliation, Greater Naples must repay the County any moneys that
are credited, if any,to the County within thirty (30)days of the termination date.
H. Accounting. Greater Naples must establish separate accounts to be maintained within its
existing accounting system or establish independent accounts. Such accounts are referred to herein
collectively as the "Ochopee accounts." Records of costs incurred under terms of this Agreement
will be maintained in the Ochopee accounts and made available upon request to the County at all
times during the period of this Agreement and for five (5) years after final payment is made for
the applicable fiscal year. Copies of these documents and records must be furnished to the County
on a quarterly basis during the term of this Agreement. Records of costs incurred include Greater
Naples' general accounting records and all other records of Greater Naples considered necessary
by the County for a proper audit of costs. If any litigation, claim, or audit is started before the
expiration of the five (5) year period, the records will be retained until all litigation, claims, or
audit findings involving the records have been resolved.

I. Audit. Greater Naples will annually provide audited or CPA-reviewed financial accounting
of expenditures related to the operation of the Ochopee MSTU within thirty (30) days of
submission of Greater Naples' audit to the State Auditor General.
J. 2020 Interlocal Agreement/Payments For Fiscal Year 2022-2023. This Agreement does
not relieve the County for any payments owed to Greater Naples under the 2020 Interlocal
Agreement. The County has paid Greater Naples $812,875.83 as of March 1, 2023. The County
must pay Greater Naples $1,114,205.37 (the difference between the amount paid to date and two
quarters of the Pre-Paid Annual Costs for Fiscal Year 2022-2023 ($1,927,081.20)) within thirty
(30) calendar days of execution of this Agreement minus any additional funds paid to Greater
Naples from March 1 to the Effective Date, with payments in the amount of$963,540.60 being
owed by April 30, 2023 and July 30, 2023, respectively. The Management Fee and approved
Contingency Funds expenditures reimbursement for Fiscal Year 2022-2023 must be paid to
Greater Naples no later than October 30, 2023.
K. Survival. The payment obligations under this Section 4 survives the expiration or earlier
termination of this Agreement.
5. SERVICE LEVEL.
A. Services. Greater Naples must provide fire protection and rescue services with all practical
dispatch, in a sound, economical, and efficient manner, and in accordance with the provisions of
this Agreement and all applicable laws. Greater Naples agrees to provide the services to the area
associated with the Ochopee MSTU and equipment available at the time of any emergency call.
Greater Naples will perform the services with modern firefighting practices and consistent with
the services generally being provided to the Greater Naples Fire Rescue District. Fire protection
and rescue services provided by Greater Naples will include all emergency and non-emergency
services normally performed by Greater Naples, which as of the Effective Date, includes having
three(3)personnel on a fire apparatus. The Parties recognize and agree that due to the rural nature
of the Ochopee MSTU, response times may be higher compared to other parts of the district.
Service levels will include, at a minimum,the following:
1. Three(3)firefighters assigned to one(1)Class-A fire apparatus,twenty-four(24)hours
each day stationed at Station 60 and Station 61, which must at all times remain open, operational,
and fully staffed unless there is force majeure that will not allow compliance with this service
level,such as a catastrophic natural or health emergency. In addition, if Greater Naples is required
to brown out stations due to such emergency, Greater Naples may brown out one or both of these
fire stations as long as there are at least an equivalent number of fire stations outside of the Ochopee
MSTU that have also been browned out by Greater Naples. If a brown out occurs, Greater Naples
will continue to provide service to the Ochopee MSTU from other Greater Naples stations.
2. Marine capability as provided on the date of the 2020 Interlocal Agreement.
3. Fire prevention and investigative services.
4. Fire inspections and new occupancy inspections.
5. On-duty Shift Commander available.
6. Reserve fire engine available when necessary.
7. Other apparatus (brush attack, air trucks, and squads) available when necessary.

8. Preparation and coordination of emergency preparedness activities.
B. Interference. The County will not interfere with the day-to-day operations of Greater
Naples. All decisions on staffing and equipment will be made by Greater Naples, including
staffing under any interlocal agreement with Collier County Emergency Medical Services, if
applicable.
C. Mutual Aid/Closest Unit Response. This Agreement does not alter any mutual aid or
closest unit response agreement between the Parties.
6. ADMINISTRATION AND PUBLIC RECORDS.
A. Administration Services. The County will provide all required administrative and support
services needed for the administration of the Ochopee MSTU. Notwithstanding, upon request by
the County,Greater Naples will develop and provide to the County statistical and data analysis for
the Ochopee MSTU. The County will properly notice and prepare the agenda for and minutes of
the Ochopee Fire Advisory Committee meetings. The Greater Naples Fire Chief, or his or her
designee,will prepare a monthly Fire Chiefs Report to the Ochopee Fire Advisory Committee.
B. Public Records. Greater Naples must comply, at its own expense, with the Florida Public
Records Law, Chapter 119, Florida Statutes. Greater Naples will produce any and all public
records under its control for the Ochopee Fire Control District,upon request of the County.Greater
Naples will immediately report public records that are lost, stolen, or destroyed by any means.
Notwithstanding, Greater Naples must retain public records in accordance with statutory
prescribed retention schedules and nothing in this Agreement prevents Greater Naples from
disposing of public records in accordance with such requirements.
7. PUBLIC RELATIONS AND OTHER SERVICES.
The Greater Naples Fire Chief,or his or her designee,will liaison with outside agencies,the media,
and the public related to fire and rescue services within the Ochopee MSTU.
8. PERSONNEL.
All personnel under this Agreement are employees of Greater Naples and services provided will
be under the supervision and purview of Greater Naples. Greater Naples is responsible for all
personnel administration,which includes at a minimum,hiring,promotions,disciplinary action up
to and including termination, planning, organizing, directing, and coordinating the work of
personnel, and developing and implementing training programs.
9. FIRE STATIONS.
A. General. Greater Naples provides fire protection and rescue services from Stations 60 and
61 and uses Station 66 to store apparatus and equipment used to serve the Ochopee MSTU. Greater
Naples does not own Stations 60, 61, and 66 and is not responsible for the cost of capital
improvements, maintenance, repairs, or replacement unless otherwise provided for in a separate
agreement. Greater Naples' responsibility to provide services under this Agreement is dependent
on the continued use of Stations 60, 61, and 66. If the ability to use one or more of these stations
is impaired,the Parties acknowledge that the services being provided by Greater Naples within the
Ochopee MSTU will be significantly negatively impacted and significant delays in the provision

of services will occur,which does not result in a breach of this Agreement. The County is obligated
to ensure adequate facilities are available through the term of this Agreement. Notwithstanding
any provision to the contrary, if Greater Naples does not agree that adequate facilities are being
provided, Greater Naples may either (1) stop providing service from such facility resulting in
longer response times without having to go through the dispute resolution process provided in
Section 17 or (2) provide a notice of termination in accordance with Section 18. Any funds
expended by Greater Naples related to repairs and maintenance of Stations 60 (if required by a
separate agreement as described in Section 9.B.), 61, and 66 are included in the Pre-Paid Annual
Costs, except as provided for in Section 9.C.1(d) and D.2(d).
B. Station 60. Greater Naples has been providing services from Station 60 since 2016. The
Parties agree that Greater Naples needs a separate agreement with Everglades City to provide
services from Station 60. If the County stations or intends to station a Collier County Emergency
Medical Services ambulance, personnel, and equipment at this station, then a tri-party lease must
be executed between Everglades City, the County, and Greater Naples that addresses the rights
and responsibilities of each party. Any lease fees or other costs to Greater Naples associated with
Greater Naples' use of Station 60 will be reimbursed by the County and will be included within
the Pre-Paid Annual Costs. Costs associated with Collier County Emergency Medical Services of
Station 60 will not be included within the Pre-Paid Annual Costs and will be the County's
responsibility in accordance with any tri-party lease. The Parties recognize that Station 60 was
significantly damaged by Hurricane Ian and that Greater Naples is currently providing services
from a temporary shelter. Nothing in this Agreement requires either Greater Naples or the County
to pay for the damages to Station 60 or for the construction of a replacement Station 60. Greater
Naples may not agree in the separate agreement with Everglades City to pay for the Hurricane Ian
damage or new construction of Station 60.
C. Station 61.
1. Greater Naples is granted the exclusive right to use Station 61 and the property
associated with it (collectively "Station 61") for providing the services during the term of
the Agreement.
(a). Station 61 may be used only as a fire station. However, this subparagraph does not
prohibit activities reasonably associated with the essential services provided by Greater
Naples. Greater Naples may not lease, let, assign, sublease, or otherwise grant the right of
possession or use any portion of Station 61 or to permit any other persons or entities to
occupy any portion of it, unless otherwise agreed to by the County.
(b). Greater Naples is responsible for cleaning the interior and lawn of the station,with the
associated costs included within the Pre-Paid Annual Costs.
(c). Greater Naples must establish service accounts in its name and will be responsible for
receiving and paying all monthly bills directly from service providers, with the associated
costs included within the Pre-Paid Annual Costs.
(d). To ensure timely maintenance occurs,any replacement,restoration,cleaning,or repair
of portions of Station 61 at or under $2,500 will be made by Greater Naples, which are
reimbursable by the County. Any replacement or maintenance in accordance with the
Capital Improvements Plan for Station 61, restoration, cleaning, or repair of portions of
Station 61 that exceeds $2,500 will be administered by the County at its sole cost. Every
five (5)years,the County must repaint the interior of Station 61. The County must ensure
the replacement, restoration, cleaning, and repairs are completed within forty-five (45)

days of notice being provided to the County, except any such activities must be made in a
timely basis if there is an unforeseen natural disaster that causes a delay. The County must
take all actions to ensure that there is limited to no disruption to Greater Naples in the
provision of its services to the Ochopee MSTU. The County must provide Greater Naples
with a weekly update regarding the timeline and anticipated completion of the activities.
If Greater Naples does not agree, then Greater Naples may seek resolution in accordance
with Section 17.
(e). Greater Naples may not make modifications, alterations, additions, or improvements
(collectively, "modifications") to Station 61 without the County's prior written consent,
except Greater Naples may make minor alterations, such as minimal painting or hanging
electronics or shelving, without consent of the County and at the sole responsibility and
cost of Greater Naples (i.e., these modifications are at the sole cost of Greater Naples and
are not eligible for reimbursement).
(f). In the event Greater Naples' negligence causes damage to Station 61, Greater Naples
will be wholly responsible for the costs to repair such damage, which shall not be
reimbursed by the County. Insurance requirements for Station 61 are provided for in
Section 14.
(g). Greater Naples has the authority to place its logo on all signage at Station 61.
2. As Greater Naples will be granted the sole and exclusive use of Station 61 under
paragraph 1., if the County stations or intends to station a Collier County Emergency
Medical Services ambulance,personnel, and equipment at this station, then a separate use
agreement must be executed between Greater Naples and the County regarding the shared
use of Station 61 that addresses the rights and responsibilities of each party, including
addressing the County's expansion of Station 61 at the County's sole cost as the fire
station's current layout is inadequate to have both Greater Naples and County staff staying
in the fire station, and insurance requirements. The separate use agreement may not
provide for a lease payment from the County during the term of the use agreement.
Notwithstanding, if there is a catastrophic event that necessitates the temporary station of
a Collier County Emergency Medical Services ambulance and personnel, Greater Naples
will allow such temporary use of the station at no cost to the County, and a separate use
agreement is not needed if such temporary assignment is for less than thirty (30) days in a
fiscal year.
D. Station 66.
1. Station 66 and the property associated with it (collectively "Station 66) is currently
used as a storage facility that is storing apparatus and equipment that serves the Ochopee
MSTU. Due to deed requirements, which are attached as Exhibit C, Station 66 must
continue to be used for fire protection services.
2. Greater Naples is granted the exclusive right to use Station 66 for providing the services
during the term of the Agreement.
(a). Station 66 must be used only for activities related to fire protection services and
activities reasonably associated with the essential services provided by Greater Naples.
Greater Naples may not lease, let, assign, sublease, or otherwise grant the right of
possession or use any portion of Station 66 or to permit any other persons or entities to
occupy any portion of it, unless otherwise agreed to by the County.

17.
(e). Greater Naples may not make modifications to Station 66 without the County's prior
written consent, except Greater Naples may make minor alterations, such as minimal
painting or hanging electronics or shelving, without consent of the County and at the sole
responsibility and cost of Greater Naples (i.e., these modifications are at the sole cost of
Greater Naples and are not eligible for reimbursement).
(f). In the event Greater Naples' negligence causes damage to Station 66, Greater Naples
shall be wholly responsible for the costs to repair such damage, which shall not be
reimbursed by the County. Insurance requirements for Station 66 are provided for in
Section 14.
(g). Greater Naples has the authority to place its logo on all signage at Station 66.
3. If Greater Naples or the County intends to revise the purpose of the fire station and
assign personnel at Station 66, then a separate lease must be executed between Greater
Naples and the County regarding the improvements that must be made to allow for such
use. The separate use agreement may not provide for a lease payment from the County
during the term of the use agreement.
4. Greater Naples may not object to or otherwise inhibit the County's installation of a
communications tower necessary for public safety communications on Station 66 property
and must provide the necessary access for construction and maintenance of the tower. The
County must ensure that the communications tower installation and use does not interfere
with the existing and potential use of Station 66.
10. OWNERSHIP OF VEHICLES AND EQUIPMENT.
A. General. Inventoried assets are used and defined as customarily used by personnel in
response to emergent scenes, used on the scene to provide rescue and care, and facilitate housing,
living,and general living comforts. Inventoried assets include both capital assets(those assets that
have a value of $5,000 or more or a life expectancy of more than five (5) years) and small

equipment(those items that have a value of less than $5,000 or a life expectancy of less than five
(5)years).
B. Ownership. County purchased capital assets and small equipment owned by the County
as part of the Ochopee MSTU, and small equipment that has been purchased by Greater Naples in
its provision of services to the Ochopee MSTU with funds from the County are included on the
Inventory Report, attached as Exhibit B, and will remain property of the County. The Inventory
Report includes two components, a list of capital assets and a list of small equipment items. An
inventory will be conducted annually by the County and Greater Naples and the Inventory Report
may be revised as mutually agreed to in writing by the Parties to reflect new and replaced County
assets, without further amendment to this Agreement. The Parties agree that consumable items
are not included in the Inventory Report. Any asset or item used at a fire station within the
Ochopee MSTU that is not included on the Inventory Report, as amended, is owned by Greater
Naples. All items on the Inventory Report, as amended, are owned by the County, and should be
titled, if applicable, in the name of Collier County. Greater Naples agrees not to lease, loan, sell,
sublet, assign, or mortgage any item on the Inventory Report, as amended, without the County's
prior written consent.
C. Disposition. Greater Naples will report to the County, using the disposition form attached
as Exhibit D ("Disposal Form"), any loss or significant damage to any item on the Inventory
Report, as amended, and the Parties will mutually determine in writing how such loss or damage
will be addressed. Unless otherwise agreed to in writing, any insurance proceeds received by
Greater Naples must be used to repair or replace the damaged item. In addition, upon a
determination by Greater Naples that an item on the Inventory Report, as amended, is obsolete
and/or no longer needed, Greater Naples must submit a completed Disposal Form and return the
asset to the County, unless the County directs Greater Naples in writing to dispose of such item.
The County is responsible for submitting any form required by the Clerk of the Court following
receipt of the Disposal Form from Greater Naples. If the Clerk of the Court requires additional
information from the County regarding the item,Greater Naples will cooperate with the County to
provide the additional information that is needed by the Clerk of the Court.
D. Asset Management. The County may conduct a physical or mechanical inspection of items
on the Inventory Report with seven (7) business days' notification to Greater Naples of such
review. The County must provide Greater Naples any inspection reports and findings to ensure
County assets are adequately maintained. On an annual basis, Greater Naples will complete a
review of the assets on the Inventory Report, as amended, and will submit to the County in a form
prescribed by the Clerk of Court the annual inventory data within thirty (30) days upon receiving
the form.
E. 2020 Agreement Inventory Report. The Parties recognize that the 2020 Agreement did not
include for the updating of the inventory report required in the 2020 Agreement. As a result, the
Inventory Report in Exhibit B may not match the 2020 Agreement's inventory report. The Parties
will work together to address any discrepancies in a timely manner.
11. MAINTENANCE AND REPLACEMENT OF VEHICLES AND EQUIPMENT.
A. General. As part of this Agreement, Greater Naples will repair and maintain the assets on
the Inventory Report,as amended if applicable,in good faith,less depreciation and"wear and tear"
on such assets. Greater Naples must repair and maintain all vehicles and equipment identified in
the Inventory Report in first-class condition and repair in accordance with any applicable

manufacturer's warranty and maintenance guidelines, Chapter 14-90, Florida Administrative
Code, as amended, and all NFPA required testing, maintenance,practices, and procedures.
B. Equipment. The County is responsible for the costs associated with Greater Naples
maintaining the assets on the Inventory Report, including vehicle maintenance expenses as
provided for in C.below,which are included within the Pre-Paid Annual Costs. Notwithstanding,
if a maintenance expense is estimated to exceed $5,000 and the County elects not to repair the
asset as provided for in C. below, such cost is not included within the Pre-Paid Annual Costs.
C. Determination of Vehicle Maintenance Expense. Vehicle maintenance expenses will be
calculated by Greater Naples as follows:
1. An hourly rate of$115 per hour for services provided by a Fleet Mechanic;
2. An hourly rate of$39 per hour for services provided by Administrative Staff;
3. An additional $25 per hour for maintenance performed in an emergency, after hours,
on holidays, and/or on weekends by a Fleet Mechanic, with a minimum four (4) hours being
charged; and
4. A shop charge of 8%against the total labor for each job. The shop charge covers floor
cleaners, paper goods, shop rags, small fasteners, uniforms, disposal of coolants, disposal of oil,
disposal of transmission fluid, disposal of brake fluid, and used filters.
Maintenance services will be billed in increments of one-tenth(1/10)of an hour rounded off to the
nearest one-tenth (1/10) of an hour. Greater Naples will maintain accurate records of repairs and
maintenance to assets on the Inventory Report. If a maintenance expense is estimated to exceed
$5,000, Greater Naples will notify the County and the County can determine whether it wants to
repair such asset. If the County elects to repair the asset within five (5) calendar days following
notification, Greater Naples may have an employee on site with the County during the repair.
D. Replacement of Apparatus. The existing Class-A fire apparatus being used in the Ochopee
MSTU are at least fifteen (15) years old. The County agrees to replace existing Class-A fire
apparatus (2-frontline units) on the Inventory Report in Fiscal Year 2024-2025, at the County's
sole cost. Such fire apparatus must be in like or similar model to other Class-A fire apparatus that
are used within Greater Naples and must conform to the equipment needs and safety standards of
Greater Naples. In addition, the County agrees to purchase or replace one (1) fire boat capable
of marine fire/rescue operations and one(1)brush truck apparatus with like or similar capabilities
as those apparatus on the Inventory Report in accordance with the Capital Improvements Plan. If
an immediate need arises related to the water tender or brush truck apparatus,the Parties will work
together to meet the need for an earlier purchase or replacement. Greater Naples will provide
specifications to the County and must approve any apparatus being purchased by the County in
accordance with this section. The apparatus will be titled in the name of Collier County.
12. RETURN OF APPARATUS AND EQUIPMENT.
Upon expiration or earlier termination of this Agreement, Greater Naples will return all items on
the Inventory Report,as amended,to the County in the same condition in which they were received
by Greater Naples, ordinary wear and tear and natural depreciation excepted, within ten (10)
business days of this Agreement no longer being in effect, unless such items have been surplused
or disposed of and the Inventory Report has not yet been amended to reflect such disposition. Tires
must be in good condition with a minimum average of no less than 7/32"tread remaining. A joint
inspection of the items in the Inventory Report, as amended, must be performed by the Parties

prior to the return of such items to the County. Notwithstanding,the assets on the Inventory Report
that are immediately needed on the date of termination so the County may begin providing services
will be identified at least ten (10) days prior to the termination or expiration date and such items
will be returned to the County at 8:00 am the day following the termination or expiration date,
unless such assets are on an emergency call. This section survives the earlier termination or
expiration of this Agreement.
13. UTILITIES.
Greater Naples will assume all costs associated with utilities,including but not limited to telephone
service, cable, and internet services for facilities while managing the Ochopee MSTU unless
otherwise provided for in a separate leases associated with Collier County Emergency Medical
Services using any of the fire stations. Such utility costs for Stations 60, 61, and 66 are included
within the Pre-Paid Annual Costs.
14. INSURANCE.
A. Coverages. Greater Naples must carry,maintain,and provide current copies to the County,
which are reimbursable by the County, insurance coverage through Greater Naples or from
responsible companies duly authorized to do business in the State of Florida as follows:
1. Commercial General Liability Insurance for Bodily Injury and Property Damage
liability with limits of not less than Three Million and 00/100 Dollars ($3,000,000)
combined single limits.
2. Business Automobile Insurance, including non-owned automobiles, for Bodily injury
and Property Damage liability with limits of not less than Three Million and 00/100
Dollars ($3,000,000) combined single limits.
3. Workers' Compensation Insurance covering all employees as required by statute. The
coverage must include Employer's Liability with a minimum limit of not less than One
Hundred Thousand and 00/100 Dollars ($100,000) per each accident.
4. Fire and Extended Coverage insurance on the building, additions and improvements
located on the premises and all property located on or Station 61 and Station 66
including, without limitation, furniture, equipment, fittings, installations, fixtures
(including removable trade fixtures),personal property and supplies, in an amount not
less than the then-existing full replacement value. The County must be listed as a
Named Insured on said policy. Covered perils must be on an All Risk of Loss basis.
The property insurance policy must be subject to the review and approval of the Collier
County Risk Management Division.
5. Flood insurance on Station 61 and Station 66, additions and improvements located on
the property and all property located on or in the stations, including,without limitation,
furniture, equipment, fittings, installations, fixtures (including removable trade
fixtures), personal property and supplies, in an amount not less than the then-existing
full replacement value. The County must be listed as a Named Insured on said policy.
The flood insurance policy must be subject to the review and approval of the Collier
County Risk Management Division.

6. Insurance policies must also be endorsed to waive any right of subrogation by the
insurance carrier against the parties to the agreement.
B. Self Insured. The amounts and types of insurance coverage must conform to the following
minimum requirements with the use of Insurance Services Office (ISO) forms and endorsements
or their equivalents. If Greater Naples has any self-insured retentions or deductibles under any of
the required coverage, Greater Naples must identify on the Certificate of Insurance the nature and
amount of such self- insured retentions or deductibles and provide satisfactory evidence of
financial responsibility for such obligations. All self-insured retentions or deductibles will be
Greater Naples' sole responsibility.
C. Term of Coverage. Coverage must be maintained without interruption from the date of
commencement of the Agreement until the earlier termination of this Agreement or upon the
transfer of the assets to Greater Naples. If the coverage is not in place on the Effective Date,
Greater Naples has ten(10)calendar days to procure such coverage.
D. Notice. Greater Naples and/or its insurance carrier(s)must provide forty-five(45)calendar
days written notice to the County of any policy cancellation or non-renewal on the part of the
insurance carrier. Greater Naples must also notify the County, in a like manner, within twenty-
four (24) hours after receipt, of any notices of expiration, cancellation, non-renewal or material
change in coverages or limits from its insurer and nothing contained herein shall relieve Greater
Naples of this requirement to provide notice.
E. Claims. Greater Naples must make available to the County, through its records or the
records of their insurer,information regarding a specific claim. Any loss run information available
from Greater Naples or their insurer will be made available to the County upon its request.
F. Station 60. Greater Naples will meet the insurance requirements related to Station 60 in
accordance with the separate agreement with Everglades City related to the use of Station 60.
15. INDEMNIFICATION.
To the extent permitted by law and as limited by and pursuant to the provisions of Section 768.28,
Florida Statutes, Greater Naples and County agree to hold harmless the other, employees and
agents against any and all claims and/or damages by or behalf of any persons, employee or legal
entity arising from their respective negligent acts pursuant to this agreement that allows employees
of the other to occupy and ride in each other's vehicles. Nothing is intended to alter either Party's
immunity in tort or otherwise impose liability on Greater Naples or the County when it would not
otherwise be responsible. This section survives the expiration or earlier termination of this
Agreement.
16. CONSOLIDATION.
Every five (5) years, Greater Naples must perform and submit to the County a fiscal analysis
regarding the consolidation of the Ochopee MSTU into the district. Based upon such analysis,the
Parties may agree to amend this Agreement or enter into a separate agreement to provide for the
consolidation as well as payment to Greater Naples and the transition of ownership of facilities,
apparatus, and equipment if a consolidation occurs.
17. RESOLUTION OF CONFLICTS.

The County Manager and the Greater Naples Fire Chief will amicably attempt to resolve any
conflicts that arise out of this Agreement. If the County Manager and Greater Naples Fire Chief
cannot resolve an item, the Parties will then participate in voluntary mediation in an attempt to
resolve any conflicts. If following voluntary mediation there are any items that have not been
resolved,such items will be brought to a joint meeting of the Board of County Commissioners and
Board of Fire Commissioners for a duly noticed public hearing. Should the matter still not be
resolved, the Parties may agree to an alternate dispute resolution process or file an action in the
Circuit Court of Collier County to enforce the terms of this Agreement.
18. TERMINATION OF AGREEMENT.
Either Party may terminate this Agreement by notifying the other Party in writing no less than
ninety(90)calendar days of its intention to terminate or not renew the Agreement. Following such
notice, the Parties will cooperate to ensure an orderly transition of the Ochopee MSTU back to
County control and management.Greater Naples will continue to manage and operate the Ochopee
MSTU under the terms of this Agreement until a final turnover date is agreed upon by the Board
of County Commissioners and the Board of Fire Commissioners, which may not be more than
ninety (90) calendar days from the date of termination. To ensure that there is not a disruption of
service, the Parties recognize that services will be provided until 8:00 am on the date agreed to as
it is not practical to change fire service providers at midnight. A Party is not required to initiate
the dispute resolution process under Section 17 to terminate this Agreement. Payment to Greater
Naples for this period will continue to be due under Section 4 of this Agreement. This section
survives the earlier termination or expiration of this Agreement.
19. SEVERABILITY.
In the event state or federal laws are enacted after the execution of this Agreement, which are
applicable to and preclude in whole or in part the parties' compliance with the terms of this
Agreement, then in such event this Agreement must be modified or revoked as is necessary to
comply with such laws, in a manner which best reflects the intent of this Agreement.
20. AMENDMENTS.
This is the entire agreement between the Parties with respect to the matters set forth herein, and
supersedes any prior agreements or understandings. This Agreement can only be amended by
mutual written consent of the Parties except that the Inventory Report may be amended in
accordance with Section 10.
21. NOTICES.
All notices and other communications required or permitted hereunder must be in writing and be sent
by Certified Mail, return receipt requested, or by a nationally recognized overnight delivery service,
and addressed as follows:

22. RECORDING.
This Agreement must be recorded by the County in the Official Records of Collier County,Florida,
within fourteen (14) calendar days after the County enters into this Agreement. The County must
provide a copy of the recorded document to Greater Naples.
23. PRIOR AGREEMENTS.
Upon the Effective Date of this Agreement,the Interlocal Agreement for Fire and Rescue Services
dated September 13,2016,which was amended and extended by an agreement dated July 9, 2019,
and by an agreement dated March 24, 2020, will become null and void and of no further force or
effect, having been fully replaced by this Agreement.
24. THIRD PARTY BENEFICIARIES. This Agreement is intended for the benefit of the
Parties hereto. This Agreement does not confer any rights or remedies upon any non-party to this
Agreement, and no third-party has any right whatsoever to enforce any provision of the
Agreement.
