EXECUTIVE SUMMARY
Recommendation to approve an extension for completion of required subdivision improvements associated
with Montiano (PL20140002750) subdivision pursuant to Section 10.02.05 C.2 of the Collier County Land
Development Code (LDC).
OBJECTIVE: To approve an extension for the completion of subdivision improvements associated with the
Montiano, subdivision.
CONSIDERATIONS: On September 8, 2015, the Board of County Commissioners (Board) approved the final
plat of Montiano for recording. The LDC requires that upon approval by the Board of County Commissioners, a
plat must be recorded within 18 months and the associated subdivision improvements must receive final acceptance
within 36 months unless an extension is formally requested and granted by the Growth Management Department.
The plat has been recorded and the required subdivision improvements are substantially complete. On July 22,
2016, the Development Review Division granted preliminary acceptance of the subdivision improvements. There
is a Construction and Maintenance Agreement for Subdivision Improvements and a Performance Bond in place as a
development guarantee. The remaining improvements consist of the final lift of asphalt and a portion of sidewalk.
There are many factors that contribute to delays in construction, most recently the COVID pandemic, hurricanes,
shortage of materials and labor and, in the specific case of Montiano, it also includes a change in developer from
Lennar to Imperial Homes, the company that took over the final stages of this subdivision from Lennar, and
attached is a letter from Imperial Homes that provides an explanation for this extension request.
The developer has requested that the Board approve an extension of the plat improvements' final acceptance
deadline from September 8, 2022, to September 8, 2025. Therefore, the improvements must receive final
acceptance prior to April 11, 2025, if the Board approves this extension. The LDC allows for two, 2-year
extensions after the original 36-month period. As such, the required improvements final acceptance deadline
expired on September 8, 2022. Since this proposed extension is beyond what is allowed by the LDC, approval by
the Board is required.
The property owner has paid all the past fees which would have been paid for normal extensions. All fees
associated with the original approval have been paid.
FISCAL IMPACT: The County will realize revenues as follows:

THIS ASSIGNMENT AND ASSUMPTION OF CONSTRUCTION AND
MAINTENANCE AGREEMENTS FOR SUBDIVISION IMPROVEMENTS (this
"Assignmen ") is made and entered effective as of the �� day of September, 2022 ("Effective
Date"), by and between Lennar Homes, LLC, a Florida limited liability company ("Assigno
and Imperial Homes of Naples, LLC, a Florida limited liability company ("Assignee").
WITNESSETH:
WHEREAS, Lerinar Homes, LLC, a Florida limited liability company, as "Develope ",
and the Board of County Commissioners of Collier County, Florida, as the "Board" are parties to
that certain Construction and Maintenance Agreement for Subdivision Improvements dated
September 8, 2015 associated with Montiano (PL20140002750), (the "Agreement" attached
hereto as Exhibit "A" and by reference made a part hereto); and
WHEREAS, Assignor desires to transfer and assign to Assignee, and Assignee desires to
accept and assume the assignment thereof, all of Assignor's right, title, and interest in and to the
Agreement; and
WHEREAS, Assignee vAshes to furnish and/or replace the Agreement's original
subdivision performance secLaity referenced in paragraph 2 of the Agreement with a replacement
subdivision performance security (attached hereto as Exhibit "B" and by reference made a part
hereof).
NOW, THEREFORE, for and in consideration of the sum of TEN DOLLARS ($10.00)
and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, As�signcc and Assignor agree as follows:
Recitals. The foregoing recitals are true and correct and comprise a part of this
Assignment.
2. Transfer and Assignment of Assignor's Rights. As of the Effective Date,
Assignor does hereby grant, sell, set over, transfer, and assign to Assignee, and to Assignee's
successors and assigns, all of Assignor's rights, titles, interest, powers, privileges, benefits, and
obligations (as Developer) in, to and under the Agreement.
3. Acceptance and Assumption by Assignee. Assignee hereby accepts such
assignment of the above -referenced rights, title, interest, powers, privileges, benefits, and
assumes and agrees to perform, fully, timely and in accordance with the terms and conditions of
the Agreement, the obligations of Assignor (as Developer) in, to and under the Agreement.
including posting its alternate security in the current amount of $168,017.50 in favor of Collier
County within five (5) days from the execution of this Assignment. The parties agree that failure
to post the alternate security under the Agreement shall be a default under the Agreement and the
Agreement shall terminate.

4. Indemnification. Assignee hereby indemnifies and holds Assignor harmless from
any and all liability, claims, actions, suits or demands by any person, corporation or other entity
arising under the Agreement, including but not limited to any damage or loss from a claim on the
bond by Collier County for Assignee's failure to fulfill any of the obligations assumed under this
Assignment.
5. Further Assurances. The parties hereto covenant and agree to execute all such
further instruments and take such further action as reasonably required by either Party or the
Board to further effectuate this Assignment and the transactions contemplated herein.
6. Survival of Provisions. The covenants, representations, and obligations contained
in this Assignment shall survive the consurnmation of all transactions contemplated herein, and
this Assignment shall bind and inure to the benefit of the parties hereto and their respective
successors and assigns.
7. Authorization. The undersigned represent and warrant that they have the authority
to sign on behalf of the parties and that all necessary consents, if any, have been obtained.
8. Counterparts. This Assignment may be executed in one or more duplicate
counterparts, each of which shall, upon execution by all parties, be deemed to be an original.

County, Florida, hereinafter referred to as the "Board.
RECITAL&
A. Developer has, simultaneously with the delivery of this Agreement, applied for the approval by the
Board of certain plat of a subdivision to be known as: m---
B. Chapter 4 and 10 of the Collier County Land Development Code required the Developer to post
appropriate guarantees for the construction of the improvements required by said subdivision
regulations, said guarantees to be incorporated in a bonded agreement for the construction of the
required improvements.
NOW, THEREFORE, in consideration of the foregoing premises and mutual covenants hereinafter set
forth, Developer and the Board do hereby covenant and agree as follows:
1 . Developer will cause to be constructed: Roadway. drainage. water & sewer improvements
within 12 months from the date of approval said subdivision plat. said improvements
hereinafter referred to as the required Improvements.
2. Developer herewith tenders its subdivision performance security (attached hereto as Exhibit "A" and
by reference made a part hereof) in the amount of $ 1,303.27ZOO - which amount represents 10% of
the total contract cost to complete the construction plus 100% of the estimated cost of to complete
the required improvements at the date of this Agreement.
3, In the event of default by the Developer or failure of the Developer to complete such improvements
within the time required by the Land Development Code, Collier may call upon the subdivision
performance secu6ty to insure satisfactory completion of the required improvements.
4. The required improvements shall not be considered complete until a statement of substantial
completion by Developers engineer along with the final project records have been furnished to be
reviewed and approved by the County Manager or his designee for compliance with the Collier
County Land Development Code.
5. The County Manager or his designee shall, within sixty (60) days of receipt of the statement of
substantial completion, either: a) noth"y the Developer in writing of his preliminary approval of the
improvements; or b) notify the Developer in writing of his refusal to approve improvements.
therewith specifying those conditions which the Developer must fulfill in order to obtain the County
Manager's approval of the improvements. However, in no event shall the County Manager of his
designee refuse preliminary approval of the improvements if they are in fact constructed and
submitted for approval in accordance with the requirements of this Agreement.
6. The Developer shall maintain all required improvements for a minimum period of one year after
preliminary approval by the County Manager or his designee. After the one year maintenance period
by the Developer has terminated, the Developer shall petition the County Manager or his designee to
inspect the required improvements. The County Manager or his designee shall inspect the
improvements and. if found to be still in compliance with the Land Development Code as reflected by
final approval by the Board, the Board shall release the remaining 10% of the subdivision
performance security, The Developer's responsibility for maintenance of the required improvements
shall continue unless or until the Board accepts maintenance responsibility for and by the County,

Six (6) months after the execution of this Agreement and once within every six (6) months thereafter
the Developer may request the County Manager or his designee to reduce the dollar amount of the
subdivision performance security on the basis of work complete, Each request for a reduction in the
dollar amount of the subdivision performance security shall be accompanied by a statement of
substantial completion by the Developer's engineer together with the project records necessary for
review by the County Manager or his designee. The County Manager or his designee may grant the
request for a reduction in the amount of the subdivision performance security for the improvements
completed as of the date of the request
8. In the event the Developer shall fail or neglect to fU

Please be advised that based on the work completed and inspected to date, the subject Letter of
Credit may now be reduced by $1,070,765.61, leaving an available surety of $232,506.39. The
remaining surety represents $114,027.09 in uncompleted improvements, plus the 10%
maintenance security of $118,479.30.
An original Amendment should be submitted to this office reducing the value of the security, "all
other terms and conditions of the original Letter of Credit to remain in full force and effect".

This letter is in regards to the permit extension for the Treviso Bay Peninsula
Project. We understand that this will be going up for review with the County
Commissioners for approval.
We have been asked to state why we are asking for another extension for
this project. Imperial Homes of Naples LLC has only just recently aquired
and purchased the land development portion of this build. Besides only
recently officially taking this project over from Lennar, there were issues
like COVID impacting sales, as well as labor shortages and problems
obtaining the necessary materials during this time period. Then we had a
major hurricane that effected the work force and caused material shortages,
yet again.
Our projected completion date is approximately one year from now
3/15/2024.

conditions of the Collier County Land Development Code Section 10.02.OS C.2.a for an
extension of the above referenced petition.
The request for the extension of PL #-20140002750 for the property as addressed in your
letter has been reviewed pursuant to the terms and conditions of Section 10.02.04 B.7.b of the
Collier County Land Development Code which vests Final Subdivision Plat extension approval
authority with the County Manager or his designee. Based on our review of the original
petition approved for the project, the content of the extension request letter and the
provisions of the Land Development Code, be advised that PL #-20140002750 is hereby
extended for a period of two (2) years with a revised expiration date of September 9, 2020.
