WHEREAS, the Parties desire to amend the Agreement to reflect a price increase to all fees included in the Agreement, except the hauling rates from a DMS, by 6.4544% effective as of the full execution of this First Amendment and as set forth on the attached Exhibit A Rate Schedule. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, it is agreed by the Parties as follows: 1. The above recitals are hereby incorporated into this First Amendment as if fully set forth herein. 2. Revised Exhibit A - Fee Schedule is attached hereto and incorporated herein, showing rates reflecting a 6.4544%increase of those found in the Agreement, except the rates for hauling from a DMS which will remain the same as the original rates, to be effective upon the execution of this First Amendment. 3.
