16.E.2 02/28/2023 EXECUTIVE SUMMARY Recommendation to approve an Assumption Agreement assigning all rights, duties and benefits, and obligations to CivicPlus, LLC, concerning Agreement #92-1913 "Recodification Agreement". OBJECTIVE: To continue access to monthly electronic updates (printed supplements on a semiannual or annual basis) to the Code of Laws and Ordinances and the Land Development Code (LDC) and continue the proof requirement for the Land Development Code. CONSIDERATIONS: Effective as of September 22, 1992, the Board of County Commissioners awarded Agreement No. 92-1913, "Recodification Agreement" with Municipal Code Corporation ("Municode") for services to the County Attorney's Office (the "Agreement"). Pursuant to the terms of acquisition, dated as of August 24, 2021, by and among CivicPlus, LLC, a foreign limited liability company registered to transact business in Florida, acquired all of Municode's assets; and further represents and warrants to the County that they are now the successor in interest to the Agreement with the County. Staff obtained documentation of the acquisition, along with other necessary business documents from CivicPlus, LLC, which have been reviewed and accepted by the County Attorney's Office. Staff is recommending approval of the attached Assumption Agreement with CivicPlus, LLC, assigning all rights, duties, benefits, and obligations under Agreement, including any amendments thereto. FISCAL IMPACT: The Assumption of the referenced agreement does not incur any additional financial obligation to the County. GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with the Assumption of this agreement. LEGAL CONSIDERATIONS: This item has been reviewed by the County Attorney, is approved as to form and legality and requires majority vote for approval. -JAK RECOMMENDATION: To approve an Assumption Agreement assigning all rights, duties and benefits and obligations to CivicPlus, LLC, under Agreement #92-1913, "Recodification Agreement" and authorize the Chairman to sign the attached Agreement.
