I: Purpose: The purpose of this Agreement is made this 134 day of De emiec, 2022, between NCH
Healthcare System (hereinafter " Agency"), and Collier County Bureau of Emergency Services
(hereinafter"County"). This agreement will be implemented under the partnership of the Bureau
of Emergency Services,which manages the radio system for Collier County.
II: Statement of Basic Responsibilities:
A. The Bureau of Emergency Services (BES) operates under the County Manager's office,
formally establishes this Agreement with NCH allowing it to utilize mutually agreed to
talkgroups for voice radio communications,the Bureau of Emergency Services imposes
certain protocols, procedures, and obligations upon jurisdictions hereby authorized to
use NCH Talk Groups. The parties hereto agree to the requirements detailed in this
agreement.
The parties shall follow all policies and standard operating procedures in place at the time
of this agreement as well as those developed in the future and issued by the Bureau of
Emergency Services.
Definitions:
a) AGENCY—NCH Healthcare Systems
b) BES —Bureau of Emergency Services
c) P25 Radio subsite—The L3Harris 800Mhz P25 radio system subsite equipment
d) LMR—Land Mobile Radio
e) Personality—A Computer generated file that is downloaded into the radio and contains
data that directs certain operating characteristics of the radio
f) Talk Group — an assigned group on a trunked radio system where users can
communicate
g) LID —Logical Identification
h) RF---Radio Frequency
HI: Bureau of Emergency Services Responsibilities as related to NCH(AGENCY):
A. Provide L3Harris P25 Public Safety 800Mhz trunked radio system in Collier County.
B. Create and coordinate communications talk groups.
C. Provide LIDs to access the radio system for up to 200 radios at no charge to NCH Healthcare
System.
D. Provide updated RF personality information, as changes dictate

IV: Guidelines: While operating on the Collier County Radio System,AGENCY is subject to the
following requirements and guidelines:
[
1. AGENCY agrees to comply with all Bureau of Emergency Services enforcement actions
required by policy or procedure for misuse or abuse of the talk groups,
2. AGENCY agrees to continue to host a P25 Radio subsite at their 350 7th St North Naples, FL
at no cost to the Bureau of Emergency services.
3. AGENCY is to provide site space in accordance with County needs. Site space includes all
antenna systems and or fiber/ethernet access to ensure normal operations of the P25 Radio
subsite.
4. AGENCY agrees to take responsibility for all P25 Radio Subsite equipment by ensuring
that the necessary measures are taken to safeguard the equipment from loss, theft, or
damage. Acts of God are excluded from this agreement.
5. AGENCY is to provide all electricity including generator backup and HVAC site cooling as
required by the equipment manufacture.
6. AGENCY to provide 24 x 7 access to the County and its subcontractors to install and
maintain the P25 Radio subsite in coordination with the AGENCY. BES or designated
County representative will provide advanced notice to the AGENCY prior to all scheduled
onsite work. Emergencies may require notice to the AGENCY upon site arrival.
7. Use of the Talk Groups shall be limited solely to communications relating to
professionally related business practices. Proper FCC and County radio protocols must
be adhered to at all times.
8. All radio personality changes/modifications must be approved by BES prior to deployment
of New Talk Group names, and Aliases. LIDs must be assigned by BES prior to changing,
adding, or deleting subscriber equipment.
9. AGENCY shall not utilize duplicate LID numbers already issued to a specific subscriber
radio including retiring subscriber equipment. All change requests must be communicated to
BES. AGENCY is not authorized to program radios for any other group or municipality
and is required to use the County's designated service organization(s).
10.AGENCY will only utilize LIDs/lD numbers assigned by BES as part of this agreement.
AGENCY shall provide BES with a list of personnel authorized to request activation or
deactivation to existing subscriber units or adding new subscriber radios.
11. In the course of sharing information, AGENCY may receive certain access codes,
frequencies, system parameters, etc., to the County's 700/800 MHz radio system to
enable the talk groups to be programmed into their subscriber equipment. The access code
and other information are to be treated as confidential and homeland security protected
information and AGENCY is responsible for safeguarding the code information from
release. AGENCY is not authorized to release this information to anyone including outside

agencies, non-AGENCY employees, Internet bios, web sites, publications or to
amateur radio operators or amateur radio clubs.
12.All written and oral information not in the public domain or not previously known, and
all information and data obtained, developed, or supplied by BES will be kept confidential
by AGENCY and will not be disclosed to any other party, directly or indirectly, unless such
disclosure is required by law or lawful order. In no case shall the information be
released without BES's prior written consent. All the information as described above shall
be and remains the County's property and may only be reproduced or distributed with
written permission of BES.
13. BES may approve programming of subscriber equipment by an authorized reseller or
manufacturer of subscriber equipment upon review of whether the contract terms
between the AGENCY and the commercial service provider, are adequate to protect the
BES Talk Groups from misuse, harm, or release of access and programming codes
and radio use.
14. AGENCY will be responsible for ensuring that the commercial service provider adheres to
the terms of this agreement pertaining to the proper use of access/programming codes and
radio use.
15. During the annual NCH Radio Inventory, a physical inspection of all approved assets may
be necessary and such inspections shall be allowed by AGENCY. Additionally, each
agency will provide a database file, which will be used for reconciliation purposes.
16. AGENCY will be responsible for maintaining a current account of all personnel who are
assigned and possess a radio that operates on the NCH Talk Groups,and to forward that
Information within 24 hours or as reasonably as possible to BES. All verbal
communications shall be confirmed in writing.
17. In the event that a radio programmed with the NCH Talk Groups is lost, stolen, or
missing, the BES shall be notified immediately at (239) 252-8380 outside of normal
working hours and (239) 252-8908 during normal working hours. BES personnel will
disable the affected radio.
18. AGENCY will be responsible for all programming, maintenance, and/or repair costs to any
radio equipment owned by AGENCY. Private contractors hired to perform the services
described above, will be required to sign an agreement not to disclose the radio
personalities the AGENCY is authorized to utilize.
19. AGENCY agrees not to sublet their subscriber radios with the NCH template to any
individual, agency, or organization without prior written consent from BES.
20. Private calls shall not be allowed under any circumstances.
21. Communications International will develop the radio personality, which will not be altered
or changed when issued to AGENCY. Radio personalities must be mutually agreed by
AGENCY and BES before being loaded into any AGENCY radio. All minor changes and
global changes will be completed in a mutually agreed time frame. As it relates to changes,

the time frames are reciprocal to both agencies. AGENCY agrees to always follow proper
FCC and County radio protocols.
22. Approval of additional radio unit activation shall include but not be limited to the
outcome of Grade of Service(GOS) studies,which shall be performed by BES. The
GOS is a way of assuring that the additional devices will not adversely affect current
communications on the NCH Talk Groups.
23. At the County's sole discretion, improper use of radio that is discovered as
affecting Collier Counties P25 Radio system performance or in an unauthorized
manner may result in the suspension of subscriber radio. AGENCY management will
be notified immediately upon discovery of improper radio use in writing.
24. AGENCY shall not connect NCH Talk Group audio to any external source including
telephony, or internet for monitoring purposes.
25. Only equipment authorized by BES is approved to operate on the NCH Talk Groups.
In order for equipment to be added to the authorization list,equipment must undergo
testing to ensure its compatibility and its impact. Currently, the following radio types
are authorized for use on the County system:
a. Harris XG-75P/ XG-75M
b. Harris XL-200P
c. Harris XL-185M
d. Harris Unity Multi Band
e. Motorola APX Mobile & Portable Line
f. Tech isonic TDFM
26. AGENCY shall only utilize approved NCH Talk Groups and encryption keys in radios
specified in Appendix A of this Agreement.
V: Effective Date,Automatic Renewal, and Modification: To the extent permitted by law
and as limited by §768.28, Florida Statutes, each party shall assume the liability arising from
acts taken by its personnel pursuant to this Agreement. In no event shall a party be liable for
acts, omissions, or conduct of the officers, employees, or agents of the other participating
party of this Agreement and neither party intends a waiver of sovereign immunity, or the
limits provided by §768.28,Florida Statutes.
VI: Termination: This Agreement shall be effective from the date specified in the
opening paragraph until terminated at any time by either Party. This Agreement may be
modified at any time by the mutual written consent of the Parties.
