Office of the Clerk of the Circuit Court & Comptroller of Collier County 3299 Tamiami Trail, Suite #401 Naples, FL 34112-5324 www.CollierClerk.com i I 6 E4 SECOND AMENDMENT TO AGREEMENT#16-6646 FOR ONSITE HEALTH ADVOCACY COACHING SERVICES THIS SECOND AMENDMENT, made and entered into on this 1 day of Q F tM t Cr2022,by and between Naples Physician Hospital Organization,Inc.d/b/a Community Health Partners(the "CHP" or"Contractor") and Collier County, a political subdivision of the State of Florida, (the "County") (collectively the "Parties"): WHEREAS, on October 11, 2016, (Agenda Item 16.E.12), the County entered into an Agreement #16-6466 "OnSite Health Advocacy Coaching Services" (the "Agreement") with Contractor to provide onsite health advocacy coaching services to members covered under the Collier County Group Health Plan; and WHEREAS, on October 8, 2019 (Agenda Item 16.E.4), the First Amendment to the Agreement was approved to modify the term to coincide with pricing provided in Exhibit B-Fee Schedule for January 1, 2021 —December 31, 2022; and WHEREAS, the Parties desire to amend the Agreement to: (i) extend the Agreement term for an additional three (3) years starting on January 1, 2023 and ending on December 31, 2025 with two additional one-year renewal options to include fees for the extension and renewal periods, (ii)add Data Analytics Software and associated unit price, and (iii) allow unit pricing as an additional price methodology under the agreement. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, it is agreed by the Parties as follows: 1. The above recitals are hereby incorporated into this Second Amendment as if fully set forth herein. 2. The term of the Agreement is hereby extended for an additional three years effective on January 1, 2023 and ending on December 31, 2025 with two additional one-year renewal options, and the updated service fees referenced below commencing as of that same effective date. 3. Section 3. THE AGREEMENT SUM, Subsection 3.1 Price Methodology shall include the following language shown in underlined. Unit Price: The County agrees to pay a firm total fixed price (inclusive of all costs, including labor, materials, equipment, overhead, etc.) for a repetitive product or service delivered (i.e. installation price per ton, delivery price per package or carton, etc.).
