WHEREAS, on October 13, 2020 (Agenda Item 11.B.), the County entered into a Contribution Agreement (the "Agreement") with CGNU related to its intention to construct a regional Uline Corporation distribution facility located within the City Gate Commerce Park PUD and adjacent to the County's Paradise Coast Sports Complex; and WHEREAS, CGNU recently approached the County with an offer to amend the Agreement that reduces the County's cost of paying for improvements CGNU agreed to construct upon land that it previously agreed to dedicate to the County; and WHEREAS, by eliminating the current more costly tax increment financing repayment arrangement under the Agreement, in exchange for the County making a one-time payment reimbursement to CGNU in an amount not to exceed $575,000.00 for CGNU's actual cost of constructing landscaping, conduit, and shade structures upon land to be dedicated to the County, the County can realize savings of approximately$900,000.00 in tax increment financing payments that is presently required under the Agreement; and WHEREAS,there is a public benefit in amending the Agreement in a manner that will result in a substantial savings of public dollars, as well as a reciprocal benefit to CGNU so that it can timely proceed with the construction and expedite the completion of its development project; and WHEREAS,the Parties agree to amend numbered paragraph four of the Agreement so that the County's financial responsibility for all improvements CGNU has a duty to construct for the benefit of the County is reduced as more fully set forth below. NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, and other good and valuable consideration,it is agreed by the Parties as follows: 1. The above recitals are incorporated into this amendment as if fully set forth herein 2. Numbered paragraph 4 of the Contribution Agreement is hereby amended, revised, and replaced in its entirety as follows: 4. As consideration for all of the improvements to be constructed by Purchaser for the benefit of the County as described herein, the County will reimburse Purchaser its actual costs of installing the landscaping, conduit, and shade Page I of 3 First Amendment to Contribution Agreement City Gate Naples,LLC CAo 16C structure improvements on the land to be dedicated to the County from Purchaser as provided herein, in an approximate amount not to exceed $575,000.00, upon receipt of the Purchaser's invoice showing the successful completion of that work, and within 30 days following the dedication of the land described herein to the County. All actual costs must he verified and approved by the County Engineer as commercially reasonable as to the construction of any improvements contemplated herein. 3. All other terms and conditions remain the same.
