EXECUTIVE SUMMARY
Recommendation to continue with the standardization of licensing and support services for the
Public Utilities Department’s Supervisory Control and Data Acquisition Systems (SCADA) with
GE Digital, LLC, and Gray Matter Systems, LLC, by extending Agreement Numbers 17-7189 and
17-7189-NS for an additional five years and approving the expenditures under the approved
waivers for standardization.
OBJECTIVE: To approve an extension to current agreements with GE Digital, LLC (formally known as
GE Intelligent Platforms, Inc., hereafter “GE Digital”) and Gray Matter Systems, LLC (hereafter “Gray
Matter”) for an additional five years, and provide for a renewal term price adjustment and revised scope
for Gray Matter’s services.
CONSIDERATIONS: On December 12, 2017 (Agenda Item 16.C.1), the Board approved the
standardization of the existing software licensing and support services with GE Digital and Gray Matter
for Programmable Logic Controller (“PLC”) based SCADA systems, and awarded contracts to GE
Digital for “GE Digital Master Products and Services Agreement (MPSA)” and Gray Matter for “SCADA
Licensing and Support” under Agreement Nos. 17-7189 (the “Agreements”).
The Public Utilities Department utilizes PLC-based SCADA to operate, control, monitor, and maintain all
critical and dynamic processes required to provide and sustain compliant water delivery and wastewater
reclamation at six treatment plants (two water, four wastewater), in two pressurized distribution systems
(potable water and irrigation quality water), and at the Collier County Landfill. These facilities operate
24 hours per day, 365 days per year and it is critical that current levels of performance, reliability, and
life-cycle costs are maintained over the installed base of 75 licenses, numerous operator interfaces, 30,000
active database tags, and eight SCADA systems.
In researching this service, staff discovered Miami-Dade County's decision to remain with its current
vendor on June 2, 2021 (Miami-Dade Agenda Item No. 8.F.10) on a $26,479,072.00 contract award to
upgrade its existing SCADA system. Although Miami-Dade’s own public procurement process identified
a number of companies that provide SCADA systems, it concluded that not all SCADA systems are inter-
operable and that completely changing systems would require a significant transition time and could
create risks in properly maintaining the system that could ultimately result in health risks. For similar
reasons, staff believes it is in the best interest of the County to continue services with GE Digital and
Gray Matter.
As cyber security abuses increase, new vulnerabilities are defined, and communication and technology
standards evolve, mission critical software must adapt and promptly address current needs. Staff is
recommending that the Board approve amendments to the existing agreements with GE Digital and Gray
Matter to extend the termination date for an additional five years. Staff contends that extending the
agreements with these vendors, which have provided consistent reliable service, will: (1) provide
assurance that the software is maintained in compliance with all required regulations, and (2) that the
renewal will also allow the Public Utilities Division to maintain software platforms that conform with the
guidelines of Homeland Security for critical infrastructure.
GE Digital is a single source provider for software licensing and customer support for its iFix SCADA
system. The County’s Agreement with GE Digital covers all 75 installed licenses and provides access to
critical system updates as needed. The iFix SCADA software has been utilized by the County since 2002.
The Agreement provides for annual license fees and support services, with the annual dollar amount
subject to an increase based on the number of licensing units issued. The attached proposed First
Amendment to the Agreement with GE Digital extends the term of the agreement for an additional five
years commencing December 12, 2022 and continuing through December 11, 2027.
Gray Matter is an Authorized GE Digital Software Representative in Florida assigned by GE Digital to
provide service and support to the County’s multiple third-party SCADA software systems that interface

with GE Digital’s iFix systems. The County has used this software since 2002 . Systems licenses
provided by Gray Matter Systems include Win-911 (the emergency notification software) and XL
Reporter (an application used to create/generate standardized reports). Further, the Gray Matter
Agreement provides continued technical support and management of all reporting applications, network
management applications, and emergency notifications at each plant, as well as hardware, management,
and services for critical cellular wireless backup solutions for SCADA.
The attached proposed First Amendment to the Agreement with Gray Matter extends the term of the
agreement for an additional five years commencing December 12, 2022 and continuing through
December 11, 2027. Gray Matter has held its service experts’ rates for the past five years and requested
a minimal increase of 3% to 7% for the six titles of experts listed on the Fee Schedule to the Agreement.
The Amendment incorporates a new Fee Schedule allowing for this nominal rate increase in conjunction
with extending the Agreement term effective December 12, 2022. Lastly, the Amendment provides
further clarification regarding the Statement of Work to be provided by Gray Matter.
Section Eleven, sub-paragraph 11, and Section 18 of the Collier County Procurement Ordinance 2017-08,
as amended, allows the Board to make a finding that it is in the best interest of the County to continue
with the standardized licensing and support services with GE Digital and Gray Matter Systems for the
PUD’s Supervisory Control and Data Acquisition Systems, notwithstanding that other competitive
sources may be available.
FISCAL IMPACT: The annual cost for services provided by GE Digital and Gray Matter Systems has
averaged $320,000 over the last three years, however, the actual fiscal impact will depend on the number
of required repairs and installations of new assets. With the continued growth of the County, staff
anticipates spending to not exceed $250,000 per fiscal year for GE Digital and $350,000 per fiscal year
for Gray Matter Systems. Funding is provided in the Water User Fee Capital Fund (412) Project 71056,
Wastewater User Fee Capital Fund (414) Project 72541, and Operational Funds for Water & Wastewater
(408) and Solid Waste (470).
GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this
Executive Summary.
LEGAL CONSIDERATIONS: This item is approved as to form and legality, and requires majority
vote for Board approval.-SRT
RECOMMENDATION: That the Board approve the attached First Amendments to Agreements Nos.
17-7189 to continue with the standardization of licensing and support services with GE Digital, LLC, and
Gray Matter Systems, LLC, for the Public Utilities Department’s Supervisory Control and Data
Acquisition Systems for an additional five years, to adjust the fee schedule and clarify the Statement of
Work for Gray Matter Systems, LLC, as well as approve the expenditures under the approved Waivers,
and authorize the Chairman to sign the attached amendments.
