EXECUTIVE SUMMARY
Recommendation to authorize the County Manager, or his designee take whatever action is necessary
to convey the 6.38 acre "lake expansion parcel" (Tract RL-2) located abutting the County's Sports
Complex and Special Events Center (n/k/a as the "Paradise Coast Sports Complex") to the City Gate
Community Development District, as allowed by the Board approved Contribution Agreement.
OBJECTIVE: To provide for maintenance of the lake, as expanded, under the water management
permit issued to the City Gate Community Development District ("CDD") that will eliminate County's
responsibility and liability for the lake expansion located abutting the County's Sports Complex and
Special Events Center ("Sports Park").
CONSIDERATIONS: On October 13, 2020 (Agenda Item 11B), the Board approved a Contribution
Agreement ("Agreement") with CGNU providing for three land dedications to County. Section 3 (b)(iii)
of the Agreement requires that two of the dedications (Grass Parking and Fitness Area) will be made upon
City Gate's completion of certain construction activities. CGNU was the purchaser of 102.25+/- acres in
the City Gate Commerce Park PUD in 2020 and is the real estate holding entity for the Uline Corporation,
which will be the end user of the 936,000 square foot distribution center now under construction.
The third dedication is for the 6.38 lake expansion parcel which is the subject of this executive summary.
A map showing the lake expansion parcel is back-up to this item.
Section 3 (b)(iii) of the Agreement provided, in pertinent part:
(b) Within 180 days after completion of the items set forth in Section 3(a) above,
Purchaser [ CGNU] will dedicate at no cost to the County the areas described in
subsections (i)-(iii) below, each as marked on Exhibit A, which areas have the following
land values:
(iii) Area A (lake expansion), with a land value of $2,654,230 ($446,089 an
acre). The reconfigured lake will be dedicated to the County or, at the County's request,
to a third -party entity such as the Community Development District (CDD) for the
enjoyment of all parties whose property abuts the lake.
The County hereby accepts all of the lands dedicated by Purchaser pursuant to
subsections (i)-(iii) above. After such dedications, Purchaser shall have no liability with
respect to such areas.
By email, copy attached, the chair of the CDD Board of Supervisors approached staff requesting that the
lake expansion be conveyed to CDD instead of County. Staff has reviewed the request and supports it
because it will eliminate County's responsibility and liability for the lake, as expanded, at the Sports Park
and it will allow the CDD to maintain the lake, as expanded, under its existing stormwater management
permit.
If the expansion parcel is dedicated to the CDD, the County as a property owner within the boundaries of
the CDD will only be responsible for its pro rata share of the cost of the maintenance of the lake
expansion.

The lake at the Sports Park is not suitable for water events. These events will continue to be held at
County owned Sugden Regional Park.
FISCAL IMPACT: The approval of this item will result in an approximate cost savings to the County of
$20,168.60 ($30,820.00 lake maintenance cost * 65.44% [portion paid by other members] = $20,168.60)
on an annual basis.
GROWTH MANAGEMENT IMPACT: There is no impact on the County's long-range planning
effort.
LEGAL CONSIDERATIONS: This item has been reviewed by the County Attorney, is approved as to
form and legality and requires majority vote for approval. -JAK
RECOMMENDATION: To authorize the County Manager, or his designee take whatever action is
necessary to convey the "lake expansion parcel" (Tract RL-2) located abutting the County's Sports
Complex and Special Events Center (n/k/a as the "Paradise Coast Sports Complex") to the City Gate

CONTRIBUTION AGREEMENT
THIS CONTRIBUTION AGREEMENT (this "Agreement") is made and entered into this
day of October, 2020, by and between CITY GATE NAPLES, LLC hereinafter referred to as "Purchaser",
whose address rs 575 Udine Dr., Pleasant Prairie, WI 53158, and The Board of County Commissioners
of Collier Cpj y; -Florida, as the governing body of Collier County, hereinafter referred to as "County".
RECITALS•

WHEREAS-P6rchaser is proposing to build a regional distribution facility within the City Gate
PUD adjacent to the C 's Sports and Special Events Complex ("Complex") and, through a two -phased
acquisition of land beitt pursuant to a purchase agreement executed as of July 9, 2020, has legal
control over approximately 79.78 acres of property in unincorporated Collier County, Florida, on which the
Purchaser will need to construct both on -site and off -site improvements to meet the needs of the Purchaser,
as generally identified on the map attached hereto as Exhibit A (hereinafter referred to as the "Project"),
which Exhibit A may be updaied tdke effective date of this Agreement to reflect the agreement of

2. Purchaser will acquire all of the property (78.79 acres) shown as colored areas on Exhibit
A except for Area B. This Agreement will become null and void if Purchaser does not acquire such property
prior to December 31, 2021.
3. (a) Purchaser, at its sole cost and expense, will design, permit, and construct the
building depicted on Exhibit A, construct and manage the reconstruction of the southwest corner of the

Complex shown as Area B on Exhibit A, expand the existing lake to the area shown as Area A on Exhibit

maintain and manage Areas K, L and N on Exhibit A. Purchaser shi nqt be responsible for the payment
of any taxes related to those areas, but shall continue to have a right ofacxess thereto to install and maintain
the landscaping thereon as it deems necessary in its reasonable discretion so long as it does not unreasonably
interfere with the intended uses shown on Exhibit A. . 'N
(d) Purchaser agrees not to build any improvements on Area-M s on Exhibit A, and to
landscape and maintain such area as Required Yard (as defined in Exiul to the Planned Unit
Development Document for City Gate Commerce Park, as amended, which=lent has been adopted
by the Board as Ordinance No. 2020-13).
4. As consideration for all of the improvements to be constructed by Purchase for the benefit
of the County as described herein, the County will reimburse Purchase through a tax increil6t financing
(TIF) arrangement within twelve (12) months after the improvements are complete. The amount of the
reimbursement shall be equal to (a) the total value of Purchaser's actual costs of the improvements
constructed pursuant to Section 3(c)(i) hereof, plus (b) two-thirds of the actual costs of the improvements
constructed pursuant to Section 3(c)(iv) hereof exclusive of the actual cost to relocate the driveway
(estimated at $548,004) and the actual cost of demolition (estimated at $76,021), less (c) the amount of
savings for discounted fill received by Purchaser pursuant to Section 8 below. All actual costs must be
verified and approved by the County Engineer as commercially reasonable, provided that the County's
verification and approval of such costs shall not unreasonably delay Purchaser in its construction of any
improvements contemplated herein.

5. The building to be constructed by Purchaser in the location shown on Exhibit A. a rendering
of which is attached hereto as Exhibit B, shall be constructed in accordance with Purchaser's typical
building standards and appearance.

development pb�m doing permits, and other submittals made by the Purchaser on a ten (10) business
day cycle. The Purcer acknowledges that concurrent reviews may require additional time in order to
have the plans be eonsiste t with each other, provided that the County agrees to exercise its best efforts to
limit its focus on anysti&concurrent reviews solely to making the plans consistent and not to raise any
new issues during such reviews.
(b) If the County (i) does not issue a building permit for Purchaser to construct a building
substantially consistent with its prototypical facility as shown on Exhibits A and B attached hereto or (ii)
does not approve the Phase N Plat associated with Purchaser's redevelopment plans, which Plat shall
include but not be limited to the relo of City Gate Boulevard South as shown on Exhibit A and
otherwise substantially conform to Li xhibi A attached hereto, then all of Purchaser's obligations under

9. The County conceptually consents to Purchas&'s location of the City Gate Boulevard

Exhibit A all the way up to the boundary of the area marked as Area K on Exhibit A. with no setback
restrictions, and to landscape such Area K as Purchaser deems necessary in its reasonable discretion so long
as such landscaping does not interfere with the County's intended parking spaces in such Area K; and (b)
landscape the area adjacent to the path around the expanded lake described in Section 3(a) above, all the
way up to the fence line with no setback restrictions. The intent of this provision is to enhance the existing
landscaping required by code and not to circumvent any code requirements.
12. The terms and conditions of this Agreement shall be binding upon, and the benefits of this
Agreement shall inure to, all successors in interest to the parties to this Agreement, including the City Gate

Association. Except as otherwise provided herein, this Agreement shall only be amended or cancelled by
mutual written consent of the parties hereto or by their successors in interest.
13. Purchaser acknowledges that the failure of this Agreement to address any permit,
condition, term or r tnction shall not relieve either the applicant or owner, or their successors or assigns,
of the necessr plying with any law, ordinance, rule or regulation governing said permitting
requirements, con '„ bns,, terms or restrictions.
14. In the eves otate or federal laws are enacted after the execution of this Agreement which
are applicable to and precludein whole or in part the parties' compliance with the terms of this Agreement,
then in such event this Agreement shall be modified or revoked as is necessary to comply with such laws,
in a manner which best reflects the intent of this Agreement. This Agreement shall not be construed or
characterized as a development a ent under the Florida Local Govemment Development Agreement
Act. ,.

AND ACCESS, WITH RESPONSIBILITY FOR MAINTENANCE.
See attached City Gate Commerce Park Phase Three Replat No.4 (Page 1) with above dedications highlighted.
So, the "reconfigured lake" has been dedicated to the County, the City Gate POA and the City Gate CDD for drainage,
maintenance, access, and recreation. This plat was done prior to the second closing.
While the October 2020 Uline Contribution Agreement indicates the land value of the lake expansion area was $2,654,230, that
would be on a cost approach basis.
With the plat dedications and the obligations of the SFWMD ERP permit, this property has little to no market value.
Also, attached hereto please find a portion of the backup for the City Gate CDD September 2021 budget meeting. The Backup
is regarding the relocation of lights and installation of the relocated lights and new lights around Tract RL-2. The FPL lease
agreement is with the City Gate CDD.
On behalf of the City Gate CDD, I reiterate the request that the County consent to City Gate Naples, LLC (Uline) transfer the fee
ownership of Tract RL-2 to City Gate CDD, rather than the County. This would merge the ownership of Tract RL and Tract
RL-2 so that the entire lake would be common property of the community property and the maintenance of assessed to the CDD
owners.
The above will not affect the planned transfer of Lot 11 (grass parking) from City Gate Naples, LLC ("Uhne") to Collier
County. The transfer Lot 11 from City Gate Naples, LLC ("Uhne") to Collier County will shift 3.69 acres (1.78% of the CDD
O&M Assessment) from City Gate Naples, LLC ("Uhne") to the County, as it will increase the Collier County Sports Complex
property from 67.93 acres to 71.62 acres. The FY2022 Annual Assessment for Lot 11 was $5,426.71. City Gate Naples, LLC
("Uhne") has paid the 1 et Quarter (October 21 — December 21), the second quarter (January 22 — March 22) and the third
Quarter (April — June).

Uline paid $27,507,566.75 at the October 2020 Closing and paid $17,861,945.00 at the December 2020 Closing.
Uline acquired 102.25 acres (Lot 7 - 22.90 acres, Lot 8 — 8.00 acres, Lot 9 — 61.28, Lot 11— 3.69 acres and Tract RL-2 - 6.38 acres).
