WHEREAS, Trustee has acquired 1,061.5 acres, located in Collier County, Florida (hereinafter referred to as "Property"), from Avatar Properties Inc. f/k/a/ GAC Properties Inc. in accordance with the November 15, 1983 Agreement between Avatar Properties Inc. and Collier County, (hereinafter referred to as the 1983 Agreement "); and WHEREAS, pursuant to the 1983 Agreement, the Property deeded to the Trustee and/or the monetary proceeds acquired from the subsequent sale of said Property are to be used to provide governmental facilities within and for the geographical area known as "Golden Gate Estates "; and WHEREAS, the Trustee currently has lands set aside on a Reserved List in anticipation of greater future marketability potential or for future government needs; and WHEREAS, the Trustee has determined that the removal and conveyance of one (1) parcel from the Reserved List to the County is in accordance with the intent of the provisions of the 1983 Agreement and accomplishes the purposes of said 1983 Agreement by enabling the Parks & Recreation Department to provide a Park, which will provide added recreational services to the residents of the Golden Gate Estates area; and WHEREAS, Avatar Properties Inc. has provided a "Reverter Discharge & Release ", dated approving the conveyance of one (1) parcel from the Reserved List to the County. NOW THEREFORE, in consideration of the above premises which are incorporated herein and made part of this Agreement, and in further consideration of the mutual covenants set forth below, and other good and valuable consideration, acknowledged by the parties to be sufficient, just and adequate, the parties hereto do agree as follows: 1. Trustee hereby agrees to convey to the County, via Statutory Deed and for no monetary compensation, All of Tract A, Golden Gate Estates, Unit 22, to be utilized by the County for purposes hereinafter stated, (hereinafter referred to as the "Lands "), in accordance with the terms and conditions of this Agreement, provided said Lands are to be used solely for the purpose of providing a Park in Golden Gate Estates. 2. The Country agrees and warrants that the Lands shall be utilized solely by the County for the primary purpose of providing a Park in Golden Gate Estates and/or the Trustee agrees to, and acknowledges for, the County to use the conveyed Lands in a way deemed appropriate for exchanging these Lands for other like property or properties that, by the exchange of land, will allow the Parks & Recreation Department to assemble other properties that may be better suited and physically located for the development of a park facility within the Orange Tree area, (hereinafter referred to as "Assembled Property"). If exchanged, a portion of the Lands may be used as a road and bridge maintenance facility. 3. The Trustee requires, and the County agrees, that whomever acquires the property by the Parks & Recreation exchange of said Lands, that party, or parties, will be required to submit all plans to the Golden Gate Estates Land Trust Committee (hereinafter referred to as the "Committee ") on behalf of the Trustee for approval of the proposed development of the Lands so that Committee may ensure that the proposed development is complementary and esthetically pleasing to the immediate surrounding Orange Tree community. This provision will be recited in the Statutory Deed from County to the subsequent owner(s). 4. In the event that the Lands cease to be utilized by the County as described in Paragraph 2, or if the Lands cease to be used in accordance with the aforementioned restrictions and limitations, said Lands shall automatically revert back to the Trustee unless the Committee approves the release of the reverter on the Lands if the lands are transferred to a subsequent owner(s) as part of an exchange described in Paragraph 2. If the reverter ceases to exist on the Lands then the Assembled Property shall be utilized solely for a Park in Golden Gate Estates and if it ceases to be used for a Park, it shall automatically revert to Trustee. 20.A.5 Packet Pg. 334 Attachment: GAC Land Trust Randall Curve Agenda 09_27_2005 (21521 : Golden Gate Estates Land Trust Committee February 2022) Agenda Item No, 16E6 September 27, 2005 Page 5 of 6 5. This Agreement is governed and construed in accordance with the laws of the State of Florida. 6. Property Sale Appraisal Approval for Harrington Parcel ID 40749320001 The East 75 Feet of the West 180 Feet of Tract 116, Unit 78 - 1.17 acres Property Appraiser’s Value: $47,840 Appraiser’s Value: $36,500 Jessica questioned the lot split, and Michael explained that GAC deeded that to the County that way. Michael said that the new owner will be assembling the subject parcel to his current parcel and will then fall under one folio number. Jessica questioned if there was a cost associated with that process and Michael said he contacted the Property Appraiser’s Office 20.A.8 Packet Pg. 340 Attachment: Minutes from September 20, 2021 Meeting (21521 : Golden Gate Estates Land Trust Committee February 2022) and determined there was no charge. Michael said that the owner will be responsible for assembling the parcels. Jeff questioned that the Appraiser discounted the value because of the cost to assemble the parcels. However, after hearing Michael’s explanation that there is no cost for that, Jeff said he would approve the appraisal if it’s corrected to show that there is no cost for assembling the parcels and the Appraiser’s value of $39,000 should be the asking price of the property. Michael said he would speak to the Appraiser regarding the discounted value and that the assemblage would be of no cost to the buyer and to revise the appraisal value. With that, Jeff called for a motion to approve the appraisal based on the revised value. Jessica made a motion to approve, Annette seconded, Jeff called for the vote, all were in favor. 6. Consideration of Jeff Curl’s application for expiring term: Jeff called for a motion to approve Jeff’s application for BCC consideration.
