"DEPARTMENT") and Collier County, a political subdivision of the State of Florida, (hereinafter, "COUNTY"). The DEPARTMENT and COUNTY are sometimes collectively referred to herein as "Parties" and individually as "Party." WITNESSETH WHEREAS, the intent of this Agreement is to provide the COUNTY with connected vehicle equipment for NINETEEN (19) intersections located in Collier County. The DEPARTMENT shall purchase and deliver to the COUNTY the connected vehicle equipment, software and support hardware with funding allocated under FM#, 449463-1-93-01, up to the maximum funding amount of FOUR HUNDRED NINETY-SIX THOUSAND AND 00/100 DOLLARS (S496,000.00). Included within these costs are the services of the vendor(s) to assist with configuration and programming of the equipment, software and support hardware. 2. The DEPARTMENT shall perform the Before and After Study required as part of the Technology Application Partnerships with Local Agencies for Deploying Connected and Automated Vehicle Technologies (TAPs-LA) program, which funded this project. COUNTY RESPONSIBILITIES 1. The COUNTY shall be responsible for the inspection of the connected vehicle equipment and support hardware upon delivery of same, and if acceptable, final acceptance of the equipment. The COUNTY shall provide the DEPARTMENT with documentation of delivery of the connected vehicle equipment FIFTEEN (15) calendar days of final acceptance of same. 2. The COUNTY shall, using COUNTY personnel and equipment, be responsible for the installation of the connected vehicle equipment at the COUNTY's sole cost and expense. All configuration and programming shall be performed by the DEPARTMENT's equipment vendors, at no additional cost to the COUNTY. 3. The COUNTY shall, using COUNTY personnel and equipment, install the connected vehicle equipment within TWO HUNDRED SEVENTY (270) calendar days of receipt and final acceptance of all of said equipment. 4. The COUNTY shall, using COUNTY personnel and equipment, and with vendor support, be responsible for the installation of the connected vehicle software and support hardware. 5. The COUNTY shall submit the Project Risk Assessment and Regulatory Compliance Checklist (750-040-05), and any related systems engineering documents based on the results of the assessment,prior to receipt of the equipment. 6. The COUNTY shall provide support for the Before and After Study, including providing any requested data for the sites for the calendar year prior to deployment as well as during a two-year operational support period following installation. This Agreement incorporates and includes all prior negotiations, correspondence, conversations, agreements, or understandings applicable to the matters contained herein, and the Parties agree that there are no commitments, agreements or understandings concerning the subject matter of this Agreement that are not contained herein. Accordingly, it is agreed that no deviation from the terms hereof shall be predicated upon any prior representation or agreements whether oral or written. It is further agreed that no modification, amendment or alteration in the terms or conditions contained herein shall be effective unless contained in a written document and executed by both Parties. 2. This Agreement is for a fixed term, commencing on the effective date and ending automatically when the connected vehicle equipment is installed at the intersections referenced in Exhibit A and the connected vehicle software and support hardware are configured in the Collier County Traffic Management Center.
