CONSERVATION EASEMENT AGREEMENT
THIS CONSERVATION EASEMENT AGREEMENT is made this
day of April , 20 09 , between [Name of Grantor]
DIAZ FAMILY LIMITED PARTNERSHIP (hereinafter
[short name] "Diaz" ), as Grantor, whose address is
[address of Grantor] 3705 Westview Drive, Naples, FL 34104
and Collier County, Florida (hereinafter "Collier County"), as Grantee, whose
address is 3301 East Tamiami Trail, Naples, Florida 34112. Grantor and Grantee
are hereinafter collectively referred to as the "parties."
WHEREAS, [Grantor] Diaz is the owner of that
certain tact of land located in Collier County, Florida described in Exhibit "A"
[include a Plat Book and Page reference in Exhibit "A"] attached hereto
(hereinafter referred to as the"property"); and
WHEREAS, Collier County is requiring that this Conservation Easement
("Easement") be entered into and recoded in the land records of Collier county to
bind [Grantor] Diaz and Collier County hereto; and
WHEREAS, the parties wish to establish their respective rights and
responsibilities relative to the use and maintenance of the conservation area
described in the attached Composite Exhibit"B" (the Easement Property).
NOW, THEREFORE, the parties agree as follows:
[Grantor] Diaz , its successors, heirs,
assigns and/or transferees, hereby grants a non-exclusive easement to Collier
County over and across the property described in Exhibit "A" for the purpose of
conservation. Collier County shall have no responsibility for maintenance
thereof.
No buildings, structures or impediments of any nature may be constructed,
placed or permitted on, over or across the Easement Property. No dumping or
placing of soil or other substances such as trash or offensive materials shall be
permitted on the Easement Property. There shall be no removal or destruction
of trees, shrubs or other vegetation with the exception of exotic/nuisance
vegetation removal. Excavation, dredging or removal of soil material, peat, rock
or other material substance in such a manner as to affect the surface shall be
prohibited on the Easement Property. No dikes or fencing shall be permitted on
the Easement Property. There shall be no other activities detrimental to
drainage, flood control, water conservation, erosion control or fish and wildlife
habitat conservation or preservation permitted on the Easement Property. The
Easement Property shall be in no way altered from its natural or permitted state.
[Grantor] Diaz , its heirs, successors or assigns shall
bear the responsibility for maintaining the Easement Property, including, but no
limited to, regular maintenance as may be required by any governmental agency
having jurisdiction relative thereto. The Easement Property shall at all times be
maintained in accordance with applicable requirements of the Collier County
Land Development Code.
Collier County shall have the right to access and use the Easement property
for the purpose of making inspections; however, Collier County shall have no
obligation to maintain the Easement Property, nor shall Collier County have the
right to use the Easement Property for any purpose inconsistent with the terms
of this Conservation Easement Agreement.
This Agreement shall run with the land and shall be binding upon and inure
to the benefit of all present and future owners of any portion of the Property and
their successors and/or assigns, it being the intention of the Parties that this
Agreement be perpetual.

CONSERVATION EASEMENT SUBORDINATION
THIS SUBORDINATION is dated this 20th day of February, 2019, by FIRST FLORIDA
INTEGRITY BANK, a Florida banking corporation ("Lender"), with an address at 3560 Kraft
Road,Naples, FL 34105, as mortgagee (hereinafter, this "Mortgage"), (Hereinafter referred to as
the "Secured Party"), in favor of, Collier County, a political subdivision of the state of Florida,
whose post office address is 3299 Tamiami Trail East, c/o the Office of the County Attorney,
Suite 800,Naples, Florida 34112 (hereinafter"Collier County" or"Grantee").
WHEREAS, the purpose of this Subordination is to subordinate the Secured Party's Security
Interests that encumber good and marketable title to the lands encumbered by the Conservation
Easement, described in attachment "A", being conveyed to Collier County, that is encumbered
by security interests in favor of the Secured Party as specified in the below-listed security
instruments); and
WHEREAS, the Secured Party is the owner and holder of a Mortgage as recorded in Official
Records Book 5539, Page 375, et seq., and an Assignment of Rents, recorded in Official Record
Book 5539, Page 394, et seq., Public Records of Collier County, Florida.
WHEREAS, each above-referenced Security Instrument grants to this Secured Party a security
interest that encumbers good and marketable title to the lands encumbered by the Conservation
Easement, being conveyed to Collier County; and
WHEREAS, prerequisite to the conveyance of the Conservation Easement being conveyed to
the County, Collier County requires that this Secured Party must subordinate its Security Interest
as it pertains to the lands encumbered by the Conservation Easement being conveyed to the
County; and the Secured Party is hereby complying with said request for this subordination.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good and
valuable consideration, the receipt of which is hereby acknowledged by the Secured Party, the
Secured Party hereby subordinates its Security Interests as it pertains to the lands encumbered by
