THIS TERMINATION OF RIGHT-OF-ENTRY is made this ~ day of
~~ , 2005 by Collier County, a political subdivision of the State of
Flori a, its successors and assigns, whose mailing address is 3301 Tamiami Trail East,
Naples, Florida 34112 (hereinafter referred to as "County").
WIT N E SSE T H:
WHEREAS, County is the holder of that certain Right-of-Entry by and between
The Halstatt Partnership, a Florida general partnership, and Collier County, a political
subdivision of the State of Florida and recorded on September 9, 2003 in Official
Records Book 3392, Pages 683 - 686 of the Public Records of Collier County, Florida
(hereinafter referred to as "Right of Entry"), encumbering the premises legally described
therein.
WHEREAS, the North/South Sewer Interconnect Project - Phase II has been
completed and the Right of Entry is no longer required and therefore County is
agreeable to terminating the Right of Entry on the land legally described in Exhibit "A"
attached hereto and incorporated herein by virtue of this reference.
NOW, THEREFORE, in consideration of TEN DOLLARS ($10.00) and other good
and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the County does hereby terminate the Right of Entry on the
encumbered land described in Exhibit "A",
IN WITNESS WHEREOF County has caused these presents to be executed in
its name by its Board of County Commissioners acting by the Chairman of said Board,
the day and year aforesaid.

RIGHT OF ENTRY
KNOW ALL MEN BY THESE PRESENTS that THE HALSTATT PARTNERSHIP,
a Florida general partnership, by its undersigned Attorney-in-Fact and Administrative
Agent, who has been duly authorized by the Partnership to execute this Right of Entry,
whose mailing address is 2600 Golden Gate Parkway, Suite 200, Naples, Florida
34105, hereinafter known as GRANTOR, for and in consideration of Ten Dollars
($10,00) and other valuable consideration to it in hand paid, does hereby grant unto
COLLIER COUNTY, a political subdivision of the State of Florida, its agents,
contractors or assigns, whose mailing address is 3301 Tamiami Trail East, Naples,
Florida 34112, hereinafter known as GRANTEE, the temporary license and right to
enter upon the lands of the GRANTOR, for the sole purpose of entering upon said land,
excavating, placing or removing materials including, for the purpose of constructing a
security fence around the perimeter of the lift station as described in Exhibit "A",
ALL RIGHT AND PRIVILEGE herein granted shall remain in full force and effect
for one (1) year from date accepted by the Board of Collier County Commissioners, This
Right of Entry shall automatically be renewed for a further period of one (1) year at the
end of each demised term and shall continue in full force and effect unless either party
has notified the other by registered or certified mail, return receipt requested, at least
ninety (90) days prior to the eXPi~ion of the demised term of its intention not to renew,

ADDITIONALLY, the right and interest granted hereunder are conditioned
upon the reasonable exercise thereof by Grantee, Grantee agrees not to unreasonably
interfere with Grantor's use of the lands described in Exhibit "A", and agrees to provide
Grantor with advance notice when exercising its rights hereunder. Grantee further
agrees that it shall, at the Grantee's cost, repair any damage caused to Grantor's
property as a result of Grantee's exercise of its rights hereunder. It is understood and
agreed to by the parties that the installation of the security fence described in Exhibit "A"
shall not constitute damages, but rather is an activity contemplated by the granting of
this Right of Entry,

In accepting this Right of Entry, Collier County agrees to indemnify, protect, defend and
hold harmless Halstatt Partnership from and against any and all claims and demands
and causes of action, which may arise as a result of their performance or activities
under this agreement, including, but not limited to, all claims and demands and causes
of action, personal injury, death, or damage to property sustained by any person, firm,
or corporation, including, without limitation, the employees, agents, or contractors of
Collier County, together with all costs and a reasonable attorney's fee for defendin~~e
