SECOND AMENDMENT TO AGREEMENT#19-7500
FOR
SENIOR FOOD PROGRAM
THIS AMENDMENT, made and entered into on this Cr day of Oogelobetr— , 2021
by and between G.A. Food Services of Pinellas County, LLC d/b/a G.A. Food Service (the
"Contractor") and Collier County, a political subdivision of the State of Florida (the "County")
(collectively,the"Parties"):
WHEREAS, on May 14, 2019 (Agenda Item No. 16.D.6), the County entered into an
Agreement with Contractor for home delivered and congregate meal services for the Senior Nutrition
Program; and
WHEREAS, on July 14, 2020 (Agenda Item No. 16.D.22), the County approved the First
Amendment to the Agreement to: 1) include a 10%match requirement of the federal funds received, 2)
provide for a 3% price increase to unit prices to meals effective July 1, 2020, and 3) update invoicing
requirements; and
WHEREAS,on October 15,2020,the Contractor changed its corporate name and status from
G.A. Food Services of Pinellas County, Inc., to G.A. Food Services of Pinellas County, LLC, a
conversion of a Florida Profit Corporation into a Non-Florida Business Entity (BE), with no change to
its federal tax identification number; and
WHEREAS,the Parties wish to amend the Agreement further to increase unit prices to meals
identified in Exhibit B Fee Schedules by six percent(6%):
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained, it is agreed by the Parties as follows:
1. Exhibit B Fee - Schedule is now revised and substituted in its entirety as attached hereto to this
Second Amendment.
2. All other terms and conditions of the agreement shall remain the same.
