Attachment • 16A15 LANDSCAPE MAINTENANCE AND RIGHT-OF-WAY ACQUISITION AGREEMENT This Landscape Maintenance and Right-of-Way Acquisition Agreement("Agreement") is entered into this IS `day of , 2021, by and between COLLIER COUNTY, a political subdivision of the State of%. orida, whose mailing address is 3299 Tamiami Trail East, c/o the Office of the County Attorney, Suite 800,Naples,Florida 34112 ("the County")and OLDE FLORIDA GOLF CLUB, INC., a Florida corporation, whose mailing address is 9393 Vanderbilt Beach Road Extension,Naples, FL 34120 ("the Owner"). RECITALS: WHEREAS, Owner is the owner of certain real property known as Olde Florida Golf Club ("Owner's Property"), upon which Owner operates a golf and country club; and WHEREAS, the County plans to extend Vanderbilt Beach Road easterly to 16th Street Northeast as part of the Vanderbilt Beach Road Extension Project No. 60168 ("the Project"); and WHEREAS, a portion of the new roadway and related improvements will be constructed within the existing public right-of-way abutting the south side of the Owner's property("the Right- of-Way") and upon a portion of the Owners' Property, as more fully described hereunder("Parcel 172FEE); and WHEREAS, the Parties recognize the desirability of taking steps to prevent wildlife from straying into the new roadway and to protect motorists, cyclists and pedestrians from errant golf balls; and WHEREAS, construction of a fence and installation of enhanced landscaping within the Right-of-Way, along with the elimination of a proposed new driveway entrance connecting the Owner's property to the new roadway, will provide improved safety and protection for vehicular traffic, cyclists, pedestrians and wildlife in this area; and WHEREAS, in consideration for the Owner conveying Parcel 172FEE to the County, not requiring construction of the aforementioned driveway entrance, and installing enhanced landscaping in the Right-of-Way, the County will install a fence and construct a berm at the County's expense and further partially fund the installation of the aforementioned landscaping„ subject to the further terms and conditions set forth in this Agreement; and WHEREAS, Section I. Planning and Development, of the handbook titled"Collier County Landscape and Irrigation Specifications for Beautification Improvements Within the Public Right- of-Way, Collier County, Florida" (2009), provides as follows: Entities desiring to make landscape improvements within public road right-of-way shall submit plans and documentation consistent with the requirements for a public right-of-way permit. This submission shall be in accordance with the "Construction Standards Handbook for Work within the Public Right-of-Way, Collier County, Florida" (the "Construction Handbook"). INSTR 6102554 OR 5988 PG 1095 A RECORDED 7/27/2021 11:04 AM PAGES 34 CLERK OF THE CIRCUIT COURT AND COMPTROLLER COLLIER COUNTY FLORIDA REC$290.50 1 6 A 1 5 * * * Landscaping Permit Within the public rights of way: Improvements to unimproved medians in the right of way: A private owner, Developer or civic or homeowners' association desiring to landscape within a public right-of-way shall submit landscape and irrigation construction documents prepared by a licensed landscape architect for County review. The Permit application shall include three (3) sets of detailed plans indicating the existing right-of-way facilities and the type and location of the proposed plantings, location of electrical and irrigation systems(s). After acceptance of the landscape and irrigation plans, a landscape agreement shall be prepared by the contracting parties and approved by the County attorney's office. (See Appendix for example) The purpose of the landscape agreement is to ensure that the Permittee, or his successors or assign, shall be responsible to maintain such material and irrigation system until removed or unless otherwise specified; and WHEREAS, in keeping with the above, the Owner shall apply for a Landscaping Permit within the Right-of-Way and has submitted landscape and irrigation construction documents prepared by a licensed landscape architect for County review. A copy of the plans are attached hereto as Exhibit "A." The Owner shall follow the Collier County Maintenance specifications attached as Exhibit"B." NOW,THEREFORE,in consideration of the covenants contained herein,the parties agree as follows: 1. All of the above recitals are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below, and all Exhibits referenced herein are made a part of this Agreement. 2. The Owner hereby agrees: a) to convey to the County Parcel 172FEE, more fully described in and in the form depicted in Exhibit "C", attached hereto; b) forever to forgoe the requirement of construction of a separate driveway entrance, deceleration lane, and various other site improvements for Owner's Property, previously depicted on conceptual drawings for the Project; and 3) to install and maintain the landscaping and irrigation improvements proposed in Exhibit "A" ("the Improvements"). As consideration for the foregoing, the County agrees to pay to the Owner ONE HUNDRED FORTY-THREE THOUSAND FOUR HUNDRED DOLLARS ($143,400.00). This payment includes full compensation for all structures, improvements,fixtures, landscaping, trees, and shrubs, located on Parcel 172FEE, and constitutes full and final settlement of all claims against the County, including all attorneys' fees, expert witness fees and costs as provided for in Chapter 73 and 74,Florida Statutes. Payment shall be made within thirty (30) days of installation of the Improvements. Subject to the issuance of all necessary permits, the County hereby grants to the Owner the right to use those portions of the Right-of-Way depicted in Exhibit "A," for the sole purpose of installing, and maintaining the Improvements. The permits address, CA 1 6 A I 5 among other things, the timing of the work, maintenance of traffic flow during construction, and the permissible lane closures during the time that work is to be performed. 3. As part of the Project and prior to the Owner installing the Improvements, the County shall construct a berm and an eight feet high chain link fence along the entire frontage of Owner's property abutting the Right-of-Way and the County shall provide an additional six feet of shoulder width to accommodate the Owner's installation of the Improvements. The County shall give the Owner thirty(30)days' written notice of completion of the fence,berm and shoulder and the Owner shall install the Improvements within thirty (30) days of such completion. The Owner shall maintain for the duration of this Agreement and at its sole cost and expense all the Right-of-Way lying north of the fence line, including the fence, berm, shoulder and Improvements upon their completion. 4. The Owner has in force permits to discharge on-site storm waters to the Cypress Canal located("the Canal") on the south property of the site, and has in place permits to withdraw waters from the Cypress Canal to supplement it's on site lake system source of irrigation waters. Construction of the Project requires the relocation of the subject section of the Canal. It is critical to the wellbeing of Owner that the ability to discharge stormwater and intake irrigation waters be interrupted for the shortest time practical. And, in the case of storm water discharge that such necessary interruption occurs during the low rainfall period of the annual cycle, January- March, when it is expected that the on-site lake system will adequately retain expected rainfall events without the need for off-site discharge. In addition, it is important to minimize any interruption of the ability of Owner to supplement the Owner's irrigation water source from the waters of the Cypress Canal. As part of the Project, at the County's expense, the County shall extend the Owner's stormwater discharge pipe and pump suction pipes into the relocated Canal and the County shall permit the Owner access to the relocated Canal for the operation and maintenance of the aforesaid pipes and related facilities. The Owner shall provide specifications for both pipes within ten (10) days of the County's written request. The Owner shall be solely responsible for determining the appropriate specifications for these pipes. The County gives no representations or warranties that the pipes or the existing pump will be suitable for the purposes for which they are intended and shall not be responsible for any additional work, equipment or material that may be needed arising from the relocation of the Canal. The Owner and County shall create a construction sequencing plan for the relocation of the Canal and extension of the Owner's discharge and intake pipe systems. The County shall give the Owner thirty (30) days' written notice of its intention to disconnect the existing pipes and to extend the new pipes into the relocated Canal and shall complete the extension of the pipes into the relocated Canal within three (3) days of disconnecting the existing pipes. The pipes and related facilities shall be maintained by the Owner in perpetuity at its sole cost and expense. 5. Should the Owner fail to construct or maintain the Improvements in accordance with Schedule "A" or as required by County Ordinance, the County may provide notice to the Owner in writing, specifying the nature of the deficiency. Within five working days following receipt of such notice, the Owner at its sole cost shall cause the appropriate repairs or cure to be affected. If the appropriate repairs or cure will take longer than five working days, Owner shall notify County as to the necessary time to implement the necessary repairs or cure and shall work diligently to implement the repairs or cure. In the event of damage to,or failure to maintain the Improvements C' 16A15 results in a situation where public safety is at risk, (1)the Owner shall effect repairs within twenty- four hours of receipt of the County's written notice, or (2) the County may, at its option, effect repairs to the Improvements,without the need for prior notice to the Owner, and will promptly bill the Owner for all actual costs incurred in effecting the repairs. The Owner shall reimburse the County for such costs within thirty days of receipt of the County's bill. 6. To the maximum extent permitted by Florida law, the Owner shall indemnify and hold harmless Collier County,its officers and employees from any and all liabilities,damages,losses and costs, including,but not limited to, reasonable attorneys' fees and paralegals' fees,to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of the Owner or anyone employed or utilized by the Owner in the performance of this Agreement. This indemnification obligation shall not be construed to negate, abridge or reduce any other rights or remedies which otherwise may be available to an indemnified party or person described in this paragraph. This section does not pertain to any incident arising from the sole negligence of Collier County. The foregoing indemnification shall not constitute a waiver of sovereign immunity beyond the limits set forth in section 768.28, Florida Statutes. 7. The County agrees to give the Owner written notice of any claims filed against the County in connection with this Agreement, within thirty (30) days of the date that the County is aware of such claim. 8. THIS PARAGRAPH INTENTIONALLY LEFT BLANK. 9. Unless terminated as set forth below, this Agreement shall remain in full force and effect for twenty-five (25) years from the date first set forth above and shall be binding upon the parties and all their successors in interest. This Agreement may be freely terminated as of right by either party, with or without cause, upon 30 days written notice to the other, provided that the conveyance provisions of this Agreement may not be terminated. If the Owner exercises this right, or if the County exercises this right based upon the Owner's substantial breach of this Agreement, then upon written demand by County, the Owner, at its sole cost and expense, shall remove the Improvements and shall restore the Right-of-Way to the condition that existed immediately prior to installation of the Improvements. If the County exercises this right, or if the Owner exercises this right based upon the County's substantial breach of this Agreement, then the County will be responsible for any removal of the Improvements or restoration of the Right-of-Way. Except for the above, neither party will be liable to the other for any damages or claims resulting from the termination of this Agreement. 10. SOD ESTABLISHMENT Perform sufficient watering to maintain adequate moisture for optimum development of the sodded areas, no less than 1.5 inches of water per week for at least 2 weeks. Thereafter, apply water for a minimum of 60 days as needed until the sod takes root and starts to grow. Irrigation can be waived if and only if there is a minimum of one inch of rain per week on all sod on the project. The sod shall produce a dense, well-established ground cover. Repair and re-sod all eroded or bare spots as needed to ensure turfgrass cover sufficient of maintaining the integrity of the slope with minimal erosion. B. SOD MAINTENANCE The minimum mowing height for established sod is 5 inches for all rural mowing areas. If and when the adjacent areas are developed, the mowing schedule shall be consistent with these future developments so that the sod does not appear to be overgrown. No more than one-third of the blade height of the desired grass (excluding seed heads) should be removed during a mowing cycle. This will result in a healthier turf better able to compete with undesired vegetation. Do not scalp or mow excessively close to the soil surface. Mowing too low increases soil temperature, contributes to erosion, lowers plant tolerance to cold and drought, results in the thinning of the turf and increases undesirable vegetation. Mow only when necessary. Consider seasons, locations and turf conditions when scheduling mowing operations. Mowing should not be performed during periods of drought or growth stress. Never mow over debris that would damage the equipment or that might be picked up and thrown out by the mower. Stop and remove objects, such as trash, limbs and other debris, from the mowing area. 16A15 C. FERTILIZATION Granular fertilization shall be applied at the proper rate and frequency to all turfgrass and plant material to maintain proper plant growth and health. D. IRRIGATION The irrigation system shall be checked and repaired as necessary. Maintenance responsibilities will include cleaning and adjustment of heads, nozzles, installation or replacement of risers, repair of PVC piping breaks or subsurface sprinkler components, replacement of damaged valve boxes/lids and adjustment of controller and rain shut off switches. E. PRUNING All plant material will be pruned as needed to maintain proper plant health. F. PEST CONTROL All turfgrass and plant material will be closely monitored for pests and diseases and will be treated as needed by an individual holding a commercial applicator license issued by the Florida Department of Agriculture and Consumer Services.
