ADDENDUM TO INTEGRATION AGREEMENT
This is an Addendum to the Integration Agreement (the "Integration Agreement") made
and entered on January 24. 2017 by and between the Board of County Commissioners of Collier
County, Florida as the Ex-Officio Governing Board of the Collier County Water-Sewer District
("County" or the "CCWSD" ), and Orange 'free Utility Co., Inc., Orangetree Associates, and
Roberto Bollt,as Successor Trustee of the Land Trust Agreement dated January 27, 1986,recorded
at Official Records 13ook 1347, Page 2331, and amended June 26, 1996 and recorded in Official
Records Book 2250, Page 1827, of the Public Records of Collier County, Florida (collectively
"Developer").
RECITALS
WHEREAS, Orangetree Associates is the developer of the Orangetree PUD, a planned unit
development consisting of approximately 2,138 acres of property in Collier County;and
WHEREAS, up until 2017 Orange Tree Utility Co., Inc. ("OTU")operated water and wastewater
treatment plants on a 28.09 +/- acre parcel located within the Orangetree PUD (the "Treatment
Plants Property") from which OTU provided potable water and wastewater service to customers
in the Orangetree PUD area; and
WHEREAS, on January 24, 2017, by Resolution 2017-14, the County approved the Integration
Agreement,which among other things memorialized the transfer of the OTU water and wastewater
utility plant operations to the CCWSD, for subsequent operation by the CCWSD, and conveyed
the Treatment Plants Property to the County by General Warranty Deed(Utility Site); and
WHEREAS, the General Warranty Deed (Utility Site) and Section 7.01 of the Integration
Agreement provide that upon at such time that the County discontinues operation of any portion
of the referenced OTU water treatment plant ("WTP") or OTU wastewater treatment plant
("WWTP"), the County will vacate that portion of the Treatment Plants Property no longer
required by the County and that portion of property will revert back to Roberto Bollt,as Successor
Trustee pursuant to that Land Trust Agreement dated January 27, 1986, as recorded in O.R. Book
1347, Page 2331, of the Public Records of Collier County Florida ("Designated Developer
Entity") pursuant to the terms and conditions set forth in the General Warranty Deed(Utility Site)
and Section 7.01(B)of the Integration Agreement; and
WHEREAS,on February 25,2020,the County voted to permanently discontinue operations of the
WTP and directed County staff to take the necessary steps to vacate approximately 3.9 acres of
the Treatment Plants Property associated with the abandoned WTP pursuant to Section 7.01 of the
Integration Agreement;and
WHEREAS, County staff subsequently has reviewed the parts of the Treatment Plants Property
associated with the abandoned WTP, and has agreed that a greater portion of the Treatment Plants
Property associated with the WTP consisting of approximately 6.97 +/-acres depicted in Exhibit
A should be vacated and revert back to the Designated Developer Entity;and
WHEREAS, the Parties desire to memorialize the terms under which the property depicted in
Exhibits A is to be vacated and conveyed back to the Designated Developer Entity; and

WHEREAS, the Parties acknowledge that the remainder of the Treatment Plants Property
consisting of approximately 21.12 +/- acres depicted in Exhibit B will not be vacated and
conveyed back to the Designated Developer Entity until the County discontinues operation and
use of the WWTP as set forth in Section 7.01 of the Integration Agreement and as more specifically
provided for herein; and
WHEREAS, the County plans on continuing to operate the WWTP until its Northeast County
Water Reclamation Facility ("NECWRF")plant is in service and reliably operational or until it is
determined that flows from the WWTP can be adequately processed at the County's yet to be
completed Northeast Service Area ("NESA") interim wastewater treatment plant and pumping
facilities ("Interim Plant"), which is being built in advance of the construction of the larger
NECWRF plant,whichever occurs earlier;and,
WHEREAS,the Parties desire to agree upon an approximate timeline under which the remainder
of the Treatment Plants Property associated with the WWTP operations is to be vacated and
conveyed back to the Designated Developer Entity.
NOW THEREFORE, in consideration of the mutual covenants, representations and agreements
contained in the Agreement and in this Addendum,and for other good and valuable consideration,
the adequacy and receipt of which are hereby acknowledged by all the Parties,the Parties agree as
follows:
1. Recitals and Capitalized Terms. The foregoing Recitals are true and correct and are
incorporated herein by reference. Capitalized terms used herein which are not otherwise
defined shall have the same meaning ascribed to them in the Integration Agreement.
2. Conveyance of Portions of Treatment Plants Property To Developer. The County agrees
to convey to Designated Developer Entity those portions of the Treatment Plants Property
identified in Exhibit A pursuant to the terms and conditions in the General Warranty Deed
(Utility Site)and Section 7.01 of the Integration Agreement by County Deed,as specified
on page 2 of the General Warranty Deed (Utility Site), in the form attached hereto as
Exhibit F. Following that conveyance,the County agrees to access the WWTP from the
southwest corner of the remaining Treatment Plants Property as depicted on Exhibit C,for
its continuing operation of the WWTP.
3. Easements Granted by Developer. In return for the County conveying portions of the
Treatment Plant Property depicted in Exhibit A to the Designated Developer Entity, the
Designated Developer Entity shall grant to the County(i)an underground utility easement
for the County's pipes and mains on the frontage along Oil Well Road(State Rd. S-858)
and(ii)an easement for the County to access and maintain its underground pipes and mains
as shown in Exhibit E. Additionally, commencing from the effective date of this
Agreement,July 13,2021,and continuing through July 13,2022,the Designated Developer
Entity shall grant the County a temporary easement to access the existing access road
located on the vacated Treatment Plants Property while the County designs and constructs
its separate access from the southwest corner of the Remaining Property. If the County
completes construction of its access road prior to July 13, 2022,the temporary easement
shall automatically terminate as of the date of final completion. Both parties acknowledge

that the current FP&L easement depicted on Exhibit A is not reflective of the actual FP&L
asset locations. The County will initiate FP&L's Easement Abandonment and Release
Process, followed by FP&L's creation of a new easement aligned with the currently
installed FP&L assets and future FP&L assets needed by the County to be completed by
July 13,2022.
4. Conveyance of Remaining Treatment Plants Property to Designated Developer Entity. The
County shall discontinue WWTP operations on the Treatment Plants Property and convey
the remainder of the Treatment Plants Property depicted in Exhibit B ("Remaining
Property")back to the Designated Developer Entity or its designee not later than 12 months
after the date that the County accepts the NECWRF plant as meeting Final Completion,
provided the Remaining Property may be conveyed back sooner if the County determines
its Interim Plant has sufficient capacity to reliably process the wastewater flows being
processed at the WWTP at the time of conveyance. In return for the County conveying the
Remaining Property back to the Designated Developer Entity or its designee,the Developer
shall grant to the County an easement to locate a master pumping station on the periphery
of the Remaining Property as shown on Exhibit D, as well as the pipeline easements
referenced in paragraph 3 necessary to continue to provide water, wastewater, and
irrigation quality services to the surrounding neighborhoods and the greater CCWSD.
5. Preliminary Timeline. While the Parties acknowledge that it is not feasible for the County
to precisely predict when its NECWRF plant will be built,the County's current plans are
for the NECWRF plant to be in-service by 2028,and for the Interim Plant to be in service
by approximately June 2022. The Parties further agree that the County will need at least 1
year of operational data from the Interim Plant in order to determine whether it would have
adequate capacity to handle the wastewater flows that are being processed at the WWTP.
6. Conflict. Except as specifically modified in this Addendum,all of the terms and conditions
of the Integration Agreement shall remain in full force and effect. In the event of any
conflict between the terms contained in the Integration Agreement and this Addendum,the
terms of this Addendum shall control.
7. Effective Date. The "Effective Date" of this Addendum shall be on the later of the dates
stated below following the signatures of the Parties.
8. Entire Agreement. This Addendum and the Integration Agreement, and any exhibits to
either, constitute the entire agreement between the Parties hereto, and there are no other
agreements or understandings relative to the transaction evidenced by such instruments not
contained in this Addendum and the Integration Agreement.
