DEVELOPER AGREEMENT
(Golf Club of the Everglades - Greyhawk)

THIS DEVELOPER AGREEMENT(this"Agreement")is entered into as of the 13 day
of , 2021 (the "Effective Date"), by PULTE HOME COMPANY, LLC, a Michigan
limited liability company ("Pulte"), GC of the Everglades, LLC, a Florida limited liability
company ("GCE"), and COLLIER COUNTY, a political subdivision of the State of Florida
("County).
RECITALS
A. Pulte is the developer of an approximately 516 acre parcel located within the Golf
Club of the Everglades Residential Planned Unit Development (the "Development") adjacent to
the north side of Old Vanderbilt Beach Road between Douglas Street to the west and Olde Florida
Golf Club to the east;
B. Pulte is the owner of(a) that certain roadway tract commonly known as Douglas
Street together with the adjacent open space tracts ("Douglas Entrance") and (b) that certain
roadway tract commonly known as Greyhawk Trail together with the adjacent open space tracts,
("Grevhawk Entrance"). The Douglas Entrance and the Greyhawk Entrance provide access to
the Development and are collectively defined herein as the "Pulte Parcels".
C. GCE is the owner of the golf course tracts located within the Development("GCE
Parcels"), including the drive that provides access to the Development golf club from and
intersecting with Douglas Street (in an easterly direction);
D. The County intends to improve Old Vanderbilt Beach Road and widen and extend
Vanderbilt Reach Road and, in connection therewith, fill and relocate the existing canal running
parallel thereto from the northern to the southern side of the roadway(collectively,the"Project").
E. The County acknowledges and agrees that portions of the Pulte Parcels and GCE
Parcels, as generally depicted on Exhibit"A" ("Entrance Segments"), are needed for and will be
disrupted by the Project, and that the County requires a reconfiguration of the Entrance Segments
to complete the Project.
F. Pulte has consented to the reconfiguration of the Entrance Segments to the extent
required by the County; subject,however,to the County's completion, at its sole cost and expense,
of the New Entry Areas (as defined below), the County maintaining Old Vanderbilt Beach Road,
and subject further to the County maintaining reasonable access to GC of the Everglades for the
duration of the Project, all as more particularly set forth herein.
G. Subject to the terms herein, Pulte may, at its sole cost, install and maintain signage
at the Douglas Entrance and the Greyhawk Entrance.

H. The Parties desire to enter into this Agreement to govern the construction of the
New Entry Area and other matters set forth below.
NOW THEREFORE, in consideration of the mutual covenants contained in this
Agreement and other good and valuable consideration, the receipt and sufficiency of which is
acknowledged, the Parties agree as follows:
1. Recitals. The foregoing Recitals are correct and are incorporated into this
Agreement. Pulte and the County are sometimes referred to in this Agreement individually as a
"Party", and collectively as the "Parties".
2. General. The County shall be the manager of the Project and shall have the right,
subject to the terms of this Agreement, to ultimately approve and determine, in its reasonable
discretion, all items and matters to be approved, determined or agreed to in connection with the
Project, other than items or matters subject to the express review and approval rights of Pulte
hereunder, or that materially relate to the New Entry Area or access to the Development.
3. Roadway and Landscaping.
(a) The County shall manage, at the County's sole cost and expense and in substantial
accordance with the Final Plans(as defined below),the construction and installation of the paving,
landscaping, road signage, and street lights on, about or serving the Entrance Segments
(collectively, the "New Entry Areas"). The County shall manage the construction of the New
Entry Areas in a good and workmanlike manner and shall complete the work with commercially
reasonable diligence. For the avoidance of doubt, any costs, fees or expenses, including, without
limitation, engineering fees, construction management fees, labor costs, the cost of materials and
landscaping features, and the actual cost of construction, are solely the obligation of the County,
and the County acknowledges that Pulte has no financial obligations associated with this
Agreement or the work contemplated hereby.
(b) The County shall submit any and all applications, plans, specifications, designs or
similar documents related to the New Entry Areas to Pulte and GCE for their review and written
approval, not to be unreasonably withheld or delayed. All plans for the New Entry Areas, shall,
at a minimum,be in accordance with the prevailing standards applicable to the developed portions
of the Development, and the County shall be solely responsible for all costs, fees and expenses
arising from or related to designing and permitting the New Entry Areas. Pulte and GCE shall
have ten(10)business days to each independently review and comment on the plans from the date
of receipt. If no written objections are provided within such time period, with reasonably specific
changes that would cause the item to be acceptable to such objecting party,then the non-objecting
party is deemed to have approved the plans. For the avoidance of doubt,Pulte and GCE each have
independent review rights, and failure by one to object does not affect the right of the other. The
County shall work in good faith to accommodate any reasonable,timely objections. The approved
or modified plans for the New Entry Area ("Final Plans"), and the Final Plans shall not be
materially altered or modified without the prior written, approval of Pulte.

4. Construction.
(a) On or before the date that permits are issued for the segment of the Project
adjacent to the Development, the County shall diligently commence and pursue to completion
construction of the New Entry Areas substantially in accordance with the Final Plans.
(b) At all times during the course of the Project, the County shall ensure Pulte,
and its guests, invites, agents, contractors and tenants, GCE and its guests, invites, agents,
contractors and tenants, and all members and/or residents of the Development,and their respective
guests, invites, agents, contractors and tenants, reasonable access from Vanderbilt Beach Road to
the Development. Reasonable access for purposes hereof means safe, unrestricted and convenient
access for vehicular and pedestrian use.
(c) The County may work with one or more contractors reasonably acceptable
to the County (collectively,the"Contractors")to complete the Project and the New Entry Areas.
The Contractors shall provide a general liability insurance policy issued by an insurance company
licensed to conduct business in the State of Florida in an amount of at least$1,000,000/$2,000,000
with a per project aggregate limit, naming Pulte and GCE as additional insureds. Prior to
commencing work, the Contractors shall be required to furnish Pulte and GCE with a copy of a
certificate of insurance and to keep the insurance in force until, at a minimum, completion of the
New Entry Areas. All agreements between the County and the Contractors shall provide for a
timeline for completion of the New Entry Areas consistent with the terms of this Agreement.
(d) Pulte and GCE shall execute and record (at the County's expense) in the
Public Records of Collier County the fee simple right-of-way and Temporary Driveway
Restoration Easement parcels,more fully described in composite Exhibit"B",in a form reasonably
acceptable to the Parties, providing the County, and its agents and contractors, the right-of-way
needed for construction of the Project and reasonable access over the Entrance Segments for the
purpose of completing the New Entry Areas.
(e) Pulte and GCE shall reasonably cooperate with the County and not impede
in any material way with respect to the County's efforts to complete the Project and the New Entry
Areas, including executing within twenty (20) business days after the County's written request,
any and all documents which are required to be executed by Pulte and GCE in connection
therewith.
5. Step-In-Rights.
(a) If the County fails to timely commence and complete the New Entry Areas, then
Pulte may (but without obligation), after providing thirty (30)days' prior written notice to County
with an opportunity to cure, elect to procure the permits and/or construct the New Entry Areas, as
applicable, at the County's cost and expense (the "Step-In-Rights"). In connection therewith: (i)
the County shall reimburse Pulte for all reasonable costs incurred by Pulte for the New Entry Areas
as work is performed, in draws no more frequently than monthly; and (ii) the County hereby
assigns to Pulte, effective upon Pulte exercising its Step-In-Rights, all plans, permits, budget, and
contracts for the New Entry Areas.

(b) All reimbursement requests from Pulte to the County shall be accompanied with an
accounting of all work performed and partial or final lien waivers, as applicable.
6. The County shall own and be responsible for the maintenance of 1) that portion of
Old Vanderbilt Beach Road from the west side of the intersection of Douglas Street, eastward
along the frontage of the project to the Olde Florida Golf Course entry and 2) the roadway
connection between Old Vanderbilt Beach Road and Vanderbilt Beach Road Extension adjacent
to the Greyhawk Entrance. Pulte shall execute and record a deed (at the County's expense) in the
Public Records of Collier County and in a form acceptable to the Parties, needed for construction,
operation and maintenance of these roadways as public roads.
7. Default. In addition to the rights provided in Section 5 above, in the event of a
default under this Agreement (including, without limitation, the County's failure to seek prior
approval of the plans for the New Entry Areas, as set forth in Section 3), each Party shall have all
remedies at law or in equity. Notwithstanding the foregoing sentence, no Party shall be in default
under this Agreement until the non-defaulting Party has failed to cure the default for (a) a period
of five (5) days after receipt of written notice if the default can be cured by payment of money,
and (b) a period of fifteen (15) days after receipt of written notice for all other default.
8. Signage. The County agrees that Pulte may install, at its sole cost and expense,
ground signs as follows: (a) at the Greyhawk Entrance, one (1) double-sided ground sign or two
(2) single-sided signs and (b) at the Douglas Entrance, one single-sided ground sign. The signs
will meet County standards and code.
9. Notice. All notices, demands, requests or other communications made pursuant to,
under or by virtue of this Agreement must be in writing and either hand delivered, delivered by
overnight courier or by facsimile transmission, to the party to which the notice, demand, request
or communication is being made, as follows:

notice to the other party. Any notice, demand, request or other communication shall be effective
upon actual receipt and shall be deemed received(a)upon rejection in the case of hand delivery or
delivery by overnight courier; (b) one (1) business day following deposit with an overnight
delivery service;and(c)upon transmission in the case of email or facsimile transmission,provided
a hard copy shall also be sent via another delivery method permitted hereunder not later than the
day after such transmission. Any notice or communication may be delivered by or to legal counsel
for the respective party, which will constitute proper notice to the parties hereunder.
10. Assignment. Pulte may assign this agreement to the Greyhawk at Golf Club of the
Everglades Homeowners Association, Inc. Otherwise this Agreement is not assignable without
the prior, written consent of the other Parties,which consent may not be unreasonably withheld or
delayed.
11. Attorneys' Fees. In connection with any effort to enforce or interpret this
Agreement, whether in litigation or otherwise, the prevailing Party shall be entitled to recover its
reasonable attorneys' fees and the cost and expenses of litigation (including in bankruptcy or
collection proceedings or on appeal), in addition to any other relief provided for herein or by law.
12. Public Records. The parties understand and agree that all documents of any kind
provided to either party in connection with this Agreement may be public records, and,
accordingly, the parties agree to comply with all applicable provisions of Florida law in handling
such records, including but not limited to Section 119.0701, Florida Statutes. Among other
requirements and to the extent applicable by law, the parties shall: (1) keep and maintain public
records required by Florida law; (2) upon request provide the requested public records or allow
the records to be inspected or copied within a reasonable time period at a cost that does not exceed

the cost provided in Chapter 119, Florida Statutes; and (3) ensure that public records which are
exempt or confidential, and exempt from public records disclosure requirements,are not disclosed
except as authorized by law for the duration of the Agreement term and following the Agreement
term in accordance with Florida law. All records stored electronically must be provided to the
requesting party in a format that is compatible with Microsoft Word or Adobe pdf formats.
13. Miscellaneous.
(a) Whenever used, the singular number shall include the plural, the plural the
singular, and the use of any gender shall include all genders.
(b) The captions and headings herein are for convenience and reference only
and in no way define or limit the scope or content of this Agreement or in any way affect its
provisions.
(c) This Agreement shall be interpreted, construed and enforced in accordance
with the laws of the State of Florida, regardless of where it is executed by the Parties, or where
performance is due. Jurisdiction and venue for any dispute arising hereunder shall lie exclusively
in a court of competent jurisdiction in Lee County, Florida, and in no other venue or forum.
(d) This Agreement may not be orally amended or changed, but may be
amended or changed only by an instrument in writing, executed by the Parties hereto. All prior
understandings and agreements among the Parties hereto are merged herein.
(e) No waiver of any provision of this Agreement shall be effective unless it is
in writing signed by the Party against whom it is asserted, and any waiver of any provision of this
Agreement shall be applicable only to the specific instance to which it is related and shall not be
deemed to be a continuing or future waiver as to such provision or a waiver as to any other
provision.

(g) Each Party shall act in good faith to comply with and accomplish the
purposes of this Agreement.
