INTERLOCAL AGREEMENT

THIS INTERLOCAL AGREEMENT is made and entered into this ota day of
, 2021, by and between the City of Naples, Florida, a Florida municipal
corporation (the "CITY") and Collier County a political subdivision of the State of Florida, (the
"COUNTY")and (collectively,the"Parties").
WITNESSETH
WHEREAS, this Interlocal Agreement is a requirement of LAP Agreement 435013-1,
Standardize and Integrate Network Communication, which provides funding to update the
County's Advanced Transportation Management System (ATMS) network infrastructure and
allow for video and data sharing between FDOT, Collier County and the City of Naples. The
purpose of the Project is to procure, install and configure Network equipment to update and
standardize communication between the Florida Department of Transportation,Collier County and
the City of Naples as per a June 14, 2019 FDOT Recommendations Report. By creating a
standardized network, the Florida Department of Transportation, Collier County and the City of
Naples will be able to relocate Automated Traffic Management Systems (ATMS) control and
video feeds to the Emergency Services Center(ESC)in emergency situations. The equipment will
allow for bi-directional sharing of video stream and Advanced Traffic Management System
(ATMS) Data between the County and the City of Naples.
NOW,THEREFORE, in consideration of the above premises, and the mutual covenants,
terms, and provisions contained herein,the CITY and COUNTY agree as follows:
SECTION I. MUTUAL RESPONSIBILITIES
Notwithstanding anything else to the contrary, the parties agree to cooperatively work
together to ensure the successful implementation of LAP Agreement 435013-1 and the June 14,
2019 FDOT Recommendations Report.
SECTION I: COUNTY's RESPONSIBILITIES
The COUNTY agrees to:
1. Provide to the City of Naples, equipment purchased through the FDOT LAP
Agreement,based on the recommendation of FDOT's Traffic Operations ITS Consultant,to enable
the sharing of video stream and data between Traffic Operations Staff from the COUNTY, The
CITY of NAPLES and FDOT. Design specifications will be in accordance with FHWA and FDOT
standards. The COUNTY's obligation to provide ITS equipment under THIS AGREEMENT is
contingent upon the availability of equipment or funds from the Florida Department of
Transportation(FDOT)to fulfill the AGREEMENT as defined by FDOT's Traffic Operations ITS
Consultant.

2. Work with the City and FDOT to determine location and type of devices to be
deployed by the City. Comply with all applicable FDOT/FHWA Regulations,as they relate to this
ITS deployment.
SECTION II: CITY's RESPONSIBILITIES
The CITY agrees to:
1. Review and take delivery of allotted equipment as per the FDOT Agreement
435013-1.
2. Deploy and test network equipment as to facilitate the sharing of data and video
stream with FDOT and the County.
3. Provide appropriate information,as available,for the design of the ITS devices and
communications infrastructure.
4. Work with network personnel contracted by the COUNTY to support the new
communications backbone and ITS devices, when required to complete the project.
5. Following installation,maintain all devices provided by the COUNTY.
6. Notify the County in case of a system outage of more than 8 hours.
SECTION IV: AGREEMENT TERMS
This Interlocal Agreement shall remain in full force and effect from the date first above
written and shall terminate upon the completion of all services and responsibilities mutually
performed by the CITY and by the COUNTY to the written satisfaction of each to the other.
