time frame or the BCC's actions are nullified. Be aware of your deadlines!

FIRST AMENDMENT TO AGREEMENT #20-043-NS
FOR
UDT-COLLIER GSA-CISCO PROFESSIONAL SERVICES
THIS AMENDMENT made and entered into on this atili day of (,‘,(14e.
2021, by and between UNITED DATA TECHNOLOGIES, INC. (the "Contractor") and Collier
County, a political subdivision of the State of Florida, (the "County") (collectively,the"Parties"):
WHEREAS, on June 23, 2020, (Agenda Item 11.D), the County entered into two
Agreements with Contractor to provide hardware ("Hardware Agreement") and installation of a new
phone system for the County ("Professional Services Agreement"); and
WHEREAS, the Parties desire to amend the Professional Services Agreement to revise
Section 3, Project Delivery and Time Estimates, to extend the period of time for this project
engagement from an estimated 365 days to two years, to allow for the continued availability of
professional services necessary to complete the installation of the new phone system, as a result of
Covid-related delays.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained, it is agreed by the Parties as follows:

3. PROJECT DELIVERY AND TIME ESTIMATES:
The engagement is expected to consist of up to 365 days two(2)years. The official
project kickoff meeting will be scheduled within 10 business days upon contract
execution. A project schedule shall be provided to the County within 10 business
days upon completion of the official project kickoff meeting.
The above timeline is an estimate assuming there are no delays due to
unforeseen issues.
2. Except as amended herein,all other terms and conditions of the Professional Services Agreement,
which is incorporated herein by reference, shall remain unchanged.
